Trace Blankenship regularly advises chief executives, senior management, boards of directors and entrepreneurs on strategy, execution and legal requirements of significant business transactions, complex leadership and ownership decisions and day-to-day operations. His practice is focused on mergers and acquisitions, securities/venture funding and governance. He has extensive experience with leveraged buy-out and change of control transactions, tender offers, national roll-up acquisition strategies, private placements of equity and debt, “going private” and “going dark” transactions, sales of closely-held businesses to strategic and financial buyers, and private equity fund formation. He has also advised boards, special committees and senior management teams on a variety of related matters including executive leadership transitions and corporate governance, board strategy and investor/shareholder relations. Trace represents both emerging companies and established businesses covering a broad range of industries, including banking and financial services, wholesale and distribution businesses, technology and media companies, retailers, business process outsourcing, professional services, contractors and commercial developers. He also serves as outside general counsel for several of these companies. He frequently speaks to boards of directors, senior management, entrepreneurs and their advisers about current issues regarding capital formation, mergers and acquisitions and corporate governance of companies with all types of ownership structures. Trace serves as general counsel and secretary of Bone McAllester Norton PLLC and serves on the law firm’s board of directors ex-officio. Trace has served on or chaired the boards of several nonprofit organizations and has been involved with alumni leadership of The Oak Hill School, Brentwood Academy, and Williams College. Trace and his wife are the immediate past presidents of The Oak Hill School Parents Association, and he is also the founding co-chair of Oak Hill’s alumni council. He is an elder and serves on the session and board of directors of West End Community Church (Presbyterian Church in America). He currently serves on the board and executive committee of Cumberland Region Tomorrow, a 10-county planning organization for quality growth in Middle Tennessee, and is on the board of the Center for Nonprofit Management. In 2008, Trace led the law firm’s participation as a co-founder with Lipscomb University of the Dean Institute for Corporate Governance and Integrity in Nashville, and he continues to be actively involved as a founding member of the Institute’s advisory board. He is the general counsel for Daystar Counseling Ministries, Inc. and was elected an honorary director in 2006 after serving on Daystar’s board from 1996 to 2005 and as board chair and president from 2002 to 2005. He was an officer and director of the Young Leaders Council of Nashville from 1998 to 2001. He is a member of the nominating and governance committee for the board of directors of Salama Urban Ministries.
