ó€that€whereÏthe€occurrence€or€injury€giving€rise€to€the€cause€of€action€comesÏmore€than€four€years€after€substantial€completion,€suit€is€barred.€ÏThis€conclusion€is€harsh,€but€it€is€demanded€under€the€statutoryÏscheme.€€ÌÌÌÌÓÓòòò òWattsóóó ó,€525€S.W.2d€at€491„92.ÌÌà àThe€record€before€us€includes€the€affidavit€of€Phillip€Baum€which€states,€asÏpertinent€here:ÌÌÓÓà8 àà àI€am€employed€by€Baum€&€Company€and€am€involved€inÏreal€estate€development€and€construction.ÌÌà8 àà àOn€March€27,€1986,€I€entered€into€a€contract€with€[Azalea]€toÏconstruct€twelve€(12)€two„story€luxury€planned€unit€developmentÏresidences€together€with€all€interior€streets,€city€utilities,€landscapingÏand€driveways,€for€a€project€known€as€Azalea€Terrace€Phase€I€inÏMemphis,€Tennessee.ÌÌà8 àà àConstruction€began€initially€on€the€three€(3)€residencesÏwhich€face€White€Station€Road.€€The€first€three€(3)€residencesÏconstructed€included€Unit€No.€10€known€as€650€Azalea€TerraceÏCircle,€.€.€.€ÌÌà8 àà àThe€hardwood€floors,€which€were€one€of€the€last€elements€ofÏconstruction€for€the€Property,€were€installed€on€or€before€NovemberÏ11,€1986€.€.€.€.ÌÌà8 àà àThe€Property€was€completed€on€or€about€the€end€ofÏNovember€1986,€but€no€later€than€December€of€that€year.ÌÌà8 àà àFollowing€completion€the€Property€was€furnished€as€aÏð ðmodelðð€until€it€was€sold€to€[Automotive]€in€September€of€1988.ÌÌÌÌÓÓà àAlso€before€us€is€the€affidavit€of€John€Kimbrough,€stating€as€here€relevant:ÌÌÓÓà8 àà à1.€€That€prior€to€purchase€of€the€property,€I€had€numerousÏcontacts€and€communications€with€representatives€of€the€Seller€andÏcontractor.ÌÌà8 àà à2.€€That€I€was€never€advised€by€them€this€was€not€a€newÏhouse.ÌÌà8 àà à3.€€That€I€was€led€to€believe€this€was€a€new€house€of€highÏquality.ÌÌà8 àà à4.€€That€I€did€not€consider€the€house€to€be€substantiallyÏcomplete€until€closing€due€to€the€numerous€remaining€work€itemsÏlisted€in€the€contract.ÌÌà8 àà à5.€€That€after€purchase€of€the€property,€I€was€led€to€believeÏby€defendants€that€necessary€repairs€would€be€done.ÌÌà8 àà à6.€€That€subsequently€defendants€caused€repairs€to€be€madeÏto€the€property€with€assurances€that€repairs€were€satisfactory.€€ÌÌÌÌÓÓà àBased€on€the€above,€it€would€appear€that€we€have€two€potential€dates€for€theÏsubstantial€completion€of€this€residence:€December€1986€or€September€30,€1988€(the€date€ofÏclosing).€€According€to€Kimbrough,€the€date€of€substantial€completion€could€not€have€occurredÏprior€to€the€date€of€closing,€ð ðdue€to€the€many€remaining€work€items€listed€in€the€contract.ðð€€InÏòòò òMeyer€v.€Brysonóóó ó,€891€S.W.2d€223€(Tenn.€App.€1994),€the€court€of€appeals€expressly€rejectedÏthe€argument€that€substantial€completion€cannot€occur€until€defects€in€the€dwelling€have€beenÏrepaired.€€The€court€held€that€to€accept€such€a€position€would,€in€essence,€defeat€the€purpose€of€theÏstatute€of€limitations.€€The€court€concluded€that€ð ð[s]ubstantial€completion€occurs€when€the€ownerÏcan€use€the€building€for€its€intended€use.€€If€the€owner€can€use€the€building€for€its€intended€use,Ïthen€òòò òany€defects€in€the€construction€are€usually€held€not€to€be€materialó óóó.ðð€€òòò òMeyeróóó ó,Ï891€S.W.2d€at€225€(quotingòòò òHoward€G.€Lewis€Constr.€Co.óóó ó,€830€S.W.2d€60€(Tenn.€App.Ï1991)).€€Consequently,€in€our€case,€the€fact€that€there€were€repairs€to€be€made€to€the€property€priorÏto€closing€would€not€affect€the€date€of€substantial€completion€provided€the€property€òòò òcouldóóó ó€be€usedÏfor€its€intended€purpose.€€According€to€Baum,€the€residence€was€complete€and,€thus,€could€be€usedÏfor€its€intended€purpose€no€later€than€December€1986.€€ÌÌà àAppellants€assert€that€the€statute€of€limitations€could€not€begin€running€until€the€saleÏto€Automotive,€the€ð ðultimate€purchaserðð€and€ð ðoccupant,ðð€because€Azalea,€the€developer,€could€notÏuse€the€property€for€which€it€was€intended€as€neither€it€nor€its€representatives€intended€to€resideÏthere.€€The€plain€language€of€T.C.A.€ðð€28„3„201(2)€makes€clear€that€substantial€completion€occursÏwhen€the€owner€of€the€improvement€ð ðcanðð€use€it€for€the€purpose€for€which€it€was€intended.€€ItÏmatters€not€whether€it€is€actually€being€used€for€such€purpose.€€This€argument€must€also€failÏbecause€it€is€uncontradicted€that€when€Azalea€owned€the€property,€its€intended€use€was€that€of€aÏð ðmodelðð€home.€€There€is€nothing€in€the€record€to€indicate€that€the€home€was€not€used€for€suchÏpurpose€after€December€1986€until€its€purchase€by€Automotive.€€Moreover,€we€note€that€the€statuteÏfails€to€place€any€significance€on€the€date€of€purchase€of€such€improvement.ÌÌÓÓà8 àUnambiguous€statutes€must€be€construed€to€mean€what€they€say,Ïòòò òMontgomery€v.€Hoskinsóóó ó,€222€Tenn.€45,€432€S.W.2d€654Ï(1968).€€The€purpose€of€statutory€interpretation€is€to€ascertain€andÏgive€effect€to€legislative€intent€and€all€rules€of€construction€are€butÏaids€to€that€end,€but€where€words€of€a€statute€are€clear€and€plain€andÏfully€express€legislative€intent,€there€is€no€room€to€resort€to€auxiliaryÏrules€of€construction.€€òòò òAnderson€v.€Outlandóóó ó,€210€Tenn.€526,Ï360€S.W.2d€44€(1962).ÌÌÌÌÓÓòòò òRoberson€v.€University€of€Tennesseeóóó ó,€912€S.W.2d€746,€747€(Tenn.€App.€1995).ÌÌà àThe€only€relevant€date€for€purposes€of€determining€when€the€statute€of€limitationsÏbegins€to€run€is€that€of€ð ðsubstantial€completion.ðð€€As€the€record,€through€the€unrefuted€testimony€ofÏMr.€Baum,€has€established€that€date€to€be€December€1986,€we€hold€that€the€statute€of€limitations,Ïfor€purposes€of€ðð€28„3„202,€began€running€as€of€that€date€and€that€the€present€action€filed€onÏSeptember€18,€1992€is€time€barred,€unless€a€genuine€issue€of€material€fact€exists€as€to€AppellantsððÏclaim€of€fraud€which,€if€proven€at€trial,€would€render€the€statute€inapplicable.€€òòò òSeeóóó ó€T.C.A.€ðð€28„3„205(b).€€ÌÌà àIt€is€argued€that€Azalea€misrepresented€the€property€to€Appellants€as€ð ðnew,ðð€therebyÏdefeating€any€contention€that€the€property€was€ð ðsubstantially€completeðð€two€years€prior.€€OnceÏagain,€as€we€interpret€the€plain€language€of€the€statute,€whether€an€improvement€to€real€property€isÏidentified€as€ð ðnewðð€has€no€bearing€on€the€date€of€substantial€completion.€€Moreover,€Mrs.ÏKimbrough€states€in€her€deposition€that€she€did€not€inquire€as€to€the€age€of€the€home€because€sheÏð ðused€to€drive€by€there€on€[her]€way€to€another€destination€everyday.ðð€€She€recalled€ð ðwhen€[theÏhomes]€were€being€builtðð€and€ð ðknew€it€was€.€.€.€a€new€house.ðð€€Thus,€it€appears€that€Mrs.ÏKimbrough€was€aware€of€the€approximate€age€of€the€home€irrespective€of€any€representations€byÏAzalea.€€She€was€further€questioned:€ÌÌÓÓà8 àQ.à àHas€[Azalea]€or€any€representative€of€Azalea€.€.€.€made€anyÏrepresentation€to€you€with€respect€to€the€matters€in€this€lawsuit?ÌÌà8 àA.à àNo.ÌÌà8 àQ.à àDo€you€have€any€reason€to€believe€that€[Azalea]€.€.€.€Ïconcealed€or€attempted€to€defraud€you€with€respect€to€the€matters€inÏthis€lawsuit?ÌÌà8 àA.à
