àThis€appeal€arises€from€an€alleged€breach€of€a€real€estateÏcontract€between€a€church€and€a€physician.€€The€Knox€County€Chan…cery€Court€found€in€favor€of€the€church,€and€awarded€a€judgmentÏfor€earnest€money,€interest€and€attorneyððs€fees€on€a€promissoryÏnote€used€to€secure€the€earnest€money.€€No€damages€were€awarded€onÏthe€real€estate€contract.€€Both€Dr.€Robert€Small€and€the€churchÏhave€appealed.€€We€affirm€the€judgment€of€the€trial€court.ÌÌà àThis€case€stems€from€a€rather€lengthy€and€complicated€busi…ness€transaction.€€Many€of€the€facts,€however,€are€immaterial€toÏthis€appeal.€€Briefly€stated,€on€September€7,€1988,€the€originalÏplaintiff,€Bright€Hope€United€Methodist€Church,€entered€into€aÍcontract€to€sell€its€property€to€Dr.€Robert€Small.€€Dr.€Small,€whoÏhad€some€experience€dealing€with€real€estate€contracts€in€theÏpast,€signed€the€contract.€€The€contract€established€the€purchaseÏprice€at€$250,000,€with€earnest€money€in€the€amount€of€$5,000.00Ïsecured€by€a€promissory€note€from€the€Halls€Walk„In€Medical€Clin…ic.€€Closing€was€to€be€on€November,€1,€1988.€€The€property€inÏquestion€was€part€of€a€larger€tract€that€Small€and€others,€includ…ing€Phyllis€œEllenburg›,€were€attempting€to€purchase€as€part€of€aÏjoint€venture€for€a€large€development.œ× ƒ/ ××  ×›€€However,€when€otherÏparcels€in€the€tract€could€not€be€purchased,€the€deal€fell€throughÏand€Small€did€not€purchase€the€church€property.€€Small€claimedÏthat€the€purchase€of€the€church€property€was€contingent€uponÏobtaining€the€other€parcels€of€land,€but€no€mention€of€such€aÏcontingency€was€made€in€the€contract.ÌÌà àBright€Hope€United€Methodist€Church€changed€its€name€toÏAldersgate€United€Methodist€Church€in€1989.€€The€property€inÏquestion€was€sold€at€auction€that€year€for€$126,000€ð"ð€$124,000Ïless€than€the€contract€price€with€Dr.€Small.€In€1992,€Alders‚gateÏdisbanded,€and€the€congregation€merged€with€another€United€Method…ist€Church,€forming€a€new€church.€€The€new€church,€Christ€UnitedÏMethodist€Church€of€Halls,€was€not€made€a€party€to€this€suit.€€TheÏComplaint€was€amended,€however,€to€include€the€Trustees€of€theÏKnoxville€District€of€the€United€Methodist€Church€as€successors€inÏinterest€to€Aldersgate€United€Methodist€Church.ÌÌà àDr.€Small€has€raised€numerous€and€lengthy€issues€on€appeal,Ïwhich€we€summarize€as€follows:ÌÌÓÓà8 àà0 àà à1.à àWhether€the€real€estate€contract€was€void€òòab€ini…tioóó;ÌÌà8 àà0 àà à2.à àWhether€the€Knoxville€District€of€the€United€Meth…odist€Church€had€standing€to€continue€this€lawsuit;ÌÌà8 àà0 àà à3.à àWhether€Dr.€Small€was€personally€liable€on€the€realÏestate€contract;€andÌÌà8 àà0 àà à4.à àWhether€the€judgment€for€earnest€money€was€warrant…ed.ÌÌÌÓÓà àThe€Knoxville€District€has€also€raised€the€issue€of€whetherÏit€was€entitled€to€damages€for€the€breach€of€the€real€estateÏcontract.ÌÌà àAs€to€the€first€issue,€Dr.€Small€claims€that€the€contract€wasÏnever€enforceable,€because€Bright€Hope€failed€to€follow€the€BookÏof€Discipline€of€the€United€Methodist€Church€in€executing€theÏcontract.€€The€Book€of€Discipline€contains€the€doctrines€andÏbylaws€of€the€United€Methodist€Church,€and€is€mandatory€for€allÏunits€of€the€œchurch,›€including€local€churches.€€The€Book€of€Disci…pline€calls€for€all€contracts€entered€into€by€local,€unincorporat…ed€churches,€to€be€signed€by€two€members€of€the€church's€Board€ofÍTrustees.€€The€contract€between€Dr.€Small€and€Bright€Hope€wasÏsigned€by€only€one€member€of€the€Bright€Hope€Board.€€Dr.€SmallÏtherefore€claims€that€the€contract€was€unenforceable€because€theÏchurch€failed€to€execute€it€in€accordance€with€its€own€rules.€€TheÏChancellor€found€that€failing€to€follow€the€provisions€of€the€BookÏof€Discipline€was€not€a€defense€available€to€Dr.€Small,€but€ratherÏwould€only€be€available€to€the€œchurch›€if€it€attempted€to€repudiateÏan€unauthorized€contract€by€its€trustees.€€We€agree.ÌÌà àTennessee€Code€Annotated€ðð€66„2„203€allows€the€trustees€of€aÏchurch€to€convey€property€according€to€the€regulations€of€suchÏchurch€or€congregation.€€Clearly,€here€the€œchurch›€did€not€followÏits€regulations€since€only€one€trustee€signed€the€contract.€ÏHowever,€as€found€by€the€Chancellor,€Dr.€Small€is€not€the€properÏparty€to€challenge€the€œchurch›€under€T.C.A.€ðð€66„2„203.€€ThatÏsection€is€a€defense€available€only€by€the€œchurch›€to€repudiate€anÏunauthorized€sale€by€its€trustees.€€We€find€support€for€thisÍproposition€in€a€previous€decision€of€this€Court.€€In€òòHill€v.ÏHillóó,€34€Tenn.€App.€617,€241€S.W.2d€865€(1951),€the€plaintiff€wasÏattempting€to€subject€church€property€to€a€debt€owed€by€the€defen…dant„trustee.€€The€plaintiff€claimed€that€the€defendant„trusteeÏwas€not€properly€selected€by€the€church€congregation.€€We€held,Ïòòinter€aliaóó,€that€the€plaintiff€had€no€right€to€question€the€selec…tion€of€the€trustee.€€The€same€principle€applies€here.€€The€stat…ute€grants€religious€entities€the€power€to€acquire€and€dispose€ofÏproperty.€€The€provision€requiring€the€church€trustees€to€followÏthe€church's€own€rules€provides€the€same€kind€of€protection€thatÏthe€United€Methodist€Book€of€Discipline€does,€namely€to€ensureÏthat€the€trustees€take€only€those€actions€that€the€congregationÏauthorizes€them€œto€do.›€€To€allow€third€party€buyers,€such€as€Dr.ÏSmall,€to€challenge€contracts€under€the€guise€of€failing€to€followÏchurch€bylaws€would,€we€think,€defeat€the€purpose€of€the€statuteÏand€the€Book€of€Discipline,€both€of€which€are€designed€to€benefitÏchurches€as€opposed€to€providing€a€method€œby€which€third€partiesÍmay€attack€decisions€reached€by€the›€churches.€€We€hold€that€Dr.ÏSmall€cannot€challenge€the€validity€of€the€real€estate€contract€onÏthe€ground€that€it€was€signed€by€only€one€member€of€the€Board€ofÏTrustees.€The€contract€was,€therefore,€not€void€òòab€initioóó.ÌÌà àThe€second€issue€Dr.€Small€raises€deals€with€whether€theÏKnoxville€District€has€standing€to€continue€the€lawsuit€instigatedÏby€Bright€Hope€after€it€officially€disbanded.€€Dr.€Small€claimsÏthat€the€Knoxville€District€was€not€the€successor€in€interest€ofÏBright€Hope€because€there€was€no€transfer€of€its€assets.ÌÌà àAt€trial,€a€resolution€of€the€1992€Holston€Annual€ConferenceÏof€the€United€Methodist€Church€(the€regional€governing€body€of€theÏœchurch)›€was€entered€into€evidence.€€That€resolution€discontinuedÏAldersgate€United€Methodist€Church€(Bright€Hope's€new€name),€andÏdirected€that€the€assets€of€Aldersgate€be€applied€"toward€theÏestablishment€of€said€new€church€under€the€direction€of€the€Knox…ville€District€Board€of€Trustees."€€We€feel,€as€did€the€Chancel…lor,€that€this€resolution€transferred€the€assets€of€Bright€Hope€toÏthe€Knoxville€District,€and€directed€the€Knoxville€District€to€useÏthose€assets€to€assist€in€the€establishment€of€Christ€UnitedÏMethodist.€€Dr.€Small€contends€that€the€resolution€transferred€theÏassets€of€Bright€Hope€directly€to€Christ€United€Methodist.€€WereÏthis€true,€it€would€mean€that€this€lawsuit€would€fail€since€thatÏchurch€was€not€made€a€party.€€We€respectfully€disagree€with€Dr.ÏSmall's€position.€If€the€Holston€Conference€had€intended€to€trans…fer€the€assets€directly€to€Christ€United€Methodist,€there€wouldÏhave€been€no€need€to€mention€the€Knoxville€District.€€But€byÏincluding€a€direction€to€the€District,€we€think€it€obvious€thatÏthe€Conference€was€transferring€the€assets€to€the€District,€andÏissuing€instructions€as€to€how€to€dispose€of€them.€€If€the€Knox…ville€District€did€not€receive€the€assets,€the€instructions€to€itÏwould€have€been€superfluous.€€We€hold€that€the€Knoxville€DistrictÍwas€the€successor€in€interest€of€Bright€Hope€United€MethodistÏChurch,€and€consequently€did€have€standing€to€continue€this€suit.ÌÌà àThe€third€issue€presented€is€whether€Dr.€Small€was€personallyÏliable€on€the€contract.€€The€Chancellor€found€that€Dr.€Small€hadÏsigned€the€contract€individually.€€This€issue€has€two€facets,Ïnamely€whether€the€contract€was€contingent€upon€the€purchase€ofÏother€parcels€of€land€needed€for€the€development,€and€whether€Dr.ÏSmall€was€acting€in€an€individual€capacity€or€on€behalf€of€theÏjoint€venture€when€he€executed€the€contract.€€We€agree€with€theÏChancellor's€resolution€of€both€issues.ÌÌà àIn€Tennessee,€if€a€contract€is€unambiguous€on€its€face,€theÏcourt€is€to€interpret€the€contract€as€written.€€òòPetty€v.€Sloanóó,Ï197€Tenn.€630,€277€S.W.2d€355€(1955).€€The€Chancellor,€despite€theÏfact€that€Dr.€Small€was€working€as€part€of€a€joint€venture,€foundÏthat€he€took€it€upon€himself€to€negotiate€with€the€œchurch,›€andÍcontracted€individually€to€purchase€the€property.€€He€included€noÏcontingency€provisions€which€allowed€him€to€avoid€the€sale€ifÏother€needed€property€could€not€be€purchased.€€€Although€Dr.€SmallÏargues€that€he€intended€for€the€contract€to€be€contingent€upon€theÏavailability€of€other€parcels€of€land,€he€did€not€include€such€aÏprovision€in€the€contract,€nor€did€he€refer€to€a€joint€venture.ÏWhen€a€contract€is€clear€and€unambiguous,€the€court€must€interpretÏit€as€written,€rather€than€according€to€the€unexpressed€intentionÏof€one€of€the€parties.€€òòIdóó.€at€358.€òòSee€alsoóó€òòNashville€ElectricÏSupply€Company,€Inc.€v.€Kay€Industries,€Inc.€et€alóó.,€533€S.W.2dÏ306€(Tenn.€App.€1975).€€The€actual€contract€is€plain€and€unambigu…ous.€€While€there€is€a€provision€for€terms€and€conditions,€it€isÏsilent€as€to€both€the€joint€venture€and€any€contingencies€for€theÏacquisition€of€other€property.€€Our€courts€have€held€that€a€con…tract€is€ambiguous€only€when€it€is€of€uncertain€meaning€and€may€beÏunderstood€in€more€ways€than€one.€€òòEmpress€Health€&€Beauty€Spa,ÏInc.€v.€Turneróó,€503€S.W.2d€188€(Tenn.€1973).€€This€is€not€such€aÍcontract.€€We€find€that€the€construction€given€to€the€contract€byÏthe€œtrial›€œcourt›€as€to€the€individual€liability€of€Dr.€Small€andÏlack€of€contingencies€was€fair€and€reasonable€as€well€as€consis…tent€with€applicable€law,€the€œlanguage,›€and€expressed€intent€ofÏthe€parties.€€We€agree€with€the€judgment€of€the€Chancellor€on€thisÏissue.ÌÌà àThe€final€issue€raised€by€Dr.€Small€questions€whether€theÏCourt€erred€in€awarding€damages€for€the€earnest€money,€interestÏand€attorneyððs€fees.ÌÌà àThe€earnest€money€was€to€be€paid€in€the€form€of€a€corporateÏpromissory€note€secured€by€the€Halls€Walk„In€Medical€Clinic.€ÏAttached€to€the€contract€is€an€inartfully€drafted€document,€appar…ently€supplied€by€the€realtor,€which€purports€to€be€a€promissoryÏnote.€€Although€the€note€specifies€that€it€is€secured€by€the€HallsÏWalk„In€Medical€Clinic,€Inc.,€it€is€not€signed€by€anyone€from€theÍcorporation€in€an€appropriate€representative€capacity.€€The€noteÏin€pertinent€part€reads€as€follows:ÌÒ ° ÒÒ  ÒÒ  ÒÒ  ÒÓÓÌà àAlthough€the€note€claims€to€be€secured€by€the€Halls€Walk„InÏClinic,€it€is€not€signed€by€Dr.€Small€as€a€representative€of€theÏClinic.€€Rather,€it€is€an€individual€promise€to€pay€Bright€HopeÍ$5,000,€and€is€not€contingent€upon€the€happening€of€any€event.€€WeÏfind€no€merit€in€this€issue.ÌÌà àThe€remaining€issues€deal€with€the€award€of€damages€on€theÏpromissory€note,€and€further,€challenge€the€œChancellor's›€findingÏthat€the€œchurch›€established€no€damages€on€the€real€estate€con…tract.€€ÌÌà àAs€to€the€real€estate€contract,€we€agree€with€the€trial€courtÏthat€the€proper€measure€of€damages€was€the€difference€between€theÏfair€market€value€of€the€property€and€the€amount€of€the€contract.€ÏòòSeeóó€òòTurner€v.€Bensonóó,€672€S.W.2d€752€(Tenn.€1984).€€It€was€theÏplaintiff's€burden€to€establish€its€damages€using€the€properÏmeasure€of€damages€for€the€breach.€€The€plaintiff€failed€to€meetÏthis€burden.€€The€only€testimony€at€trial€concerning€the€fairÏmarket€value€of€the€property€came€from€Dr.€Darris€Doyal,€who€atÏthe€time,€was€District€Superintendent€of€the€Knoxville€District.€ÍDr.€Doyal€testified€that€the€fair€market€value€of€the€church€wasÏ$250,000,€the€contract€price.€€Therefore,€despite€the€fact€thatÏthe€property€ultimately€sold€for€substantially€less€than€theÏcontract€price,€the€plaintiffs€failed€to€prove€that€the€property'sÏfair€market€value€was€less€than€the€contract€price.œ× ƒ0 ××  ×›€€We€thereforeÏagree€that€the€œchurch›€failed€to€established€that€it€sustainedÏdamages€as€a€result€of€Dr.€Small's€breach.€€We,€therefore,€concurÏwith€the€œChancellor's›€view.€€Since€no€damages€were€awarded€for€theÏbreach€of€the€real€estate€contract,€the€issue€of€whether€theÏœchurch›€failed€to€mitigate€its€damages€is€moot.ÌÌà
