Inthisactionplaintiffsoughtadeclarationthatdefendantwrongfullywithheld$16,598.67fromthemoniesappropriatedbydefendantforplaintiffinfiscal1993.  Followinganevidentiaryhearing,theTrialJudgeruledthatthefinanceofficerfordefendantwasvestedwithdiscretiontowithholdtheamountindispute,andplaintiffhasappealed.  ThegenesisofthisdisputewasthetransferofErnieMeyer,apoliceman,totheCityspersonneldepartment.Meyerhadaccruedinexcessofeightyearsundertheretirementplanadministeredbyplaintiffforfiremenandpolicemen.DefendanthadalsoestablishedageneralpensionplanundertheCityscharterforregularemployees,otherthanfiremenandpolicemen.WhenMeyertransferredhisemployment,plaintiffunilaterallyrefundedtohimallmonieshehadpaidintoplaintiffspensionfund.TheCitytookthepositionthatMeyerhadbeenwrongfullydeprivedofcreditedservicebyplaintiffsplan,andarrangedforMeyerto buyback hiscreditedserviceintheCitysgeneralpensionplanthathadaccruedunderplaintiffsplanasapoliceman.Underthisarrangement,theCitywasrequiredtocontributetothecreditedservice,whichcontributionwascalculatedtobe$16,598.68.Atthatjuncture,thefinanceofficerdeterminedthedefendanthadovertimepaidonbehalfofMeyer$38,641.89toplaintiffsplan,andthefinanceofficerwithheld$16,598.68fromtheannualappropriatedfundforplaintiffsplan,andpaidthatamountintothegeneralpensionplanonbehalfofMeyer.  TheCityinsiststhisactionshouldbedismissedunderthecleanhandsdoctrine.ItsaysthatplaintiffwrongfullyrefundedMeyerscontributionstohimandtherebywrongfullydeniedhimbenefitsunderitsplanpursuanttoCityOrdinance#8688. (   ׀WhileweagreewiththeCityastothebenefitspayableundertheordinance, )   ׀thedoctrineofuncleanhandsisgenerallynotapplicabletodeclaratoryjudgmentactions.Hoguev.KrogerCo.,213Tenn.365(1963).  TheCitysprincipalargumentistheCitysgeneralrevenueordinance,#9939forthefiscalyear19931994,gavethefinanceofficediscretionbecauseit becamereadilyapparentto[thefinanceofficer]thatthewrongfulactionoftheF&PFundwasnotonlydeprivingMr.Meyerofvestedservicetowhichhewasentitled,butwasalsodeprivingtheCityofthebenefitofits$38,641.89contributedonMr.Meyersbehalf.Accordingly,Mr.Boney[thefinanceofficer]directedareductionofthenormalCitycontributiontotheF&PFundintheamountof$16,598.68tooffsetthefundsalreadycontributedbytheCitytotheFundonbehalfofMr.Meyer. Aslaudableasthefinanceofficersintentmaybe,wecannotagree.CityOrdinance#9939,aftermakingaappropriationofthegeneralfundinpertinentpartprovides:0 0 SECTION9(c).ThattheCityFinanceOfficerisauthorizedtomatchtothetotalsalariesofallparticipantsintheFireandPolicePensionFundwithatwenty(20%)percentcontributionfromtheGeneralFund.Thepartiesintheirbriefsfocusonthemeaningofauthorizedintheabstract,butthecardinalruleofstatutoryinterpretationthatrequiresnocitationisthatstatutoryintentistobegleanedfromthewordingofthewholestatute.Authorizeisgenerallydefinedtopermitathingtobedoneinthefuture,andhasamandatoryeffectormeaningimplyingadirectiontoact.BlacksLawDictionary,5thEd.West.Theintentfromtheordinanceisclear,itsimplydirecteditsfinanceofficertopaytheappropriated20%intotheFiremenandPolicemensFund.ThereisnoauthorizationintheordinancetoineffectwithholdfromthegeneralappropriationthedisputedamountwhichhadbeenpreviouslypaidintothefundonbehalfofϜMeyer,norcansuchbeinferredfromthedirectivetodefendantsagenttodischargehisministerialfunctionbydispersingthefundsasdirected.UponremandajudgmentwillbeenteredrequiringtheCitytopayintoplaintiffsfundtheamountarbitrarilywithheld.  TheissueofwhethertheCityisentitledtorecoveranyorallofthemoniesitpaidintoplaintiffsfundonbehalfofMeyerisnotbeforeus,andthisopinionisnottobeconstruedasarulinginanywayonthatissue.
