àGuy€Floyd€became€a€member€of€The€Club€at€Green€Hills€("The€Club")€onÏFebruary€1,€1990,€at€which€time€he€signed€a€two„year€contract.€€He€then€renewedÏhis€membership€on€February€4,€1992,€for€two€years.€€He€continued€hisÏmembership€for€a€third€time€on€July€1,€1994.€€On€all€three€occasions,€Mr.€FloydÏsigned€The€Club's€standard€form€membership€contract€("the€MembershipÏContract")€which€contained€an€exculpatory€clause€which€discharged€The€ClubÏfrom€liability€to€its€members€for€injuries€caused€by€The€Club's€negligence.€€WhileÏthis€exculpatory€language€is€nearly€identical€in€all€three€contracts,€the€thirdÏcontract,€which€was€in€effect€at€the€time€of€Mr.€Floyd's€injury,€specificallyÏprovides€as€follows:ÌÓ€Óà8 ÐÌÓ€}(ÓòòId.€óóat€431€(citing€òòTunkl€v.€Regents€of€Univ.óó,€383€P.2d€441,€445„46€(Cal.€1963));Ð Ð  Ðòòsee€also€Crawfordóó,€839€S.W.2d€at€757€(adopting€again€for€the€court€the€six„factorÐ h¸ Ðtest€in€a€case€involving€an€exculpatory€clause€in€a€residential€lease).ÌÌà  àIn€the€instant€case,€Mr.€Floyd€insists€that€the€òòOlsonóó€criteria,€when€appliedÐ 0€ Ðto€the€facts€in€this€case,€mandate€that€the€exculpatory€clause€that€he€signed€beÏinvalidated.€€However,€this€court€held€in€òòPetry€v.€Cosmopolitan€SpaÐ `!° ÐInternational,€Inc.óó,€641€S.W.2d€202€(Tenn.€App.€1982),€that€an€exculpatoryÐ ø"H  Ðclause€of€almost€the€exact€type€and€language€as€the€one€in€the€case€at€bar€wasÏvalid€and€enforceable.€€As€in€this€case,€òòPetryóó€involved€a€€lawsuit€against€a€healthÐ (&x!$ Ðclub€for€the€alleged€negligent€maintenance€of€an€exercise€machine.€€òòPetryóó,€òòId.óó€atÐ À'#& Ð203.€€Significantly,€in€òòPetryóó,€the€court€disagreed€that€the€policy€considerationsÐ X)¨$( Ðestablished€in€òòOlsonóó€applied€to€these€facts.€€The€court€stated€that€"[h]ealth€spasÐ ð*@&* Ðare€not€businesses€'of€a€type€generally€thought€suitable€for€public€regulation.'"€€òòId.óó€Ð ˆ,Ø', ЀÌà  àFurthermore,€the€court€in€òòPetryóó€placed€great€emphasis€on€another€factuallyÐ ¸/+0 Ðand€legally€similar€case,€òòEmpress€Health€&€Beauty€Spa,€Inc.€v€Turneróó,€503Ð P1 ,2 ÐS.W.2d€188€(Tenn.€1973).€€In€òòEmpress,óó€the€supreme€court€upheld€an€exculpatoryÐ è28.4 Ðclause€as€a€defense€to€the€plaintiff's€suit€that€the€defendant€health€club€hadÏ"carelessly€and€negligently€maintained"€an€exercise€machine.€€Citing€generalÏ"freedom€of€contract"€law,€the€court€reasoned€that€the€exculpatory€clause€wasÏunambiguous€and€thus€a€valid€and€complete€bar€to€the€plaintiff's€recovery.€€òòId.óó€atÐ H9˜4< Ð191.€€Significantly,€the€court€in€òòOlsonóó€cited€òòEmpressóó€as€an€example€ofÐ ° ÐTennessee's€public€policy€favoring€freedom€to€contract.€€òòOlsonóó,€558€S.W.2d€atÐ H˜ Ð430.ÌÌñ§ññ£ñÌñ£ññ§ñà  àThe€law€is€clear€and€unambiguous€that€the€exculpatory€clause€in€this€healthÏclub€contract€is€valid€and€enforceable.€€òòPetryóó€is€directly€on€point€and€controls€theÐ ¨ ø  Ðoutcome€of€the€instant€case.€€Importantly,€òòPetryóó€was€decided€after€òòOlsonóó€and€theÐ @  Ðcourt€in€òòPetryóó€specifically€found€that€the€òòOlsonóó€factors€did€not€apply€to€healthÐ Ø(  Ðclub€contracts.€€We€are€unconvinced€by€Mr.€Floyd's€argument€that€òòPetry'sóóÐ pÀ  Ðreasoning€is€no€longer€valid€in€light€of€the€enactment€of€Tennessee€CodeÏAnnotated€sections€47„18„301€to€47„18„320€relating€to€health€clubs.€€This€statuteÏwas€enacted€as€part€of€the€Consumer€Protection€Act€with€a€purpose€to€protectÏconsumers.€€òòSeeóó€Tenn.€Code€Ann.€ðð€47„18„102€(1995).€€From€the€content,€it€isÐ Ð  Ðclear€that€this€legislation€was€enacted€to€make€health€clubs€financially€responsibleÏto€their€members€with€whom€they€enter€contracts.€€This€statute€does€not€in€anyÏway€address€the€conduct€of€health€clubs€and€their€staff€with€regard€to€the€safetyÏof€the€premises€and€equipment€at€the€clubs,€and€thus€it€does€not€signify€that€theÏlegislature€was€concerned€with€the€physical€safety€of€health€club€users.€€WeÏtherefore€conclude€that€the€statute€does€not€ñ©ñ€ñ©ñconstitute€the€type€of€public€regulationÏcontemplated€by€òòOlsonóó.Ð ø"H& ÐÌà  àFinally,€we€address€Mr.€Floyd's€contention€that€his€contract€with€The€ClubÏdid€not€comply€with€the€requirements€for€a€valid€health€club€agreement€underÏsection€47„18„305€of€the€code€and€thus€the€entire€contract,€including€theÏexculpatory€clause,€is€unenforceable€against€him€pursuant€to€section€47„18„¼303(3).€€Section€47„18„303€provides€in€pertinent€part€as€follows:ÌÓ€Óà8  àA€health€club€agreement€shall€be€unenforceable€against€the€buyer,Ïand€the€buyer€shall€be€entitled€to€a€refund€less€that€portion€of€theÏtotal€price€which€represents€actual€use€of€the€facilities€and€less€theÏcost€of€goods€and€services€consumed€by€the€buyer€if:€.€.€.€Ð  ü! ü! Ðà  à(3)€The€agreement€fails€to€conform€with€the€provisions€of€this€part.ÌÌÓ€C<ÓThe€code€provides€that€health€club€contracts€must€include€certain€statements,€forÏexample,€a€notification€that€the€buyer€has€a€right€to€cancel€and€a€warning€thatÏpayment€in€full€may€mean€paying€for€future€services€and€may€entail€a€loss€ofÏmoney€should€the€health€club€cease€to€do€business.€€Tenn.€Code€Ann.€ðð€47„18„Ð H9˜4@ Ð305(4),€(5)(A)€(Supp.€1998).€€Mr.€Floyd€points€out€several€places€in€the€contractÏwhere€these€and€other€statutorily„required€statements€contain€minor€alterationsÏfrom€the€versions€set€out€in€the€statute.€€ÌÌà  àInitially,€we€note€that€none€of€these€provisions€have€anything€to€do€with€theÏsafety€of€the€premises€or€equipment€at€The€Club.€€However,€even€if,€as€Mr.€FloydÏargues,€statutory€non„compliance€rendered€this€contract€void,€there€is€no€non„¼compliance€here.€€We€find€that€the€substance€of€the€statutory€requirements€isÏembodied€in€this€contract€and€that€any€minor€distinction€does€not€materially€alterÏthe€meaning€of€the€phrases€to€a€reasonable€reader.€€We€therefore€hold€that€thisÏagreement€does€not€"fail€to€conform"€to€the€provisions€of€the€code€asÏcontemplated€by€section€47„18„303.ÌÌÓ  ÓIII.€€ConclusionÌÓ`BÓà  àThe€exculpatory€clause€in€the€contract€between€Mr.€Floyd€and€The€ClubÏis€a€valid€and€complete€bar€to€Mr.€Floyd's€negligence€cause€of€action€as€a€matterÏof€law.€€Moreover,€Mr.€Floyd€cannot€escape€the€effect€of€this€clause€due€to€theÏcontract's€failure€to€incorporate€certain€statutorily„required€language€in€an€exactÏand€verbatim€manner.€€We€therefore€hold€that€the€trial€court€was€correct€in€itsÏgrant€of€summary€judgment€to€The€Club.€€While€we€reject€The€Club's€assertionÏthat€this€appeal€is€frivolous,€we€do€order€that€the€costs€of€this€action€be€assessedÏagainst€Mr.€Floyd.ÌÌÌÌÓ€Óà  àà  à__________________________________Ìà  àà  àWILLIAM€B.€CAIN,€JUDGEÌÌÌCONCUR:ÌÌÌ___________________________________ÌWILLIAM€C.€KOCH,€JR.,€JUDGEÌÌÌ___________________________________ÌPATRICIA€J.€COTTRELL,€JUDGEñ¨ñÐ H9˜4> Ðñ¨ñ
