àSometime€during€the€third€week€of€February,€1993,€Mr.€Gibson,Ïthe€plaintiff,€was€contacted€by€Jim€Clements,€the€defendant,Ïregarding€the€purchase€of€the€business€known€as€"The€MountainÏMan."€€The€two€men€subsequently€met€at€The€Mountain€Man€to€discussÏthe€sale€of€the€store.€€They€reached€an€agreement€and€executed€aÏPurchase€and€Sale€Agreement€on€March€5,€1993.€€The€AgreementÏprovided€in€pertinent€part€as€follows:ÌÌÓÓà8 à2.€€Purchase€Price:€€The€purchase€price€for€all€ofÏthe€Sellerððs€interest€in€the€business€known€as€MountainÏMan€shall€be€Eighty€Thousand€Dollars€($80,000.00),Ïpayable€as€follows:€$5,000€at€the€signing€of€this€Agree…ment;€$5,000.00€due€May€1,€1993;€$5,000€due€July€1,Ï1993;€$5,000€due€October€1,€1993€and€$60,000.00€shall€beÏpaid€in€monthly€installments€with€interest€at€the€rateÏof€10%€beginning€on€May€1,1993,€and€continuing€on€theÏsame€day€on€each€month€thereafter€until€fully€paid.ÌÌà8 àAt€the€time€of€the€signing€of€the€Agreement,€Mr.€ClementsÏtendered€to€Mr.€Gibson€the€sum€of€$5,000.00€and€executed€a€promis…sory€note€which€embodied€the€terms€of€the€repayment€agreement€andÏadditionally€provided€that€the€monthly€payments€would€be€$1,274.82Ïbeginning€on€May€1,€1993.ÌÌà àLate€in€April,€1993,€Mr.€Clements€had€some€concerns€about€theÏquantity€of€inventory€contemplated€by€the€Sales€Agreement.€HeÏcontacted€Mr.€Gibson.€€They€reached€an€oral€agreement€regarding€aÏmodification€of€the€original€sales€agreement.€€It€is€essentiallyÏthe€terms€of€this€oral€modification€that€gave€birth€to€this€con…troversy.€€According€to€Mr.€Gibson,€it€was€agreed€that€all€theÏ$5,000.00€installment€payments€would€be€waived€if€all€of€theÏmonthly€installment€payments€were€made€on€time€and€without€anyÏproblems.€€However,€according€to€Mr.€Clements,€Mr.€Gibson€agreedÏto€unconditionally€waive€the€three€remaining€$5,000.00€payments.ÌÌà àIt€was€undisputed€at€trial€that€while€the€May,€June€and€JulyÏpayments€were€made,€there€were€problems€associated€with€each.€TheÏcheck€for€the€May€payment€was€returned€due€to€insufficient€funds;× ƒ/ ××  ×Ïthe€June€payment€was€inadvertently€$23.77€short,€but€was€correctedÏthe€next€day;€the€check€for€the€July€payment€was€not€honored€byÏthe€bank€when€first€presented€due€to€insufficient€funds€but€wasÏhonored€on€the€following€day.ÌÌà àMr.€Gibson€filed€suit€seeking€a€money€judgment€for€the€entireÏbalance€of€the€note,€including€the€$5,000.00€payments.€€He€alsoÏsought€and€obtained€an€attachment.€€As€grounds€for€obtaining€theÏattachment,€Mr.€Gibson,€in€his€affidavit,€stated€that€Mr.€ClementsÏwas€in€default,€that€Mr.€Clements€was€absconding€or€about€toÏabscond€or€was€concealing€himself€or€his€property€or€that€he€wasÏfraudulently€disposing€of€his€property.€€Subsequent€to€obtainingÏthe€attachment,€the€sheriff€went€to€the€Mountain€Man€and€changedÏthe€locks€on€the€door.€€Mr.€Clements€was€not€given€a€key.ÌÌà àDonald€Hess€in€his€affidavit€stated€that€he€was€the€managerÏof€the€Mountain€Man€Shop€and€employed€by€the€defendant.€€He€de…posed€that:€"I€was€told€by€Mr.€Clements€to€sell€everything€in€theÏshop€no€matter€what€the€cost€and€for€me€to€get€some€boxes€becauseÍeverything€had€to€be€out€of€the€shop€by€Thursday,€July€15,€1993."€ÏHe€further€stated€that€he€had€witnessed€Mr.€Clements€selling€itemsÏfrom€the€shop€at€prices€well€below€costs€and€offering€to€sell€theÏdisplay€cases€and€other€fixtures€for€well€below€their€currentÏvalue€and€that€he€had€personally€heard€Mr.€Clements€tell€manyÏcustomers€that€he€was€going€out€of€business.ÌÌà àTimothy€W.€Lewis€stated€in€his€affidavit€that€on€July€10,Ï1993,€he€went€to€the€Mountain€Man€Shop€and€spoke€directly€with€Mr.ÏClements.€€"I€told€him€that€I€had€heard€he€was€selling€his€displayÏcases.€€He€responded€'how€many€do€you€want?'€€I€asked€him€how€muchÏhe€wanted€for€these€cases.€€He€said€they€were€worth€$800.00€each,Ïbut€he€would€sell€them€for€$200.00€each.€...€€I€returned€to€theÏMountain€Man€Shop€at€approximately€8:30€p.m.€the€same€day.€€IÏoffered€to€purchase€two€(2)€wooden€statues€one€with€a€price€tag€ofÏ$250.00€and€the€other€with€a€price€tag€of€$175.00€for€a€total€ofÏ$50.00.€€Jim€Clements€asked€me€how€many€I€wanted€at€that€price.€€IÏtold€him€that€I€just€wanted€the€two.€€So€I€purchased€the€two€(2)Ïstatues€for€$50.00.€€When€I€handed€Jim€Clements€the€$50.00,€heÍremoved€a€large€wad€of€money€from€his€pocket€and€placed€the€$50.00ÏI€had€given€him€in€with€the€rest€of€the€money€and€returned€the€wadÏto€his€pocket.€€Jim€Clements€did€not€ring€up€the€purchase€on€theÏcash€register€nor€did€he€give€me€a€receipt.ÌÌà àMs.€Judy€A.€Champagne€stated€the€following:ÌÓÓà8 àà àOn€July€9,€1993,€I€went€to€the€Mountain€Man€Shop...ÏWhile€in€the€shop€I€personally€heard€Jim€Clements€tellÏseveral€customers€that€he€was€selling€everything€soÏcheap€because€he€was€going€out€of€business.ÌÌà8 àà àI€was€also€told€by€Joel€œArwood›,€and€employee€of€JimÏClements,€that€he€had€been€instructed€by€Mr.€Clements€toÏsell€everything€in€the€store€for€whatever€price€wasÏoffered€and€that€Mr.€Clements€had€told€him€everythingÏwould€be€out€of€the€Mountain€Man€Shop€by€Thursday€[JulyÏ15,€1993].€€(Bracketed€material€in€the€original.)ÌÌÓÓÌà àQuite€clearly,€the€record€does€not€support€a€finding€that€theÏdefendant€is€absconding€or€concealing€himself€or€property,€hence,Ïthe€attachment€must€be€based€upon€the€statutory€ground€that€theÍdefendant€has€fraudulently€disposed€of,€or€is€about€to€fraudulent…ly€dispose€of€his€property.ÌÌà àIn€his€answer,€the€defendant€denies€that€he€was€fraudulentlyÏdisposing€of€his€property€and€testified€that€the€disposition€ofÏthe€property€was€in€the€ordinary€course€of€business€or€else€wasÏbeing€sold€in€anticipation€of€moving€the€business€to€anotherÏlocation.€€He€further€testified€that€the€plaintiff€knew€the€pur…pose€of€the€disposition.ÌÌà
