Thepartiesstipulatedtothefollowingfacts:8 8  1. Plaintiffscompriseacitizensgroupformedtocontestthevalidityofacontractenteredintobythe[BoardofMayorandAldermen]oftheTownofHallswithBrowningFerrisIndustries[BFI],aprivatefirm,forthecollectinganddisposalofsolidwastewithinthecorporatelimitsofthemunicipality.Plaintiffs,JamesL.Jones,NoelSherrod,OnealWhite,JerryStanley,TommyHansbrough,GaylonSmith,EddieBishop,NeldaBishop,DavidHurt,Jr.,JohnEskridge,TommyNix,andothers,areresidentcitizensoftheTownofHalls,taxpayers,and,invaryingcapacities,usersofresidentialandcommercialwastedisposalfacilitiesaffordedbythemunicipality.7/XXdXXd7 ` ` XӜ8 8  2. DefendantscomprisethedulyelectedBoardofMayorand[Aldermen]oftheTownofHalls(theBoard).8 8  3. OnJune6,1994,aproposalwaspresentedtotheBoardto contractoutsolidwastedisposaltoaprivatefirmtobepaidforfromfeeschargedtheusers.8 8  4. OnJuly11,1994theBoardvotedtoadvertiseforbidsforprivatewastecollection.8 8  5. ASpecificationsDocumentwaspreparedfortheBoardbyMTASandadvertisedinlocalnewspapers.8 8  6. Bidswerereceivedfromthree(3)firms.8 8  7. OnAugust1,1995theBoardsetAugust15,1995toopenbidsforgarbagecollection.8 8  8. OnAugust15,1995bidswereopenedandthemeetingadjournedtoAugust29th.8 8  9. OnAugust29,1995theBoardvotedtoaccepttheBFIbidforsolidwastecollection.8 8  10. PlaintiffssuitwasfiledSeptember30,1994insistingthattheBoardhadnoordinanceauthoritytodisbandtheTownssanitationdepartmentandcontractforwastedisposalwithaprivatecompany.PlaintiffsinsisttheBoardsactionisanullitybecausethepresent,operableordinancesoftheTowndonotauthorizeprivatewastecollection.Plaintiffssaytheyhaveadueprocessrighttobeheardthroughthestatutoryordinanceadoptionprocedure.8 8  11. TheBoardanswered,denyingthematerialallegationsoftheComplaint,andaffirmativelyinsistingthatthePlaintiffshavenostandingtobringthissuit,andfurtherthatTitle8,Chapter2,oftheTownofHallsCodeasamendedbyOrdinanceofSeptember5,1967aresufficientfortheawardingofacontractforcollectionofrefuse.8 8  12. AtemporaryrestrainingorderwasissuedSeptember30,1994andanorderfortemporaryinjunctionissuedNovember1,1994.8 8  13. BothpartieshavemovedforsummaryjudgmentbasedonthisStipulationofFactandtheStipulationofDocumentsfiledwiththeCourt.8     ,  ` ` X     ThestipulateddocumentsfiledbythepartiesincludedtheTowncharter,Townordinances,andotherdocuments.TheTownchartergrantstheTownthe fullpowerandauthorityto enactandpasssuchlawsandordinancesnecessaryandpropertopreservethehealthofsaidtown.TheTownordinancesprovide,interalia,that:Ӝ8 8    Collection.Allrefuseaccumulatedwithinthecorporatelimitsshallbecollected,conveyed,anddisposedofunderthesupervisionofsuchofficerastheboardofmayorandaldermenshalldesignate....   , Ҁ    Asamended,theordinancesprovidethefollowingdefinitionofcollector:Ӝ8 8    Collector!Theterm collector,shallmeananyperson,firm,corporation,orpoliticalsubdivision,thatcollects,transports,ordisposesofanyrefusewithinthecorporatelimitsofHalls,Tennessee.   ,    TheTownsordinancesalsorequirecollectorstoobtaincollectionpermits:Ӝ8 8    Permits.Noperson,firm,orcorporationshallengageinthebusinessofcollectingrefuseorremovingthecontentsofanyrefusecontainer(otherthantheownerofsuchcontainers)foranypurposewhatsoever,whodoesnotpossessapermittodosofromappropriateauthorityofthe[Town]ofHalls....   ,       Onappeal,thePlaintiffsraisethefollowingissueforthiscourtsreview:8 8    CantheBoardofMayorandAldermenoftheTownofHallsdoawaywiththeCitysanitationgarbagedisposalsystemandcontractsolidwastedisposalthroughaprivatelyownedindependentcontractorwithouttheauthorityofanenablingordinance?̛ Amunicipalityspowers aretobecarriedintoeffectanddischargedthroughprovisionsofordinancesenactedbythe[municipalitys]councilorothergoverningauthority.Brooksv.Garner,566S.W.2d531,532(Tenn.1978).Citingthisprinciple,thePlaintiffscontendthattheBoardsactionofenteringintoacontractwithBFIwasanullitybecausesuchactionwasnotauthorizedbyanyexistingTownordinance. Wedisagreebecauseweconcludethat,underexistingTownordinances,theBoardhastheauthoritytoenterintoacontractwithaprivatecontractorforthecollectionofsolidwastewithinthemunicipality.TheordinancesgivetheBoardtheauthoritytodesignateanofficerwhowillsupervisethecollection,conveyance,anddisposalofrefusewithintheTownscorporatelimits.TheordinancesbroadlydefineeligibleentitieswhichmaycollectwastewithintheTownscorporatelimitsto anyperson,firm,corporation,orpoliticalsubdivision,andrequiresuchentitiestoobtainapermitfromtheTown.Bytheirexpressterms,therefore,theordinancesauthorizetheBoardtodesignateafirmorcorporation,suchasBFI,tooverseethecollectionofwastewithintheTownscorporatelimits.Accordingly,werejectthePlaintiffsargumentthattheTownsordinancesdonotauthorizetheBoardtocontractforwastedisposalwithaprivatecompany.
