ThisdeclaratoryjudgmentactionwasinitiallyfiledbytheDeceased,JohnC.Phillips,againstFirstAmericanNationalBank(Bank),askingadecreebeenteredremovingthenameofhisdaughter,ViolaJ.Leonard,fromtwocertificatesofdepositwhichPhillipsclaimedtohavepledgedtosecureLeonardsdebt.Subsequently,PhillipsamendedhiscomplainttoaddViolaJ.Leonardasadefendant,andchargedthatLeonardhaddefraudedPhillips inobtainingthesecurityarrangement ,whereinPhillipscertificatesofdepositwerechangedfromhissoleownershiptotheirnamesjointlywiththerightofsurvivorship.Subsequently,PhillipsdiedandtheExecutrixofhisEstaterevivedtheactioninhernameandfiledyetanotheramendedcomplaint.  DefendantsfiledmotionsforsummaryjudgmentwhichtheTrialCourtultimatelygranted,andtheEstatehasappealedinsistingthereisdisputedmaterialevidenceastowhetherthedeceasedintendedtoaddViolaLeonardtothecertificatesofdepositwitharightofsurvivorship,andthatdefendantBankshouldbeheldliableforfailuretofollowtheinstructionsoftheownerofthecertificateofdeposit.SeveraldepositionsandaffidavitswereconsideredasapartofthesummaryjudgmentϜmotion.TheTrialCourtandthisCourtmusttakealloftheevidenceandviewitinthelightmostfavorabletotheopponentofthemotionandalllegitimateconclusionsoffactmustbedrawninfavoroftheopponent.Grayv.Amos,869S.W.2d925(Tenn.App.1993).  TherecordestablishesthatPhillipsintendedtopledgehisCDsassecurityforViolasloan.Thisisfirstestablishedbythecomplaints.Factualstatementscontainedinapleadingmaybeconsideredasadmissions.Pankowv.Mitchell,737S.W.2d293(Tenn.App.1992).However,anamendedcomplaintsupersedestheoriginalcomplaintandtheoriginalremainsineffectonlyiftheamendedcomplaintspecificallyreferstooradoptsit.Christianv.Lapidus,833S.W.2d71(Tenn.1992).  Plaintifffiledthreecomplaints.Thefirstcomplaintstatedthat plaintiffhasalwaysunderstoodthathewasputtingϜtheseup[CDs]tosecurealoanforhisdaughter.... ThesecondcomplaintadoptsbyreferencethefactualavermentsoftheoriginalcomplaintandstatesthatViolaLeonarddefraudedtheplaintiffinobtainingthesecurityarrangementandretitlingtheCDsbecauseshehadnointentionofrepayingthedebt.Thethirdcomplaint,filedafterPhillipsdeath,statesthatPhillipsdidnotsignorendorsetheCDsandthathedidnotauthorize,direct,orconsenttothepurchaseofthejointownershipCDsortothechangeofownership.Thiscomplaintdidnotadoptthepreviouslyfiledcomplaints.However,aswenotedinPankow,whilesuchadmissions losetheirconclusivecharacteroncetheyhavebeenamendedorwithdrawn,theycontinuetobeevidentiaryadmissions.... P.296.ThereisϜnomaterialevidencethatPhillipsdidnotintendtopledgetheCDsascollateralforhisdaughtersloan.  Thedaughtersubsequentlydefaultedontheloan,andtheCDs,ascollateral,wereliquidatedbytheBanktopayofftheloan.WhethertheCDsshouldhaveremainedintheDeceasedsnamealoneisofnoconsequenceastotheBank,sincetherecordestablishesheintendedtheCDstobepledgedascollateralfortheloan.UndereithercircumstancetheBankwasentitledtotheproceedsoftheCDstosatisfytheloan.Accordingly,astotheBank,summaryjudgmentwasproperandweaffirmtheTrialCourtonthisissue.  Weconcludethesummaryjudgmentonbehalfofthedaughtershouldbevacatedandthecauseremandedforfurtherproceedings.ThesignatureoftheDeceasedwasrequiredatthetimethecertificatesofdepositweretransferredtothenameoftheDeceasedandthedaughterjointlywiththerightofsurvivorship.Anaffidavitofahandwritingexpertwasfiledwhoopinedthatsignatures beyondareasonabledegreeofscientificcertaintyarenotauthentic signaturesofJ.C.Phillips.TakingthestrongestlegitimateviewoftheprobativeevidenceinthisrecordonbehalfoftheEstate,thereisadisputedissueofmaterialfactastowhetherPhillipsϜauthorizedthetransferofthecertificatesintojointownershipϜwithhisdaughterwiththerightofsurvivorship.Accordingly,thecauseisremandedfortheentryofajudgmentinfavorofdefendantBankandforfurtherproceedingsinaccordancewiththisopinionastodefendantViolaLeonard.
