Whenreviewingthechancellor'sdismissalofpetitioner'scomplaintwemustassumethetruthofthefactsallegedinthecomplaint. Pembertonv.AmericanDistilledSpiritsCo. ,664S.W.2d690,691(Tenn.1984); Blackmonv.Norris ,775S.W.2d367,368(Tenn.App.1989). PetitionerisaninmateattheSouthCentralCorrectionalFacilityinClifton,Tennessee.Thisfacilityismanagedbyaprivatecontractor,CorrectionsCorporationofAmerica.PetitionerpetitionedtheTennesseeDepartmentofCorrectionϜ("TDOC")foradeclaratoryorderfindingthatTDOCpolicynumber9502.01wascontrarytolaw.Petitionerallegedthatthepolicyauthorizedtheprivateprisoncontractortotake"illegal"disciplinaryactionagainstinmatesinthecontractor'scustody.Respondentdeniedtheallegationscontainedinthepetition. PetitionerthenfiledadeclaratoryjudgmentactionagainstrespondentintheChanceryCourtofDavidsonCountychallengingthepolicy'svalidityunderstatelaw.Petitionersoughttohavepolicynumber9502.01declaredinapplicabletohimbecauseitwasnotpromulgatedasarulepursuanttotheUniformAdministrativeProceduresAct("UAPA").Tenn.CodeAnn.4124115(1990); see Tenn.CodeAnn.45101&325(1991&Supp.1996).HealsosoughtadeclarationthatthepolicyviolatedTennesseeCodeAnnotatedsection4124110(5). Respondentfiledamotiontodismissand/orforsummaryjudgmentinNovember1995towhichpetitionerfiledamotionseekingajudgmentonthepleadingsand/orresponsetorespondent'smotion.Thechancellorgrantedtherespondent'smotiontodismissandindoingsostated,inpart:8 TheUAPAat45102(10)providesthatstatementsconcerningonlytheinternalmanagementofstategovernmentarenotrulesthatmustbepromulgatedasrequiredbytheUAPA.Thepolicyinquestionisjustthat,apolicyrelatingtotheinternalmanagementofstategovernment.8 Section4124110(5)oftheTennesseeCodeprohibitsacontractforCorrectionalServicesfromdiscipliningaprisoner.ThepolicyinquestionspecificallyrequiresthatadesigneeoftheCommissioneroftheTennesseeDepartmentofCorrectionapproveormodifythedisciplinaryaction.Therefore,thepolicydoesnotviolatethestatute. Thereafter,petitionerfiledatimelynoticeofappeal.  Wethinkitisclearthatthepolicyinquestionisnota"rule"withinthemeaningofTennesseeCodeAnnotatedsection45102(10)whichdefinesaruleasfollows:8 [E]achagencystatementofgeneralapplicabilitythatimplementsorprescribeslaworpolicyordescribestheproceduresorpracticerequirementsofanyagency."Rule"includestheamendmentorrepealofapriorrule,butdoesnotinclude:8 (A)Statementsconcerningonlytheinternalmanagementofstategovernmentandnotaffectingprivaterights,privileges,orproceduresavailabletothepublic....Policynumber9502.01addressestheinternalmanagementofrespondentanddoesnotinanywayaffecttherights,privileges,orproceduresavailabletothepublicatlarge.Thus,itisnotaruleasdefinedbytheUAPA. SeeHitsonv.Bradley ,No.932796II&923429II,1994WL420912,at*2*3(Tenn.App.12August1994).InasmuchasthepolicyisnotarulewithinthemeaningofTennesseeCodeAnnotatedsection45102(10),thedeclaratoryjudgmentprovisionsoftheUAPAdidnotentitlepetitionertochallengetheapplicabilityorvalidityofpolicynumber9502.01. See Tenn.CodeAnn.45224(1991). Wearealsooftheopinionthatpolicynumber9502.01doesnotviolatetheprovisionsofTennesseeCodeAnnotatedsection4124110(5).Petitionercontendsthatthepolicyviolatesthestatutebecauseitdelegatestheauthoritytotakedisciplinaryactionagainstaninmatetoa"privatemanagementcompany."TennesseeCodeAnnotatedsection4124110(5)provides:8 Nocontractforcorrectionalservicesshallauthorize,alloworimplyadelegationoftheauthorityorresponsibilityofthecommissionertoaprisoncontractorforanyofthefollowing: ....8 (5)Granting,denyingorrevokingsentencecredits;placinganinmateunderlessrestrictivecustodyormorerestrictivecustody;ortakinganydisciplinaryactions.Tenn.CodeAnn.4124110(5)(1990). Thepolicyapplies"[t]oemployeesofTDOCandprivatemanagedfacilities,andinmates."Thepolicyprovidesforacommissioner'sdesignee,aTDOCemployeeauthorizedbythecommissionertoserveastheapprovingauthority,toreviewalldisciplinaryactionsproposedbythecontractor.Pursuanttopolicynumber9502.01VI(D)(2),thecommissioner'sdesigneehasthefollowingroleindisciplinaryproceedings:8 Thecommissioner'sdesigneeshallobserveallClassAandBdisciplinaryhearings,andapproveormodifyallrecommendationsofthedisciplinaryboardatthetimeofthehearing.IncaseofClassCinfractionswherepunitivesegregationisrecommended,thecommissioner'sdesigneemustapprove/modifytherecommendationassoonaspossibleandpriortotheinmate'splacementinsegregation.IfthecommissionerdesigneeisnotpresentataClassChearingatwhichtheboardrecommendsanypunishmentotherthanaverbalwarning,thechairpersonshallforwardalldocumentationtothecommissionerdesigneeforreviewpriortopunishment. Wethinkitisclearthatthecommissioner'sdesignee,anauthorizedagentofrespondent,mustapproveanypunishmentrecommendedbythedisciplinaryboardataprivatelymanagedcorrectionalfacilityotherthanaverbalwarning.Thestatutesdonotmandatethateveryoneinvolvedinprisonerdisciplinaryproceedingsbeanofficialoremployeeofthestate.Itsimplyprohibitsthedelegationbycontractoftheauthoritytotakedisciplinaryactionstoaprisoncontractor.Underthepolicy,astateinmateataprivatelyoperatedprisoncannotreceiveawrittenwarningorbeplacedinpunitivesegregationwithouttheapprovalofastateofficial.Therefore,policynumber9502.01doesnotdelegatethepowertotakedisciplinaryactionstoprivatemanagementcompanyemployeesascontendedbythepetitioner.ThepowertodisciplineinmatesremainsinthecontroloftheStatethroughthecommissionerandthecommissioner'sdesignee.
