ThisisthesecondappealinacontinuingdisputebetweenfourofthesonsofAndrewK.Miller,deceased;namely,JamesMiller,LarryL.Miller,GarryMillerandAllenMiller.  ThesuitgivingrisetothepresentappealwasfiledbyJamesMilleragainstMillerBrothersFarms,Inc.,andhisthreebrothers,LarryL.,Garry,andAllenMiller.Theoriginalcomplaintcontainedthefollowingthreecounts:CountOnesoughttoterminateacertainleaseenteredintobetweenAndrewK.MillerandMillerBrothersFarms,Inc.,predicateduponthelessee'sfailuretopayrentasrequiredbythelease.Attrialandonappealfourotherdeficiencieswereasserted:nonpaymentoftaxes,failuretomaintainreplacementcostinsurance,failuretomaintainproperty,andfailuretodeliverinsuranceproceedstothelessor.CounttwosoughtapartitionofthelandsownedbyAndrewK.Millerwhichwereinheritedbyhissons,theindividualpartiestothissuit.CountthreesoughtajudicialdissolutionofthecorporationbecausetheactionsoftheDefendantdirectorswere"unlawful,oppressiveandfraudulent,andthattheyweremisapplyingorwastingthecorporateassets."  TheChancellorrefusedtodeclareaforfeitureoftheleaseorajudicialdissolutionofthecorporation,resultinginthisappealbyJames,insistinghewasinerrorinbothrespects.  Attheoutset,twomattersneedtobeaddressed.First,thedecreeinthiscauseisnotafinaloneinthatcounttwohasnotbeenresolvedandremainspending.However,becausethevalidityoftheleaseissignificantindeterminingthevalueofthepropertyifsoldforapartitionundercounttwo,wedeemitappropriatetotreatthisappealbothastocountsoneandthreeasaRule9InterlocutoryAppealandsuspendalluncompliedwithrequirementsnecessaryforsuchanappeal.  Second,threemotionstoconsiderpostjudgmentfactshavebeenfiled,onebyJamesMillerandtheothertwobytheAdministrator,C.T.A.,fortheEstateofAndrewK.Miller.AllthreearedeniedbecauseeithertheydonotmeettherequirementsofRule14oftheTennesseeRulesofAppellateProcedureforsuchmotions,ordonotaddressmattersgermanetotheissuesraisedinthisappeal.    Astotheissuerelatingtoforfeitureofthelease,thepertinentprovisionsthereofareasfollows:    1. ....Shouldanymonthlyinstallmentremainindefaultthirty(30)days,thenandinthateventtheOwnermaygivetheTenantsathirty(30)daywrittennoticemailedbycertifiedmailtotheirlastknownaddress,directingtheTenantstocurethedeficiencyandbringthepaymenttodatewithinthirty(30)daysofthewrittennotice,andintheeventthattheyfailtodosothiscontractoranybalancethereon,oranyunexercisedrightsthereunder,shallbeforfeitedandthebalanceofthecontractdeclarednullandvoidattheoptionoftheOwner.2. TheLesseeagrees: (a)Thatitwillpaythesaidrentatthetimesandinthemanneraforesaid. (b)DuringthetermhereoftheLesseeshallpayalloftherealestatetaxesandintheeventtheyfailtodoso,theLessorshallpaythetaxesandtheamountthuspaidshallbeaddedandbepaidasapartoftherentalhereinprovided. (c)ThatitwillduringthesaidterminsureandkeepinsuredinthenameofthelessoranyandallbuildingsonthepremisesfromlossandkeeptheminsuredinthenameoftheLessorfromlossordamagebyfireinatleastasumequaltothecosttoreplacesaidbuildingsininsurancecompaniestobeapprovedbytheLessor,andthatitwillpayallthepremiumsnecessaryforthosepurposespromptlyafterthesameshallbecomedue,andwillpromptlydelivertotheLessorthepoliciesofinsuranceandthereceiptsforsuchpremiums:Provided,thatiftheLesseeshallatanytimefailtoinsureorkeepinsuredasaforesaid,theLessormaydoallthingsnecessarytoeffectormaintainsuchinsurance,andanymoneysexpendedtohimforthatpurchaseshallberepayablebytheLesseeondemand,andmayberecoveredasrentinarrear. .... (g)Thatitwillkeepallbuildingsandpremises,includingtheplumbingandelectricalsystems,insuchrepairasthesameareatthecommencementofthesaidtermormaybeputinduringthecontinuancethereof,reasonablewearandtearanddamagebyfireorotherunavoidablecasualtyonlyexpected[sic]andwillpromptlyreplaceallglassthereofbrokenduringthesaidtermbyotherofthesamesizeandquality. ....4. IftheLesseeoritsrepresentativesorassignsshallneglectorfailtoperformandobserveanycovenantwhichontheLessee'spartistobeperformed,orifhisleaseholdestateshallbetakenonexecution,oriftheLesseeshallbedeclaredbankruptorinsolventaccordingtolaw,orshallmakeanassignmentforthebenefitofitscreditorsotherthanSweetwaterValleyBank,thentheLessormay,immediatelyoratanytimethereafter,butonlywithnoticeordemandtoandtheexpresswrittenconsentofSweetwaterValleyBank,enterintoanduponthepremisesoranypartthereof,andrepossessthesameasoftheirformerestate,andexpeltheLesseeandthoseclaimingunderhimandremovetheireffects,forcibly,ifnecessary,withoutbeingtakenordeemedtobeguiltyofanymanneroftrespass,andthereuponthisleaseshallterminate,butwithoutprejudicetoanyremedieswhichmightotherwisebeusedbytheLessorforarrearsofrentoranybreachoftheLessee'scovenants.5. Incasethepremisesoranypartthereofshallatanytimeduringthesaidtermbedestroyedordamagedbyfireorotherunavoidablecasualty,theLessormaykeepanyinsuranceproceedswhichcompensateforsaidloss,butthisleasewillcontinueinfullforceandeffectforthepremisesinitsdamagedorunimprovedcondition.      Itwillbenotedfromtheforegoingthattherenttobepaidwastobeagreeduponbythepartiesannually.Theproofshowedthatthelesseespaid$1000permonthpluspaymentsonacertainindebtednesspreviouslyincurredbyAndrewMiller,aswellasinsuranceandtaxes.AfterthedeathofAndrewMillerthe$1000permonthpaymentswerenotmadeandremainedunpaiduntilthehearingbeforetheChancelloronNovember17,1994.AfterthehearingheorderedthatthearrearageastothemonthlypaymentsbemadeimmediatelytotheEstateofAndrewMiller,andalsotheensuingmonthlypayments,whichhefixedat$1000.  Astothefirstinsistencerelativetofailuretopayrent,theDefendantscontendthatbecausetheleaserequiredtherentalamounttobedeterminedannually,itwasnotpaidbecausenosuchdeterminationhadbeenmade.WeagreewiththeChancellorthatitwasappropriate,inlightofthefactthat$1000cashplusotherpaymentshadbeenmadeinthepast,thiswouldbeanappropriateamounttopaypendingadeterminationoftheannualrent.Howeverthatmaybe,itisclearfromtheleaseagreementthatbeforetheleasecanbedeclaredvoidforfailuretopayrent,noticemusthavebeengivenbythelessortothelessee.Inthepresentcasenosuchnoticewasgivenandtheleasemaynotbeforfeitedforthisreason.  Astothenexttwoinsistencesrelativetononpaymentoftaxesandfailuretoobtainappropriateinsurance,theleasespecificallyprovidesthelessormaycureanydeficiencyandchargethesametothelessee.    Becausethespecificreliefaccordedbytheleasetothelessor,asdistinguishedfromthegeneralreliefrelativetobreachofanycovenants,andthefactthatforfeituresarenotfavoredunderourjurisprudence,Hootonv.NacaratoGMCTruck,Inc.,772S.W.2d41(Tenn.App.1989);Hasdenv.McGinnis,54Tenn.App.39,387S.W.2d631(1964),weareinclinedtobelievethatthelessors'remedywouldbeasspecificallysetoutintheleaserelativetothesetwoitems,andthattheChancellorwascorrectinrefusingtovoidtheleaseonthosegrounds.  Withregardtothefailuretomaintaintheproperty,theprincipalcomplaintisthatrepairswerenotmadeafterwindstormdamage.Itwillbenoted,however,thattheleasespecificallyexcepted k   ׀unavoidablecasualty.  Astosection5oftheleaseregardinginsuranceproceeds,itwillbenotedthattheprovisionisnotlistedundercovenantsofthelesseeanddoesnotrequirethelesseetodeliverinsuranceproceedstothelessor.Itonlygivesthelessortherighttoretainthem,whichenvisionedtheirbeingpaidtothelessorratherthanthelessee.Consequently,thelesseedidnotbreachthisprovision.Moreover,itshouldalsobenotedthatSection5isseparateandapartfromSection4,givingthelessortherightofreentryforfailuretoperformthecovenantsenumeratedinSection2.Finallyastothispoint,wenotethatcertainrepairsweremadebytheinsuranceproceedsreceivedbythelesseeandotherswerecontemplateddependinguponadeterminationoftheextentofthedamagetoabarn.  Astotheissuesconcerningdissolutionofthecorporation,ourreviewoftherecordpersuadesusthatthisisanappropriatecaseforaffirmanceunderRule10(a)ofthisCourt.
