On26June1981,FredMooremarrieddefendant.Inobediencetothepropertysettlementagreementandthedecreeofthetrialcourt,Mr.Mooreobtainedandmaintainedalifeinsurancepolicyintheamountof$250,000.00throughLincolnIncomeLifeInsuranceCompany.Helistedplaintiffasabeneficiaryasrequiredbythepropertysettlementagreementandthedecree. Onorabout19January1989,FredMooredeletedplaintiffasanamedbeneficiary.Asaresult,defendantwastheonlyremainingnamedbeneficiaryofthepolicy.Mr.MoorediedinFebruary1990,andLincolnIncomeLifeInsuranceCompanypaidtheentirefaceamountofthepolicytodefendant. DefendantfiledapetitiontoprobateMr.Moore'swillinJuly1991.TherecordinthatcaserevealsthatMr.Mooreownedapolicyofinsuranceintheamountof$250,000.00atthetimeofhisdeath.Thecourtenteredafinalsettlementoftheestateon11February1992withallproceedsbeingpaidtodefendant. Plaintifffiledsuiton12July1993seeking$50,000.00oftheproceedsfromthelifeinsurancepolicy.BothpartiesfiledmotionsforsummaryjudgmentinSeptember1995.Shortlythereafter,thechancerycourtentereditsfinaljudgment.Thecourtdeniedplaintiff'smotion,granteddefendant'smotion,anddismissedplaintiff'scomplaint.Plaintifffiledhernoticeofappealon14Decemer1995.Onappeal,plaintiffsimplyasksthatthiscourtdeterminewhetherthechancerycourt'sdecisionwascorrect. Defendantmakestwoargumentsinsupportofthecourt'sorder.First,defendantcontendsthatplaintiff'sonlyclaimagainstdefendantindividuallyisoneforaconstructivetrust.Moreover,defendantarguesthatplaintiffcannotprevailonsuchaclaimbecauseshefailedtoallegeanyimproperconductonthepartofdefendant.Second,defendantcontendsthatplaintiffissimplyacreditorofherfather'sestatewithapossibleclaimforbreachofcontractbecauseplaintiffdidnothaveavestedrighttotheinsuranceproceeds.Weaddresstheseargumentsindividually. Defendantarguesthatplaintiffcannotprevailonherconstructivetrustclaimbecauseplaintiffcannotestablishanecessaryelementofaconstructivetrust,i.e.,thatdefendantcomittedfraudorsomeotherunconscionableconduct."Aconstructivetrustmayonlybeimposedagainstonewho,byfraud,actualorconstructive,byduressorabuseofconfidence,bycommissionofwrong,orbyanyformofunconsciousableconduct,artifice,concealmentorquestionablemeans,hasobtainedaninterestinpropertywhichheoughtnotinequityoringoodconscienceretain." IntersparaxLeddinKGv.AlHaddad ,852S.W.2d245,249(Tenn.App.1992).Weagreethatthereisnoproofinthisrecordthatdefendantwasindividuallyguiltyoffraudorotherunconsciousableconduct;however,weareoftheopinionthatMr.Mooreanddefendantwereprivies. In LeMayv.Dubenbostel, No.03A019110CH00354,1992WL74584(Tenn.App.15April1992),thiscourtheld:8 [Thesecondwife]wasinprivitywiththedeceased.Priviesarenotonlythosepersonswhoarerelatedbybloodorlaw,butalsothosewhoarerelatedthroughfactsshowingidentityofinterest.Priviesareoftensaidtohave"derivative"interests.Examplesofpersonsinprivityeachwiththeother,includeheirsandancestors,doneesanddonors,lessorsandlessees.Whereaninsuredchangesthebeneficiaryonalifeinsurancepolicyandexpires,thenewlynamedbeneficiaryisinprivitywiththedeceasedinsured. Id. at*2(citationsomitted); accordGoodrichv.MassachusettsMut.LifeIns.Co. ,34Tenn.App.516,530,240S.W.2d263,270(1951).Inthepast,courtshavealsoheldthatabeneficiaryisliablefortheactsoftheinsuredwithoutquestioningtherelationshipbetweenthebeneficiaryandtheinsured.Forexample,inacasedecidedbythewesternsectionofthiscourt,thedecedent'sexwifesuedthedecedent'ssistertorecoverlifeinsuranceproceedsguaranteedtheexwifeinadivorcedecree. Harringtonv.Boatright ,633S.W.2d781,782(Tenn.App.1982).Thechancerycourtfoundthatthesisterheldtheproceedsoftwolifeinsurancepoliciesinaconstructivetrustforthedecedent'sexwife'sbenefitasaresultofthedecedentchangingthebeneficiaryincontraventionofthedivorcedecree. Id. at783.Thechancellorawardedtheproceedstotheexwifeandthiscourtaffirmedthedecision. Id.  Defendantalsoarguesthatplaintiffcannotrecoverthemoneybecauseplaintiffneveracquiredavestedinterestinit.MostTennesseecaseswhichhaveaddressedthisissuehavedealtwiththesituationwhereatleastonelifeinsurancepolicyexistedatthetimethetrialcourtenteredthedivorcedecree.Inthesecases,thecourtsbegintheirdiscussionswiththefollowinggeneralrule:Whentheinsuredretainstherighttochangethebeneficiary,thebeneficiaryhasonlythemereexpectancyofreceivingthebenefitsunderthepolicy. See,e.g.,Bellv.Bell ,896S.W.2d559,562(Tenn.App.3March1994).Courtsthengoontoconcludethatthebeneficiary'sinterestvestswhenacourtentersadecreerequiringtheinsuredtomaintainthepolicyandprohibitingtheinsuredfromchangingthebeneficiary. Id.  In Brooksv.Brooks ,No.03A019309CH00323,1994WL71528(Tenn.App.1994),thedecedent'sexwifebroughtacauseofactionagainstthedecedent'ssecondwifeandhisestateforthedeficiencyintheexwife'slifeinsuranceproceeds. Id. at*1.Pursuanttotheexwifeandthedecedent'sdivorcedecree,thedecedentwastoacquireandmaintain$175,000.00inlifeinsuranceandtonamehisexwifeasthebeneficiary.Therewerenolifeinsurancepoliciesineffectatthetimeofthedivorce. Id. Atthetimeofhisdeath,thedecedenthada$150,000.00insurancepolicynaminghisexwifeasthebeneficiaryandotherpoliciesnaminghissecondwifeasthebeneficiary.Becausetherewerenopoliciesineffectatthetimeofthedivorce,thecourtheldthattheexwife'sinterestintheproceedsfromtheotherpoliciesdidnotvest. Id. at*2.Thus,thecourtdidnotallowtheexwifetorecoverthe$25,000.00deficiency. Id. Theeasternsectionaffirmedthetrialcourt'sdecisiononappeal. Id.  Thedecisionin Brooks wouldseemtoforecloseanyrecoveryonthepartofplaintiff;however,thepresentcaseisdistinguishable . Intheinstantcase,thefatherobtainedtheappropriateinsurance,albeitafterthedecree,andthenchangedthebeneficiary.WeareoftheopinionthatplaintiffobtainedavestedinterestintheinsuranceproceedsonceMr.Moorecompliedwiththecourt'sorder.In Brooks, thedecedentnevercompliedwiththecourt'sorder.Theeasternsectionofthiscourthasstatedthat"inalldoubtfulcasesthedoubtshouldberesolvedagainsttheonewhohaschangedthebeneficiaryindefianceofacourtorder." Holbertv.Holbert ,720S.W.2d465,468(Tenn.App.1986).Inacasewhichwasfactuallysimilartotheinstantcase,thecourtheldasfollows:8 Itisageneralruleinthisjurisdictionwhereajudgmentrequiresapartytomaintainalifeinsurancepolicyforthebenefitofanother,aCourtofequitywillnotallowtheCourt'sjudgmenttobedefeatedbychangingthebeneficiaryorcancellingthepolicy,butwillimposethejudgmentobligationonanypolicyownedbythedefendantathisdeath. LeMay ,1992WL74584at*3.̛ Weholdthatthesecondwife,thedefendant,wasinprivitywiththedeceasedandthatplaintiffobtainedavestedinterestintheinsuranceproceedswhenMr.Moorecompliedwiththecourt'sorder. Wehavealsoconsideredplaintiff'sissueofwhetherthetrialcourterredinfailingtogranthermotionforsummaryϜjudgment.Weareoftheopinionafterfullyreviewingthisrecordthattherearematerialfactualissueswhichprecludethegrantingofplaintiff'smotionforsummaryjudgment. Therefore,itresultsthatthejudgmentofthetrialcourtisaffirmedinrefusingtogranttheplaintiff'smotionforsummaryjudgmentandreversedingrantingthedefendant'smotionforsummaryjudgment.Thecauseisremandedtothetrialcourtforfurthernecessaryproceedings.CostsaretaxedonehalftoϜplaintiff/appellant,JenniferEllenMooreAkin,andonehalftodefendant/appellee,Mrs.Fred(Londa)Moore,Jr.̛̀Ӝ  __________________________________  SAMUELL.LEWIS,JUDGECONCUR:_________________________________HENRYF.TODD,P.J.,M.S._________________________________BENH.CANTRELL,J.
