TheplaintiffhasfiledapetitionforrehearingwhichassertsthatweoverlookedplaintiffsresponsetoafaxfromFryesattorneywhichwasmentionedintheoriginalopinion.  REM,apartnershipconsistingofDeweyRandallWaddell,ElizabethWaddellShort,MichaelLynnWaddell,andWaddellEnterprises,Inc.,faxedFryeaspecimendeedonJanuary30,1995.AdisputethenaroseoverREMsfailuretoprovideapartnershipcertificateofacknowledgmentandacorporateresolutionfromWaddellEnterprises,Inc.AccordingtotheaffidavitofthetitleattorneyatCharterSavingsBank(Fryeslender),theattorneyforREMwasnotifiedoftheseproblems.ϜOnMarch6,1995afaxfromFryesattorneyinformedREMthatthelenderbankrequiredacorporateresolutionforgoodtitleandthatuntilthiswasdone,heconsideredREMinbreachofthesettlementagreement.REMthenfaxedFryeadeedthatincludedapartnershipcertificateofacknowledgment.  Fryedidnotappearatthescheduledclosing.  OnMarch7,1995REMfiledanApplicationforEntryofFinalJudgmentaskingthecourttoenterjudgmentasprovidedinthesettlementagreement.OnMarch14,1995 theChancellorruledthatFryehad notfulfilledhisobligationsundertheCompromiseandSettlement...PlaintiffisentitledtoimmediateentryofafinaljudgmentundertheCompromiseandSettlement.... . TheCourtstatedthatthecloudassertedonthetitlewaswrongful,null,andvoid,andthatREMcouldrecover$20,000.00indamages.   OuropinionwasissuedanMay23,1996.Wedeterminedthatacorporateacknowledgmentwasnecessarytoconveyvalidtitleandremandedthecasetodeterminewhichpartybreachedthesettlementagreement.  AppellantinhisbriefhadarguedthatREMhadfailedtotimelysatisfytwoelementsnecessaryforaneffectiveconveyance,apartnershipacknowledgmentandacorporateresolution,whichwerebelievedtoberequiredbecauseWaddellEnterprises,Inc.,acorporation,wasaoneofREMspartners.  Whileweaddressedtheissueofthepartnershipacknowledgment,weoverlookedtheacknowledgmentthatwassubmittedandintherecord.SinceREMhadprovidedanacknowledgment,signedbyallofthepartners,thatpointwasmoot.  Theissueofwhetheracorporateresolutionwasrequiredisgovernedthefollowingprovision:0 0 T.C.A.611109 reads : 0 0 Conveyancesofrealproperty. (a)Whentitletorealpropertyisinthepartnershipname,anypartnermayconveytitletosuchpropertybyaconveyanceexecutedinthepartnershipname,butthepartnershipmayrecoversuchpropertyundertheprovisionsof611108(a),orunlesssuchpropertyhasbeenconveyedbythegranteeorapersonclaimingthroughsuchgranteetoaholderforvaluewithoutknowledgethatthepartner,inmakingtheconveyance,hasexceededhisauthority.  T.C.A.611108(a) reads:0 0 0 0 Agencyofpartners. (a)Everypartnerisanagentofthepartnershipforthepurposeofitsbusiness,andtheactofeverypartner,includingtheexecutioninthepartnershipnameofanyinstrument,forapparentlycarryingonintheusualwaythebusinessofthepartnershipofwhichheisamember,bindsthepartnership,unlessthepartnersoactinghasinfactnoauthoritytoactforthepartnershipintheparticularmatter,andthepersonwithwhomheisdealinghasknowledgeofthefactthathehasnoauthority.  WhenWaddellEnterprises,Inc.enteredthepartnershipagreement,itbecameapartnergovernedbythePartnershipAct.SeeCultrav.Cultra,221S.W.2d533(Tenn.1949).AlthoughCultrawasdrawingadistinctionbetweenpropertywhichwouldstaypartofthepartnershipandpropertywhichdescendedtotheheirsofadeceasedpartner,itsholdingthatpartnershiprulestakeprecedenceisapplicable.SeePutnamv.Shoaf,620S.W.2d.510(Tenn.App.1981);alsoseeHolcombv.Fulton,43B.R.273(M.D.Tenn.,1984).Asapartner,WaddellEnterprisesconveyanceofpropertywasgovernedbythesame611109partnershipprovisionastheotherpartners.Acorporateresolutionwasthereforenotnecessary.  REMsuppliedadeedandacknowledgmentbeforethedeadlinefortheagreement.Giventhattheconveyancewasgovernedbypartnershipruleswhichdonotrequireacorporateresolution,REMsuppliedthenecessaryelementsforagoodtitle.AsFryesrefusaltoclosethedealthereforebreachedtheobligationofthesettlementagreement,weconcludetheTrialCourtsawardofdamagestoREMshouldbeaffirmed.  Totheextentthatthisopinionisinconflictwithouroriginalopinion,theoriginalopinionisrecalledandmodified.
