Thepropoundedcontractisaprintedform,withvariousmanuscriptedprovisions,someofwhichwerecanceledbylinedrawingandsomeofwhichwereinterlined.Inareasonablelight,thecontractprovidesthattheselleragreestoconvey 15acresinFayetteCountytoJereLynnRogersandwifeCynthiaRossRogersfor$40,000.00cashatclosing,less$500.00earnestmoney,contingentuponthepurchasersobtainingaloanwithin20days,andcontingent thattheWinstonDavisestatebeclosedbytheprojectedclosingdateofthiscontract,42994. Thecontractwasexecuted WinstonC.DavisEst.byMarkW.Davis,Exec.Theclosingdatewasinitially 20daysofthisdate[March61994]orMarch261994.ItwaschangedtoMarch30,thentoApril29,thentoMay3,thentoJune29,thentoJuly31,1994,accordingtothemanuscriptedalterations. Theplaintiffsallegedthataclosingdateof onoraboutJuly6,1994wasagreedupon,thatthedefendantdidnotappearbutinformed therealestateagentortheclosingattorneythathedidnotintendtoclosethetransaction.TheyallegedthatthecontingencyoftheclosingoftheWinstonDavisestateisnotanobstaclesincethenonclosurewasdeliberate,andthatthedefendantexecutorhasfullpowerandauthoritytosellsubjectpropertybyvirtueofthedulyprobatedwillofWinstonC.Davis. JoinedasdefendantswereTeresaDavisSteinberg,MargaretDavisPickensandGaryStephenDavis,againstwhomnoreliefissought.TheyansweredseparatelyfromtheExecutor,allegingthat(1)thecomplaintfailstostateaclaim,(2)thecontractexpiredandisunenforceable,(3)thepropertydescribedinthecomplaint overlapsand/orencroachesuponthepropertyownedbyGaryStephenDavisand,thus,theplaintiffsareseekingimpossiblerelief.TheyaverredthatiftheExecutorhadtheauthoritytoselltherealestatebyvirtueofthewillofWinstonC.Davis,saidwillrequiredtheExecutortogivethesedefendantsthefirstrefusaltopurchasetheproperty. ThedefendantExecutorfiledananswerallegingthatheintendedtoexecutethecontractinhisindividualcapacitybutwas advisedbyhisrealestateagenttosignastheExecutoroftheestateofWinstonC.Davis,thatthedescriptionofthepropertyincludestheresidenceofGaryS.Davis,thatheadvisedhisrealestateagentthathewasreadyandabletoconveyhisonefourthinterestintheproperty,butthathewasnotauthorizedtoconveytheinterestsofhissiblings.Heallegedthatthefilingofthislawsuitpreventedtheclosingoftheestate;thatinanyeventtheclosingwas setforApril29,1994"anddidnotoccur. Followingatrialonthemerits,thechancellordeniedspecificperformance,holdingthatthepurportedcontractwasnotclearandthusunenforceable,andthattheExecutorhadnoauthoritytoselltheproperty,but,evenso,hewasrequiredtoofferitfirsttohissiblings.Theplaintiffsappeal,andpresentfiveissuesforreview,whicharedirectedtotheproprietyofdecliningtograntspecificperformance. Attheoutset,wenotethatsincethecomplaintseeksnoreliefagainstthedefendants,TeresaDavisSteinberg,MargaretDavisPickensandGaryS.Davis,thecaseagainstthemshouldhavebeendismissedonthatground,andtheywillnotbefurthernoticed. Ourreviewisdenovoontherecord,accompaniedbythepresumptionthatthechancellorsfindingsoffactarecorrectunlesstheevidenceotherwisepreponderates.T.R.A.P.13(d);Hackettv.SmithCounty,807S.W.2d695,699(Tenn.Ct.App.1990). ThethrustoftheappellantsargumentisdirectedtotheirassertionthattheExecutorpossessedtherequisiteauthoritytosellthepropertypursuanttothewillofWinstonC.Davis,which,asparaphrased,intheeventhesurvivedhiswife,devisedsubjectpropertytohisfournamedchildren.ItemEightofthewill 1   givestheExecutor intheexerciseofreasonablediscretiontherightto exerciseanyandallofthepowerssetforthin...T.C.A.35618....,which,aspertinenthere,provides:0 3550110.Specificallyenumeratedfiduciarypowerswhichmaybeincorporatedbyreference .Withoutdiminutionorrestrictionofthepowersvestedinthefiduciarybylaworelsewhereinthisinstrument,andsubjecttoallotherprovisionsofthisinstrument,thefiduciary,withoutthenecessityofprocuringanyjudicialauthorizationtherefor,orapprovalthereof,shallbevestedwith,andintheapplicationofsuchthebeneficiariesofthisinstrumentshallbeauthorizedtoexercise,thepowershereunderspecificallyenumerated:  ***  0 (6)Bypublicorprivatesaleorsales,andforsuchconsideration,onsuchtermsandsubjecttosuchconditions(ifany)asinthejudgmentofthefiduciaryareforthebestinterestsoftheestateandthebeneficiariesthereof,tosell,assign,transfer,convey,orexchangeanyrealorpersonalpropertyoftheestate,ortheestatesundividedinterestinsuchproperty,oranyspecificpartoforinteresttherein(including,butnotlimitedto,standingtimber,rock,gravel,sand,growingcrops,oil,gasandothermineralsormineralrightsorinterests),andtogranteasementsonrealpropertyoftheestate,andtoparticipateinthepartitionofrealorpersonalpropertyinwhichtheestatehasanundividedinterest;andtoaccomplishanysuchtransactionsbycontracts,endorsements,assignments,billsofsale,deedsofotherappropriatewritteninstrumentsexecutedanddeliveredbythefiduciaryinbehalfoftheestate,andtoacknowledgetheexecutionofsuchinstrumentsinthemannerprovidedbylawfortheacknowledgmentoftheexecutionofdeedswhensuchacknowledgmentsarerequiredorappropriate. Thewillalsoprovidedthat intheeventitisnecessaryorpropertosellanyportionsofthefarmrealtythatinsucheventIherebyspecificallygranttoeachofmychildrenhereinarightoffirstrefusalwithrespecttotherighttopurchasesaidproperty. Therealpropertyofatestatorvestsupondeathinthenamedbeneficiariesunlessthewillcontainsaspecificprovisiondirectingthatthepropertyshouldbeadministeredaspartoftheestatesubjecttothecontrolofthepersonalrepresentative.T.C.A.312103. Theappellantsarguethatthestatutoryschemethenprovidesforspecificallyenumeratedfiduciarypowers,T.C.A.3550110,which,whenincorporatedinthewill,vestsintheExecutortherighttoadministerthespecificallydevisedpropertyaspartoftheestatesubjecttothecontroloftheExecutor. ThisprovisionistheExecutorsrighttoselltheproperty,butonlyifinhisjudgmentasaleisinthebestinterestsoftheestateandbeneficiariesthereof,orifthesaleisnecessaryorproper.TherecordisrepletewithevidencethattheestateofWinstonC.Davishadbeenfullydischarged,thattherewerenoliens,taxes,claimsorchargesagainsttheestate,andthatitwasneithernecessarynorproperfortheExecutortoselltheproperty. Wealsoagreewiththechancellorthatthepropoundedcontract 2   ׀containssomanydiffering,conflictingandconfusingprovisionsastorenderitunenforceable.Closingdatesaredifferentoneachcontract;conditionsaredifferent;somechangesareinitialed,whilesomearenot.Allinall,itisanobfuscatoryinstrument(s)andthechancellorwasjustifiedinrefusingtoenforceit.SeeϜShuptrinev.Quinn,597S.W.2d728(Tenn.1979).Moreover,theacreagespecifiedinthecontractincludedpropertyadmittedlyownedindividuallybyGaryS.Davis,whowasnotasignatorytotheagreement. Theremedyofspecificperformanceessentiallyinvokesthediscretionofthechancellor.Parsonsv.Hall,199S.W.2d99(Tenn.1949);Northv.Robinette,527Ϝ%  S.W.2d95(Tenn.1975),andthecontractmustbecertainastoterms,mustbeclear,definiteandcomplete.Thecontract(s)athanddonotmeetthesecriteria.
