à€€€Four€members€of€the€Rudy€family€inherited€a€piece€of€land€onÏMusic€Valley€Drive€in€Nashville,€a€popular€tourist€area.€€InÏ1986,€Gulf€Coast€Development,€Inc.€(GCD),€an€owner€andÍoperator€of€Shoneyððs€Inns,€proposed€to€buy€the€property€andÏerect€a€hotel€on€it.€€The€heirs€did€not€want€to€give€up€theÏproperty,€and€so€the€parties€entered€into€a€limited€partnershipÏagreement€by€which€GCD€was€able€to€build€a€Shoneyððs€Inn€onÏthe€property,€and€the€Rudy€heirs€acquired€a€40%€interest€in€theÏproposed€hotel€enterprise,€as€well€as€a€$40,000€a€year€groundÏlease€agreement€for€the€use€of€the€land.ÌÌà8 àà8 à€€€€Gulf€Coast€Development€became€the€general€partner,€andÏretained€a€60%€interest.€€The€partnership€was€called€ShoneyððsÏInn€of€Opryland,€Ltd.€€The€name€was€later€changed€to€ShoneyððsÏInn€of€Music€Valley,€Ltd.,€and€GCD€later€became€Sholodge,ÏInc.€€The€August€4,€1986€partnership€agreement€recited€that€itsÏexecution€coincided€with€the€activation€of€a€managementÏagreement€between€the€partnership€and€the€general€partner,Ïwhereby€the€general€partner€would€receive€a€fee€of€6%€ofÏrevenues€for€managing€the€affairs€of€Shoneyððs€Inn€of€Opryland.ÌÌ919€S.W.2d€at€610.ÌÌÓÓÔ€Ôà àIn€the€Limited€Partnership€Agreement,€Sholodge€and€Rudy€Heirs€wereÏallowed€to€compete€with€the€Partnership,€but€Sholodge€could€not€acquire€anÏð ðownership€interestðð€in€another€hotel.€€The€Limited€Partnership€AgreementÏprovides€in€pertinent€part:ÌÓÓà8 àà8 à5.7à àòòIndependent€Activities.óóÌà8 àà8 àà ×€(Prime).€€Sholodge€and€Prime€agreed€to€developÏat€least€10€AmeriSuites€hotels€in€the€first€year€of€the€agreement,€and€then€10ÏAmeriSuites€hotels€per€year€each€year€until€1994.€€Sholodge€identified€possibleÏsites€for€the€AmeriSuites€and€submitted€development€proposals€to€Prime.€€IfÏthe€potential€site€was€acceptable€to€Prime,€Sholodge€negotiated€a€purchaseÏagreement€and€then€acted€as€an€independent€contractor€for€construction€of€theÏhotel.€€Finally,€Sholodge€managed€the€hotel€after€completion.€€Prime€wasÏresponsible€for€financing€at€all€stages€of€development.Ìà àSholodge€located€an€acceptable€site€for€an€AmeriSuites€hotel€in€NashvilleÏin€accordance€with€the€hotel€development€agreement€with€Prime.€€The€site€wasÏlocated€next€to€the€Shoneyððs€Inn€owned€by€the€Partnership.€Ìà àPrime€did€not€want€to€hold€the€title€to€the€site€during€construction€forÍaccounting€reasons.€€Therefore,€Sholodge€formed€a€new€corporation,ÏSuiteEquity,€for€the€purpose€of€holding€title€to€the€property€where€theÏAmeriSuites€hotel€was€built.€€SuiteEquity€was€capitalized€with€$1,000.00€inÏcash,€the€minimum€permitted€in€Tennessee.€€Prime€loaned€SuiteEquity€theÏamount€of€the€purchase€price€to€acquire€the€property.€€SuiteEquity€purchasedÏthe€real€estate€and€began€construction.× ×€€Also€with€funds€provide€by€Prime,€theÏAmeriSuites€hotel€opened€for€business€on€July€13,€1990.€€After€the€opening,ÏSuiteEquity€conveyed€the€property€to€Prime€in€return€for€forgiveness€of€theÏloan€for€the€purchase€price€and€construction.€€Sholodge€managed€the€hotel€afterÏit€opened.€€Sholodge€did€not€offer€any€part€of€this€opportunity€to€theÏPartnership.Ìà àRudy€Heirs€initially€filed€a€complaint€against€Sholodge€in€the€ChanceryÏCourt€for€Sumner€County.× ƒ, ××  ×€€Though€it€is€not€entirely€clear€from€the€record,€itÏappears€from€the€briefs€and€oral€argument€that€the€complaint€in€that€caseÏalleged€virtually€the€same€causes€of€actions€as€the€complaint€in€the€case€beforeÍus.€€During€the€course€of€the€jury€trial,€the€chancellor,€in€ruling€on€a€motion€inÏlimine€on€October€7,€1993,€stated€from€the€bench€that€he€was€of€the€opinionÏthat€Sholodge€ð ðdid€not€acquire€an€ownership€interest€in€a€motor€hotel€facilityÏwithin€one€mile€of€the€Inn€or€within€one€quarter€of€a€mile€on€either€side€ofÏBriley€Parkway€from€McGavock€Pike€to€Lebanon€Pike.ðð€€No€written€order€wasÏentered€on€this€ruling€and€subsequently€on€October€11,€1993,€Rudy€Heirs€tookÏa€voluntary€nonsuit.Ìà àOn€March€11,€1994,€Rudy€Heirs€refiled€the€complaint€in€the€ChanceryÏCourt€for€Davidson€County.€€Rudy€Heirs€again€alleged,€òòinter€aliaóó,€that€SholodgeÏhad€an€ownership€interest€in€the€AmeriSuites€within€one€mile€of€the€ShoneyððsÏInn€in€violation€of€paragraph€5.7€of€the€Limited€Partnership€Agreement.× ƒ. ××  ×ÏSholodge€denied€the€material€allegations€of€the€complaint.€€Both€Sholodge€andÏRudy€Heirs€filed€motions€for€summary€judgment€on€the€various€counts.Ìà àThe€trial€court€granted€partial€summary€judgment€to€Rudy€Heirs€on€theÏquestion€of€breach€of€the€Limited€Partnership€Agreement,€and€found€thatÏð ðSholodge,€Inc.€violated€paragraph€5.7€of€the€Limited€Partnership€Agreement,Íand€that€the€Partnership€is€entitled€to€recover€from€Sholodge,€Inc.€damages€forÏthe€said€breach.ðð€€The€trial€court€then€referred€the€issue€of€damages€to€a€SpecialÏMaster€for€determination.€€Ìà àA€hearing€was€held€before€the€Special€Master€on€August€3,€1995.€€TheÏSpecial€Master€issued€a€report€to€the€trial€court€on€November€8,€1995.€€TheÏSpecial€Master€found€that€Sholodge€owed€the€Partnership€$3,045,031.00€as€aÏresult€of€the€development€and€management€agreements€between€Sholodge€andÏPrime.€€Sholodge€objected€to€the€Special€Masterððs€report€on€November€20,Ï1995.€€On€December€27,€1995,€the€trial€court€overruled€Primeððs€objection,Ïapproved€and€confirmed€the€Special€Masterððs€report,€and€awarded€a€judgment€toÏthe€Partnership€in€the€amount€of€$3,045,031.00.€€By€agreed€order€enteredÏMarch€14,€1996,€the€trial€court€declared€that€the€portion€of€the€December€27,Ï1995€order€concerning€the€breach€of€paragraph€5.7€of€the€Agreement€was€finalÏpursuant€to€Tenn.€R.€Civ.€P.€54.02.€€Ìà àSholodge€has€appealed€and€presents€the€following€issues€for€our€review:Ì1)€whether€the€Chancery€Court€for€Sumner€Countyððs€ruling€that€Sholodge€didÏnot€breach€paragraph€5.7€of€the€Limited€Partnership€Agreement€precludes€thatÏclaim€in€this€action;€2)€whether€Sholodgeððs€development€and€management€of€anÏAmeriSuites€Hotel€in€Nashville€violated€paragraph€5.7€of€the€LimitedÍPartnership€Agreement;€and€3)€whether€the€trial€courtððs€confirmation€of€theÏSpecial€Masterððs€report€should€be€set€aside.Ìà àIn€the€first€issue,€Sholodge€asserts€that€Rudy€Heirs€is€precluded€fromÏraising€the€same€claim€that€was€dismissed€in€the€original€suit€in€the€ChanceryÏCourt€for€Sumner€County.€€In€the€first€suit,€the€chancellor€stated,€as€a€matter€ofÏlaw,€that€Sholodge€did€not€acquire€an€ownership€interest€in€a€motor€hotelÏfacility€in€violation€of€paragraph€5.7€of€the€Limited€Partnership€Agreement.€ÏThe€chancellor€made€this€ruling€from€the€bench,€but€did€not€enter€a€writtenÏorder.€€Rudy€Heirs€then€nonsuited€the€case€which€was€dismissed€withoutÏprejudice.Ìà àSholodge€asserts€that€ò òòòPatterson€v.€Ridenouró óóó,€263€S.W.2d€537€(Tenn.Ï1953),€controls€this€dispute,€and€that€under€ò òòòRidenouró óóó€the€statement€of€theÏchancellor€from€the€bench€should€be€sufficient€to€invoke€the€doctrine€of€òòresÏjudicataóó.€€We€do€not€find€it€necessary€to€address€this€assertion,€because€ò òòòRidenourÏóóó ówas€decided€prior€to€the€adoption€of€Tennessee€Rules€of€Civil€Procedure,€andÏwe€believe€the€case€before€us€is€controlled€by€the€present€rules.€€It€is€undisputedÏthat€the€case€on€trial€in€the€Sumner€County€Chancery€Court€involved€multipleÏclaims,€and€it€is€also€undisputed€that€the€chancellorððs€bench€ruling€pertained€toÏonly€one€claim€in€litigation.€€Even€assuming€that€we€could€consider€theÍchancellorððs€oral€ruling€as€a€valid€order,€the€parties€are€still€left€with€anÏinterlocutory€order€subject€to€revision€at€any€time€prior€to€ð ðentry€of€theÏjudgment€adjudicating€all€the€claims€and€the€rights€and€liabilities€of€all€theÏparties.ðð€€Tenn.R.Civ.P.€54.02.€€Ìà àObviously€in€the€case€before€us€there€has€been€no€compliance€withÏTenn.R.Civ.P.€58€pertaining€to€entry€of€final€judgment,€nor€under€any€stretch€ofÏthe€imagination€has€there€been€any€compliance€with€the€provisions€ofÏTenn.R.Civ.P.€54.02€for€making€an€interlocutory€order€a€final€order€andÏappealable€as€of€right.€€€ò óóó,€657€S.W.2d€747€(Tenn.€1983)(holdingÏthat€there€must€be€certification€by€the€trial€judge€that€there€is€no€just€reasonÏfor€delay€and€that€the€court€has€directed€the€entry€of€a€final€judgment).€€Even€ifÏwe€could€give€the€chancellorððs€oral€pronouncement€from€the€bench€the€dignityÏof€an€order,€it€would€be€only€an€interlocutory€order€and,€for€òòres€judicataóó€orÏcollateral€estoppel€to€apply,€the€judgment€in€the€prior€case€must€have€been€final.€Ïò òòòSee€Richardson€v.€Tennessee€Bd.€of€Dentistryó óóó,€913€S.W.2d€446€(Tenn.€1995).€€AÏvoluntary€nonsuit€is€not€an€adjudication€of€ð ðall€the€claims€and€the€rights€andÏliabilities€of€all€the€parties.ðð€€Tenn.R.Civ.P.€54.02.€€Thus,€upon€dismissal,€anyÏinterlocutory€orders€are€merely€part€of€the€proceedings€dismissed€and€have€noÏbinding€effect.€€This€issue€is€without€merit.Ìà àIn€the€second€issue,€Sholodge€argues€that€it€did€not€violate€paragraph€5.7Ïof€the€Limited€Partnership€Agreement€because€it€did€not€acquire€an€ownershipÏinterest€in€the€AmeriSuites€near€the€Shoneyððs€Inn.€ÌÑ òWilkerson€v.€Williamsó óóó,€667€S.W.2d€72€(Tenn.€App.€1983).Ìà àIn€Paragraph€5.7€of€the€Limited€Partnership€Agreement€between€RudyÏHeirs€and€Sholodge,€Sholodge€agreed€not€to€ð ðacquire€an€ownership€interest€in€aÏmotor€hotel€facility€within€one€(1)€mile€of€the€Inn€.€.€.€without€first€offeringÏsuch€interest€to€the€Partnership.ðð€€Therefore,€we€must€determine€from€the€fourÏcorners€of€the€Limited€Partnership€Agreement€what€the€parties€intendedÏð ðownership€interestðð€to€mean€and€whether€the€Sholodge€agreement€with€PrimeÏestablishes€such€an€interest.Ìà àThe€pertinent€agreement€between€Sholodge€and€Prime€is€titled€ð ðownership€interestðð€as€contemplated€byÏthe€Limited€Partnership€Agreement.€€They€argue€that€an€ownership€interest€isÍrecognized€in€a€later€option€agreement€between€Prime€and€Sholodge€wherebyÏSholodge€is€given€the€right€to€terminate€its€ð ðright,€title,€and€interest€in€any€andÏall€of€the€Profit€Participation€in€any€one€or€more€of€the€Participation€Hotels.ðð€€Ìà àSholodge,€on€the€other€hand,€asserts€that€the€Profit€ParticipationÏprovided€in€the€development€agreement€is€merely€agreed€compensation€toÏSholodge€for€its€performance€of€the€duties€and€obligations€imposed€upon€it€byÏvirtue€of€the€development€agreement.Ìà àThe€Limited€Partnership€Agreement€recognizes€the€right€of€both€RudyÏHeirs€and€Sholodge€to€compete€with€the€limited€partnership.€€The€extent€of€theÏallowed€competition€is€quite€expansive:€ð ðThe€General€Partner€and€the€LimitedÏPartners€may€.€.€.€engage€in€whatever€activities€they€choose,€whether€or€not€suchÏactivities€be€the€same€as,€similar€to,€or€competitive€with€the€business€of€theÏPartnership€.€.€.€.ðð€€The€only€limitation€on€this€provision€is€quite€explicit:ÏSholodge€agrees€that€ð ðit€will€not€acquire€an€ownership€interest€in€a€motor€hotelÏfacility€within€one€(1)€mile€of€the€Inn€.€.€.€.ðð€€€Considering€the€wide„openÏcompetition€allowed,€with€the€one€limiting€restriction,€ð ðownership€interestðð€to€be€used€andÏunderstood€in€a€narrow€sense.€€We€find€no€ambiguity€in€this€paragraph€of€theÍLimited€Partnership€Agreement,€and€if€Rudy€Heirs€had€not€intended€forÏð àIn€a€property€assessment€manual€(InternationalÏAssociation€of€Assessing€Officers,€òòProperty€AssessmentÏValuationóó€(1977)),€it€is€said€that€there€are€six€basicÏrights€associated€with€the€ownership€of€property:€(1)Ïthe€right€to€use;€(2)€the€right€to€sell;€(3)€the€right€toÏlease€or€rent;€(4)€the€right€to€enter€or€leave;€(5)€theÏright€to€give€away;€(6)€the€right€to€refuse€to€do€any€ofÍthese.ÌÌ679€S.W.2d€at€940.ÌÌÓÓà àIn€the€case€before€us,€Sholodge,€by€virtue€of€its€management€of€the€hotel,Ïhad€the€right€to€use€and€the€right€enter€or€leave€the€premises.€€Union€CarbideÏhad€the€same€right,€but€our€Supreme€Court€stated:ÌÓÓà8 àà8 àAs€the€Court€of€Appeals€pointed€out,€the€right€toÏalienate€is€an€important€element€of€ownership.€€òòò òSeeóóó ó€63ÏAm.Jur.2d€òòPropertyóó€ðð€47€(1972),€at€331.€€Carbide€hasÏno€interest€under€the€contract€that€it€can€sell,€lease,€orÏotherwise€transfer.€€The€mere€use€by€Carbide€of€theÏreal€property€for€purposes€of€performing€the€contractÏdoes€not€amount€to€an€incident€of€ownership.ÌÌÓÓ679€S.W.2d€at€941.€€In€the€instant€case,€Sholodge€could€not€alienate€theÏproperty€nor€could€it€prevent€Prime€from€doing€so.Ìà àRudy€Heirsððs€assertion€essentially€is€that€because€Sholodge€has€a€propertyÏinterest€in€the€profit€participation,€it€has€an€ownership€interest€in€the€hotel,€asÏcontemplated€by€the€Limited€Partnership€Agreement.€€As€we€previously€noted,Ïour€interpretation€of€Paragraph€5.7€of€the€Limited€Partnership€Agreement€isÏthat€ð ðownership€interestðð€is€to€be€considered€in€a€very€narrow€sense€in€view€ofÏthe€language€of€the€entire€paragraph.€€It€is€significant€that€Sholodge€had€no€riskÏof€loss€except€the€loss€of€anticipated€revenue€to€be€paid€for€its€services.€€If€theÍnet€cash€flow€of€the€AmerSuites€was€negative,€Sholodge€was€not€responsible€forÏany€shortfall,€although€it€would€certainly€not€be€entitled€to€any€revenue.€€If€theÏhotel€was€sold€at€a€loss,€Sholodge€would€not€suffer€any€part€of€the€loss,€exceptÏits€loss€of€the€revenue.€€Finally,€Rudy€Heirs€points€to€Sholodgeððs€exercise€of€theÏoption€to€receive€a€lump€sum€payment€in€lieu€of€continued€percentage€ofÏprofits.€€The€fact€that€Sholodge€negotiated€what€it€thought€was€a€moreÏfavorable€compensation€plan€does€not€automatically€convert€Sholodge€fromÏdeveloper€and€manager€to€an€owner.€€We€attach€little€significance€to€this€turnÏof€events.€€Ìà àConsidering€this€record€and€the€contract€between€the€parties€hereto€inÏits€entirety,€we€reach€the€conclusion€that€Sholodge€did€not€hold€an€ð ðownershipÏinterestðð€in€a€motor€hotel€facility€within€one€mile€of€the€Shoneyððs€Inn€owned€byÏthe€Partnership.€€Ìà àAccordingly,€the€order€of€the€trial€court€granting€summary€judgment€toÏRudy€Heirs€is€reversed,€and€the€case€is€remanded€to€the€trial€court€for€entry€ofÏsummary€judgment€in€favor€of€Sholodge€and€for€such€further€proceedings€asÏmay€be€necessary.€€The€other€issues€are€pretermitted.€€Costs€of€the€appeal€areÏassessed€against€appellee.€ÌÓÓà
