àPrior€to€1994,€the€Board€determined€that€it€was€necessary€to€renovateÏand€construct€additions€to€certain€schools€(ð ðthe€Projectðð).€€The€Board€decided€toÏuse€the€ð ðconstruction€managerðð€methodœ× ƒ( ××  ×›€for€the€construction€of€the€Project€asÏopposed€to€the€ð ðhardðð€bid€method.€€During€1994,€the€Board€received€severalÏproposals€for€construction€manager€services.€€Shankle€did€not€submit€a€proposalÏto€serve€as€construction€manager.€€In€October€1994,€the€œBoard›€met€and€awardedÏthe€contact€to€H€&€M.€€In€January€1995,€the€Board€created€the€Committee€toÏoversee€the€construction.€€The€place€and€time€of€the€meeting€was€reported€in€theÏòòShelbyville€Times„Gazette.óóÌÌà àIn€March€1995,€the€Board€heard€a€proposal€from€Gill€and€Hinote€inÏtheir€roles€as€representatives€of€EFS.€€Their€proposal€included€alternatives€to€theÏð ðhardðð€bid€method€and€the€ð ðconstruction€managerðð€method.€€The€time€and€placeÏof€the€meeting€was€reported€in€the€òòShelbyville€Times„Gazetteóó.€€In€June€1995,€theÏCompany€made€a€presentation€to€the€Committee€with€respect€to€non„traditionalÏmethods€of€developing€schools.€€In€July,€the€œCompany›€made€a€similarÏpresentation€to€the€Board.€€The€Company€made€yet€another€presentation€on€6ÏSeptember€1995€to€the€Commissionððs€Budget€and€Finance€Committee.€€TheÏpresentation€covered€the€advantages€of€using€a€Public€Building€Authority€toÏdevelop€schools.€€After€the€presentation,€the€Budget€and€Finance€CommitteeÏrecommended€that€the€Commission€endorse€the€use€of€a€Public€BuildingÏAuthority€for€the€Project.€€These€presentations€were€all€made€at€public€meetingsÍwhich€were€reported€in€the€òòShelbyville€Times„Gazetteóó.ÌÌà àOn€12€September€1995,€the€Company€made€a€detailed€presentation€onÏthe€use€of€a€Public€Building€authority€to€the€Commission€at€its€regular€publicÏmeeting.€€The€place€and€time€of€the€meeting€was€reported€in€the€òòShelbyvilleÏTimes„Gazetteóó.€€After€the€presentation€and€the€attorney„client€session,€theÏCommission€endorsed€the€creation€of€a€œpublic›€œbuilding›€authority€to€developÏschools€and€to€renovate€existing€schools€including€the€Project.€€In€addition,€theÏCommission€endorsed€the€Companyððs€participation€in€this€alternate€method.€€InÏOctober€1995,€the€Commission€adopted€a€resolution€approving€the€creation€of€theÏAuthority.€€The€place€and€time€of€the€meeting€was€reported€in€the€òòShelbyvilleÏTimes„Gazetteóó.€€The€minutes€of€the€meeting€describe€the€AuthorityððsÏresponsibility€as€follows:€ð ð[t]o€meet€at€least€once,€annually,€to€contract€with€aÏthird€party€(The€School€Company)€to€support€the€construction,€repair,€andÏimprovement€of€public€buildings,€structures,€and€facilities.ððÌÌà àOn€17€October€1995,€the€members€of€the€proposed€Authority€held€aÏjoint€public€meeting€with€the€Committee.€€At€the€meeting,€the€Authority,€theÏCommittee,€and€the€Company€discussed€the€Companyððs€proposal.€€The€place€andÏtime€of€œthe€›meeting€was€reported€in€the€òòShelbyville€Times„Gazetteóó.€€On€26ÏOctober,€the€Board€met€to€consider€the€execution€of€an€agreement€with€theÏCompany.€€Hinote,€acting€on€behalf€of€the€Company,€provided€copies€of€proposedÏcontracts€between€the€Board€and€the€Authority€and€between€the€Authority€and€theÏCompany.€€The€place€and€time€of€the€meeting€was€reported€in€the€òòShelbyvilleÏTimes„Gazetteóó.ÌÌà àOn€30€October€1995,€at€11:31€a.m.,€an€application€to€create€andÍincorporate€the€Authority€pursuant€to€the€Act€was€filed€with€the€Secretary€ofÏState.€€The€Secretary€granted€a€corporate€charter€to€the€Authority€on€30€October.€ÏAt€6:00€p.m.€that€same€day,€the€Board€held€a€meeting€and€approved€the€contractÏbetween€it€and€the€Authority.€€At€7:00€p.m.,€the€Authority€held€a€public€meeting.€ÏThe€Authority€approved€the€contract€between€it€and€the€Company€and€theÏcontract€between€the€Board€and€the€Authority.€€The€contract€between€theÏAuthority€and€the€Company€provided€a€guarantee€against€cost€overruns€in€theÏform€of€a€guaranteed€maximum€price.€€The€contract€also€provided€that€theÏCompany€pay€liquidated€damages€for€each€day€the€construction€continued€past€theÏguaranteed€completion€date.€€The€place€and€time€of€both€meetings€were€reportedÏin€the€òòShelbyville€œTimes„Gazette€óóon€27€October€1995òò.ó󛀀The€parties€executed€bothÏcontacts€on€19€December€1995.€€On€this€same€day,€the€parties€terminated€theÏcontract€between€the€Board€and€H€&€M€with€H€&€Mððs€consent.ÌÌà àBetween€27€July€1995€and€30€October€1995,€no€one€other€than€theÏCompany€appeared€before€either€the€Commission,€the€Board,€or€the€Authority€toÏmake€a€proposal€in€regard€to€the€Project.€€Moreover,€no€one€other€than€theÏCompany€requested€an€opportunity€to€appear€and€submit€a€proposal.€€TheÏCommission,€the€Board,€or€the€Authority€did€not,€however,€make€an€expressÏinvitation€for€receipt€of€proposals€with€respect€to€the€Project.€€Between€30ÏOctober€and€19€December€1995,€Shankle€did€not€appear€or€request€anÏopportunity€to€appear€before€either€the€Commission,€the€Board,€or€the€Authority.ÌÌà àOn€19€December€1995,€the€Company€executed€an€agreement€with€anÏarchitectural€and€engineering€firm€for€their€services€on€the€Project.€€In€JanuaryÏ1996,€the€Company€executed€agreements€with€H€&€M€to€serve€as€the€generalÏcontractor€for€the€construction€of€Phase€I€of€the€Project€and€the€preconstructionÍwork€associated€with€Phase€II€of€the€Project.€€The€construction€of€the€ProjectÏbegan€thereafter.€€The€contract€provided€that€the€parties€would€complete€all€newÏconstruction€on€29€July€1996€and€all€other€work€no€later€than€2€September€1996.€ÏThere€have€been€no€change€orders€approved€or€submitted€that€alter€either€theÏguaranteed€maximum€price€or€completion€date€as€of€8€May€1996.ÌÌà àOn€1€March€1996,€Shankle€filed€a€declaratory€judgment€action€in€theÏChancery€Court€for€Bedford€County.€€It€alleged€that€appellees€violated€TennesseeÏlaw€when€they€formed€the€Authority€and€awarded€public€contracts€to€theÏœCompany›€without€competitive€bidding€or€a€public€invitation€for€proposals.€€TheÏparties€entered€into€numerous€joint€stipulation€settling€all€factual€issues.€€Thus,Ïboth€parties€filed€motions€for€summary€judgment.€€After€hearing€oral€argument,Ïthe€chancellor€filed€a€memorandum€opinion€granting€appelleesðð€motion€forÏsummary€judgment.€€Thereafter,€the€chancellor€entered€final€judgment€in€favorÏof€appellees€on€18€July€1996.€€Shankle€filed€a€timely€notice€of€appeal.ÌÌà àShankleððs€first€and€second€issues€are€ð ð[w]hether€the€Public€BuildingÏAuthority€Act€of€1971,€T.C.A.€ðð€12„10„101,€òòet€seq.óó,€excludes€public€buildingÏauthorities€from€all€Tennessee€state€and€local€laws,€including€competitive€biddingÏstatutesðð€and€ð ð[w]hether€the€1995€Amendments€to€the€Public€Building€AuthorityÏAct€create€an€exception€to€the€competitive€bidding€statutes.ðð€€Both€issues€involveÏthe€statutory€construction€of€the€Act;€therefore,€we€address€them€together.ÌÌà àThe€courts€of€this€State€have€set€out€the€rules€of€statutory€constructionÏon€numerous€occasions.€€Clearly,€the€primary€purpose€of€statutory€construction€isÏto€ascertain€and€give€effect€œto€the›€legislatureððs€intent.€€ò ðdetermine€the€legislative€intent,€whenever€possible,€fromÏthe€plain€language€of€the€statute.ðð€€ò òòòWilson€v.€Johnson€Countyó óóó,€879€S.W.2dÏ807,€809€(Tenn.€1994).€€Moreover,€courts€must€look€to€the€statute€in€its€entiretyÏpresuming€œð ðthe›€legislature€intended€that€every€word€used€in€a€statute€would€haveÏa€purpose€and€would€convey€meaning.ðð€€ò òòòCohen€v.€Cohenó óóó,€No.€01S01„9510„CV„00185,€1996€WL€520312,€at€*3€(Tenn.€1996).ÌÌà àIn€passing€the€Act,€the€General€Assembly€expressed€its€concern€over€theÏcritical€state€of€public€buildings€in€Tennessee.€€Tenn.€Code€Ann.€ðð€12„10„102(a),Ï(b)€(1992).€€The€Assembly€found€that:€1)€public€buildings€in€the€State€ofÏTennessee€are€ð ðinadequate€and€œoutmodedðð;›€2)€facilities€are€not€ð ðadequate€to€meetÏthe€needs€of€the€growing€populationðð;€3)€public€records€and€other€documents€areÏhoused€in€ð ðpoorly€protected€and€overcrowded€spacesðð;€4)€the€shortage€ofÏadequate€buildings€has€seriously€impaired€the€governmentððs€ability€to€provideÏeducational€services;€5)€the€health,€safety,€and€welfare€of€the€citizens€of€the€StateÏis€adversely€œaffected›€by€the€serious€deficiencies€in€these€buildings.€€ò òòòId.ó óóó€ðð€12„10„102(a).€€Given€these€findings,€the€General€Assembly€authorized€ð ðtheÏincorporation€in€the€several€counties,€cities,€and€towns€in€this€state€of€publicÏcorporations€to€finance,€acquire,€erect,€own,€operate,€maintain,€lease,€and/orÏdispose€of€public€buildings,€structures,€and€œfacilities.ð𛀀ò òòòId.ó óóó€€The€GeneralÏAssembly€then€gave€the€public€corporations€the€formal€name€of€public€buildingÏauthorities.€€ò òòòId.ó óóó€ðð€12„10„103€(Supp.€1996).ÌÌà àThe€General€Assembly€granted€the€public€building€authorities€extensiveÏpowers.€€ò òòòSee€id.ó óóó€ðððð€12„10„109,€„118€to€„122€(1992€&€Supp.€1996).€€TheseÏpowers€exceeded€those€of€cities€and€counties€and€enabled€public€buildingÏauthorities€to€accomplish€goals€beyond€the€capabilities€of€either€the€city€or€theÍcounty.€€For€example,€public€building€authorities€enable€small€governmentalÏentities€to€fund€and€build€large€scale€projects€jointly.€€ò òòòSee€id.€ó óóóðð€12„10„120Ï(1992).€€Also,€public€building€authorities€enable€a€city€or€a€county€to€issue€bondsÏwithout€a€public€referendum.€€ò òòòId.ó óóó€ðð€12„10„122.€€Overall,€the€use€of€publicÏbuilding€authorities€enables€cities€and€counties€to€construct€projects€using€theÏmost€advantageous€methods€available.ÌÌà àThe€language€of€particular€relevance€to€the€issues€before€the€court€isÏfound€in€Tennessee€Code€Annotated€sections€12„10„122€and€12„10„124.€€TheÏGeneral€Assembly€enacted€Tennessee€Code€Annotated€section€12„10„122€as€partÏof€the€original€Act€in€1971€and€has€not€seen€fit€to€œamend›€it€since€that€time.€ÏTennessee€Code€Annotated€section€12„10„122€provides,€in€part:ÌÓÓà8 àShankle€argues€that€Tennessee€Code€Annotated€section€12„10„122€doesÏnot€œgrant›€public€building€authorities€plenary€power€such€that€they€mayÏcompletely€disregard€all€laws€including€competitive€bidding€laws.€€It€is€ShankleððsÏcontention€that€any€other€interpretation€would€create€œa€conflict›€between€sectionsÏ12„10„122€and€12„10„124.€€Specifically,€Shankle€argues€that€the€section€12„10„124(b)€implies€that€public€building€authorities€were€subject€to€the€competitiveÏbidding€laws€when€the€Act€was€enacted,€because€it€exempts€certain€activities€fromÏcompetitive€bidding.€€Likewise,€Shankle€argues€that€section€12„10„124(c)€is€mereÏsurplusage€if€section€12„10„122€exempts€public€building€authorities€from€allÏrestrictions.€€In€other€words,€it€is€Shankleððs€argument€that€section€12„10„124(b)Ïand€(c)€were€unnecessary€if€the€Act€as€enacted€exempted€public€buildingÏauthorities€from€laws€such€as€competitive€bidding€statutes.ÌÌà àWe€can€not€agree.€€Shankleððs€arguments€completely€overlook€the€plainÏmeaning€of€the€language€in€section€12„10„122€and€force€a€construction€based€onÏlanguage€added€to€the€Act€twenty„four€years€after€its€enactment.€€It€is€the€opinionÏof€this€court€that€the€plain€language€of€sections€12„10„122€and€12„10„124€can€beÏread€together€without€conflict€and€without€forcing€any€meaning.ÌÌà àSection€12„10„122€clearly€exempts€public€building€authorities€from€anyÍother€general,€special,€or€local€laws€including€competitive€bidding€laws;€however,Ïthis€exemption€only€applies€to€the€acquisition,€purchase,€construction,Ïreconstruction,€improvement,€betterment,€or€extension€of€projects.€€Section€12„10„124(b),€on€the€other€hand,€applies€only€to€the€operation,€maintenance,€andÏroutine€repairs€of€a€project.€€It€is€the€opinion€of€this€court€that€these€two€sets€ofÏfunctions€are€separate€and€distinct.€€ÌÌà àMoreover,€it€is€the€opinion€of€this€court€that€Shankleððs€implicationÏargument€is€without€merit.€€As€previously€stated,€Shankle€argued€that€it€wasÏunnecessary€for€the€General€Assembly€to€enact€section€12„10„124(b)€if€publicÏbuilding€authorities€were€already€exempt€from€competitive€bidding€under€sectionÏ12„10„122.€€The€problem€with€this€argument€is€that€section€12„10„122€did€notÏexempt€public€building€authorities€from€other€general,€special,€or€local€lawsÏwhen€it€came€to€the€operation,€maintenance,€or€routine€repairs€of€a€project.€€ItÏmerely€exempted€them€from€competitive€bidding€laws€when€carrying€out€theÏfunctions€listed€in€that€section.ÌÌà àIn€addition,€we€can€not€agree€with€Shankleððs€argument€as€to€section€12„10„124(c).€€It€is€the€opinion€of€this€court€that€section€12„10„124(c)€simply€setsÏforth€permissible€methods€of€obtaining€certain€services.€€The€Assemblyððs€use€ofÏð ðmayðð€instead€of€ð ðshallðð€clearly€demonstrates€that€the€subsection€does€not€restrictÏthe€powers€of€the€authorities.€€In€addition,€this€interpretation€complements€andÏexplains€this€courtððs€reading€of€section€12„10„122.€€The€subsection€is€not€mereÏsurplusage.ÌÌà àThroughout€its€arguments,€Shankle€extols€the€merits€of€competitiveÏbidding€in€all€government€purchases.€€Nevertheless,€the€merits€of€competitiveÍbidding€is€not€an€issue€for€this€court;€it€is€an€issue€for€the€General€Assembly.€€InÏsome€circumstances,€the€General€Assembly€has€recognized€the€appropriateness€ofÏthe€use€of€competitive€bidding.€€In€other€cases,€such€as€with€the€public€buildingÏauthorities,€the€Assembly€has€recognized€the€appropriateness€of€other€methods.€ÏThe€determination€of€the€more€appropriate€method€is€one€for€the€GeneralÏAssembly€to€make€after€considering€all€the€relevant€circumstances.€€We€think€thatÏthe€purpose€of€the€Act€is€clear,€i.e.,€to€provide€counties,€municipalities,€andÏboards€of€education€the€means€to€accomplish€goals€that€are€not€available€directlyÏto€those€entities.€€The€Act€empowers€public€building€authorities€with€the€ability€toÏaccomplish€the€purposes€of€the€Act.€€The€method€chosen€by€the€public€buildingÏauthority€may€include€competitive€bidding,€interviews,€or€negotiations.ÌÌà àShankleððs€third€issue€is€ð ð[w]hether€local€newspaper€coverage€withinÏBedford€County€satisfied€the€notice€requirements€of€the€competitive€bidding€lawsÏand€ðð€124(c)€of€the€Public€Building€Authority€Act,€despite€Defendantsðð€admissionÏthat€they€did€not€publicly€advertise€or€solicit€for€requests€for€proposals.ððÌÌà àTennessee€Code€Annotated€section€12„10„122€empowers€public€buildingÏauthorities€to€take€actions€with€respect€to€projects€without€regard€to€theÏrequirements€of€any€other€general,€special,€or€local€laws.€€It€is€the€opinion€of€thisÏcourt€that€the€Authority€was€not€bound€by€other€competitive€bidding€statutes.€€InÏthis€case,€the€Act€enabled€the€Authority€to€seek€œout€contracts›€by€methods€otherÏthan€by€competitive€bids.€€Thus,€the€Authority€was€not€subject€to€the€noticeÏprovisions€of€the€competitive€bidding€statutes.ÌÌà àShankle€also€argues€that€the€first€sentence€of€section€12„10„124(c)Ïrequired€the€Authority€to€make€a€public€invitation€for€proposals.€€Given€ourÍprevious€conclusions,€we€can€not€agree.€€The€language€of€section€12„10„124(c)€isÏœpermissive,€i.e.,›€œit›€did€not€require€the€Authority€to€make€a€public€invitation.ÌÌà
