àThe€parties€were€married€on€May€19,€1984,€at€which€time€the€husband€was€36€and€wasÏengaged€in€the€operation€of€a€corporation,€National€Sheet€Metal€Company,€in€which€he€ownedÏa€1/3€interest.€€€The€wife€was€46€and€self„employed€as€an€independent€dental€laboratoryÏtechnician.€€No€children€were€born€to€the€union.ÌÌà àDuring€the€marriage,€the€wifeððs€laboratory€work€ceased,€and€she€became€a€full€timeÏhomemaker€for€the€husband,€his€son,€grandchildren,€and€invalid€father.€€She€also€managed€theÏhusbandððs€rental€property.€€The€husbandððs€business€prospered€and€the€parties€accumulated€aÏsubstantial€marital€estate.ÌÌà àOn€April€23,€1993,€the€parties€executed€a€document€reading€as€follows:ÌÓ  ÓÓÓò òòòCONTRACTÌóóó óÌÓ  Óà àà à€€€€This€€contract€€is€made€by€€and€€between€JIMMY€E.€SMITHÌà àà àAND€CONNIE€SMITH,€hereinafter€referred€to€as€JIMMY€and€Ìà àà àCONNIE.€€The€€parties€are€married,€have€had€some€difficulties,€Ìà àà àbut€€are€€attempting€€to€€make€€their€€marriage€€successful.€€As€a€Ìà àà àpart€of€this€attempt,€the€parties€are€in€€the€€process€€of€€agreeing€Ìà àà àupon€€property€€rights€€in€€the€€event€€of€€death€or€divorce.€€This€Ìà àà ànegotiation€€is€€not€€complete,€€but€€the€€parties€€have€€reached€a€Ìà àà àpartial€€agreement€€which€€they€€desire€€to€reduce€to€writing€and€Ìà àà àmake€€absolutely€€binding.€€€The€€promises€€contained€herein€are€Ìà àà àmade€€in€€consideration€€one€€of€€the€€other,€€and€it€is€agreed€that€Ìà àà àin€€the€€event€€of€€a€€divorce,€€Jimmyððs€€interest€in€National€Sheet€Ìà àà àIn€€the€€event€€of€€divorce,€she€shall€receive€a€one„half€interest€in€Ìà àà àthe€€equity€€€in€€the€€house€€and€€lot.€€€In€€the€€event€€of€€Jimmyððs€Ìà àà àdeath,€at€any€time€thereafter€if€Connie€desires€to€sell€€the€house,€Ìà àà àJeff€and€Gail€must€consent€to€the€sale€and€the€proceeds€shall€be€Ìà àà àdivided€among€the€three€equally.ÌÌà àà à€€€€It€is€understood€and€agreed€that€the€above€provisions€do€notÌà àà àattempt€to€make€a€complete€adjustment€of€property€rights,€€butÌà àà àthese€provisions€are€of€great€importance€to€both€parties€and€mayÌà àà àbe€enforced€by€any€court€of€law,€equity€or€probate.€The€partiesÌÔ€¼Ôà àà àÔ€XÔunderstand€€that€€the€€consideration€€or€€€€value€€of€€€the€€€above€Ìà àà àpromises€may€be€unequal,€but€they€agree€that€the€considerationÌà àà àThe€wife€answered€denying€misconduct€and€counterclaimed€for€divorce,€alimony€andÏdivision€of€martital€property.ÌÌà àThe€judgment€is€summarized€above.ÌÌà àT.C.A.€ðð€36„5„101(d)€requires€that,€in€making€a€grant€of€alimony,€the€Court€shallÏconsider€all€relevant€factors,€including€the€separate€property€of€the€spouse€who€is€to€receive€theÏalimony,€and€the€share€of€the€martial€property€awarded€to€that€spouse.€€It€is€therefore€necessaryÏthat€this€Court€consider€the€appellantððs€second€and€third€issues€regarding€property€beforeÏconsidering€the€first€issue€regarding€alimony.ÌÌà àIn€respect€to€the€Reconciliation€Agreement,€the€Trial€Judge€commented€orally€asÏfollows:ÌÓÓà àà àTHE€COURT:€I€take€this€contract€to€mean€€that€Mr.€Smith€wasÌà àà àinterested€€in€€preserving€€the€€integrity€€of€his€business;€€that€hisÌà àà àbusiness€€would€€not€be€affected€by€the€outcome€of€this€divorceÌà àà àproceeding€€in€€any€€manner;€€that€€it€€was€€not€€to€be€€disturbed.Ìà àà à(1)€„€€she€€didnððt€€want€€to€€be€€thrown€€out€€on€€the€€street€€withÌà àà ànothing,€€and€€he€€did€€not€want€to€have€€the€corporation,€which€Ìà àà àis€made€up€of€he€and€two€(2)€other€€individuals,€destroyed.€€So,Ìà àà àI€€am€going€to€enforce€this€contract€to€the€extent€€that€NationalÌà àà àSheet€€Metal€€Machines,€€Inc.,€€will€€not€be€€affected€in€any€way.Ìà àà àòòThat€€asset€€will€€be€€used€€as€€part€of€€the€valuation€processóó,€butÌà àà ànothing€in€this€divorce€is€going€to€affect€his€interest€in€€NationalÌà àà àSheet€€Metal,€Inc.€€I€€am€€not€going€to€require€that€to€be€sold€or€Ìà àà àin€€any€€way€€affected,€€because€€that€€is€what€these€people€were€Ìà àà àtrying€to€do€at€the€time€they€entered€this€contract.€€Now,€this€isÌà àà àa€€reconciliation€€contract€€to€€try€€to€€resolve€€some€€differences.Ìà àà àThey€€did€€resolve€€some€€differences€€at€€that€€time.€€They€€livedÌà àà àtogether,€€and€the€divorce€was€filed€thereafter.€€I€think€that€eachÌà àà àone€of€them€knew€enough€about€what€€they€€were€€giving€€up€€toÌà àà àmake€€this€enforceable.€€I€think€€the€question€€as€€to€€whether€€orÌà àà ànot€€there€€was€€consideration€€for€€the€€contract€€has€€been€€€met,€Ìà àà àbecause€€there€were€mutual€promises.€€Each€one€€got€something;€Ìà àà àeach€one€gave€up€something.€Therefore,€there€is€a€consideration,Ìà àà àand€the€contract€will€be€€enforceable€€to€€that€€extent.€€(Emphasis€Ìà àà àsupplied)ÌÓÓÌà àThe€decree€of€the€Trial€Court€does€not€mention€the€interest€of€the€husband€in€hisÏbusiness.ÌÌà àThe€parties€filed€schedules€required€by€Rule€15€of€the€Rules€of€this€Court.€€The€wifeððsÏschedule€is€appended€hereto€as€exhibit€A€and€the€husbandððs€schedule€as€exhibit€B.€€The€valueÏof€the€husbandððs€interest€in€œhis›€business€is€not€listed€on€either€schedule.ÌÌà àIn€this€Court,€the€wife€argues€that€the€Trial€Court€erred€in€enforcing€the€reconciliationÏagreement.€€Such€agreements€have€been€recognized€as€enforceable€in€Tennessee,€if€entered€intoÏfreely,€knowledgeably,€and€in€good€faith€without€exertion€of€duress€or€undue€influence.ðð€€òòHoytÏv.€Hoytóó,€213€Tenn.€117;€372€S.W.2d€300€(1963);€òòGilley€v.€Gilleyóó,€Tenn.€App.€1989,€778ÏS.W.2d€862,€863.ÌÌà àThe€circumstances€which€existed€at€the€time€of€the€agreement€determine€itsÏenforceability€under€the€above€criteria.€€òòPerkinson€v.€Perkinsonóó,€Tenn.€1990,€802€S.W.2dÏ600,€603.ÌÌà àOn€September€9,€1996,€in€the€case€of€òòRandolph€v.€Randolphóó,€the€Supreme€CourtÏinvalidated€an€interspousal€property€agreement€on€the€ground€of€failure€to€disclose€materialÏinformation€regarding€the€value€of€property.€€Appeal€No.€03„501„9510„CV„00119.€€(Tenn.ÏSept.€9,€1996).ÌÌà àThe€wife€insists€that€the€husband€failed€to€disclose€the€value€of€his€interest€in€theÏcorporation€at€the€time€of€her€waiver€of€her€rights€to€a€share€in€event€of€divorce.€€ThisÏinsistence€and€her€testimony€are€corroborated€by€the€testimony€and€actions€of€the€husbandÏduring€these€divorce€proceedings.€€The€husband€testified€that€he€ð ðhad€no€ideaðð€and€ð ðdidnððtÏreally€knowðð€what€the€corporation€was€worth€in€1984€or€1994.€€An€accountant€hired€by€theÍwife€to€appraise€the€corporation€was€denied€access€to€corporate€records.€The€record€indicatesÏthat€the€net€worth€of€the€corporation€increased€during€the€marriage€$266,000,€of€which€theÏhusbandððs€one„third€share€would€be€$88,881.€€However,€there€is€no€evidence€that€the€wifeÏcontributed€in€any€degree€to€the€increase€except€as€a€homemaker.ÌÌà àThis€Court€concludes€that,€if€the€omission€of€the€increase€in€value€of€the€corporationÏduring€the€marriage€was€error,€it€did€not€affect€the€resulting€judgment€and€was€therefore€notÏgrounds€of€reversal€or€modification€of€the€judgment.ÌÌà àReverting€to€the€Rule€15€schedules,€the€home,€which€was€awarded€to€the€wife€debt„free€Ïwas€valued€at€$62,500€to€$69,000.ÌÌà àA€41€acre€farm,€which€was€valued€at€$25,600€to€$32,000€was€awarded€to€the€husband.ÌÌà àThe€equity€of€$10,100€in€a€commercial€property€was€awarded€to€the€husband.ÌÌà àThe€property€occupied€by€the€corporation€is€owned€by€the€stockholders.€€TheÏhusbandððs€share€is€one„third.€€Apparently,€the€parties€do€not€differ€greatly€(only€$1,000Ïdifference)€upon€the€value€of€the€husbandððs€interest€therein.€€The€husband€acquired€his€interestÏin€this€property€prior€to€marriage€and€there€is€no€evidence€that€the€wife€contributed€to€itsÏpreservation€or€improvement.€€No€part€of€this€property€appears€to€be€a€part€of€the€marital€estate.ÌÌà àThe€wife€makes€no€specific€complaint€regarding€the€vehicles,€water€craft,€householdÏgoods€or€stocks€other€than€that€of€husbandððs€business.ÌÌà àIn€summary,€the€wife€received€approximately€$65,000€in€real€estate,€$7,500€in€vehicle,Ï$3,000€in€furniture,€and€$100,000€cash€„€a€total€of€approximately€$175,500.ÌÌà àThe€husband€received€approximately€$28,000€in€a€farm,€$11,000€in€commercialÏproperty,€$9,750€in€vehicles,€$62,750€in€water€craft,€$16,300€in€equipment€and€$4,000€inÏcorporate€stock€„€and€the€increase€in€the€value€of€his€interest€in€his€business€„€a€total€ofÏ$192,000.€€At€the€conclusion€of€the€trial,€the€Trial€Judge€made€the€following€oral€statements:ÌÓÓà àà àTHE€COURT:€Gentlemen,€I€have€looked€at€all€these€figures.Ìà àà àI€have€looked€at€the€financial€statements€on€the€businesses;€IÌà àà àhave€€looked€€at€your€appraisals€on€the€real€estate€and€all€the€Ìà àà àother€pieces€€of€€personal€€property;€€I€€have€€looked€€at€your€Ìà àà àwish€€list€€and€€what€you€want,€and€I€have€also€looked€at€this€Ìà àà àcontract.€€Now,€€as€€I€€said€€earlier,€€the€€business€€will€not€be€Ìà àà àaffected€by€my€ruling,€because€€I€€think€€this€€agreement€€was€Ìà àà àto€€keep€€it€€out€€of€€any€€sale.€€€However,€€I€€am€€taking€€€into€Ìà àà àconsideration€€the€€value€€of€€some€€of€these€assets.€€€And,€€in€Ìà àà àthe€€consideration€€of€€an€€equity€€€adjustment€€and€€the€€other€Ìà àà àthings,€€including€€the€€business,€€she€€will€€receive€the€sum€of€Ìà àà àone€€hundred€€thousand€€€dollars€€($100,000)€€of€€€which€€five€Ìà àà àthousand€($5,000)€has€already€been€paid.ÌÌà àà àMR.€STANLEY:€€How€€long€€has€he€got€to€pay€that,€if€Your€Ìà àà àHonor€please?€€Can€€he€pay€it€over€a€period€of€years?ÌÌà àà àTHE€COURT:€€No,€€because€€I€€am€€not€€going€€to€grant€€her€Ìà àà àalimony,€€and€€she€€needs€€this€€money.€€And,€if€€she€€puts€this€Ìà àà àmoney€€in€€the€€bank,€she€can€draw€interest,€€and€€that€will€be€Ìà àà àsome€income.ÌÓÓÌà àThe€wife€insists€that€her€inheritance€of€$33,566€which€she€contributed€to€the€maritalÏestate€be€refunded€to€her.€€This€amount€became€a€part€of€the€marital€estate€by€transmutation.€ÏòòBatson€v.€Batsonóó,€Tenn.€App.€1988,€769€S.W.2d€849,€858.€ÌÌà àThis€court€is€satisfied€that€the€distribution€of€marital€estate€to€the€wife€was€equitable€asÏrequired€by€T.C.A.€ðð€36„4„121.€ÌÌà àAppellantððs€first€issue€complains€of€the€failure€to€allow€her€alimony.€€She€testifiedÏwithout€contradiction€that€her€needs€were€$2,607€per€month€and€that€her€income€was€$213€perÏmonth.€€The€only€addition€to€this€was€the€interest€on€the€$95,000€net€to€be€received€from€theÏhusband.€€6%€interest€on€$95,000€is€$475€per€month.€€Thus,€the€income€available€to€the€wifeÏreceiving€the€$95,000€was€approximately€$700€per€month.€€The€wife€should€be€allowed€toÏreserve€the€principal€of€$95,000€for€retirement€and€should€not€be€required€to€encroach€upon€itÏfor€current€expenses.€€Considering€the€above€earnings€and€interest,€the€wifeððs€need€for€supportÏamounted€to€approximately€$1,900€per€month.ÌÌà àThe€wife€has€been€a€licensed€dental€laboratory€technician€operating€her€own€businessÏwhich€was€discontinued€for€lack€of€patronage.€€She€has€also€been€a€licensed€beautician.€€SheÏsuffers€from€depression€and€an€allergic€condition€which€requires€expensive€medication.€€HerÏdental€laboratory€equipment€has€been€sold€to€pay€expenses.ÌÌà àThe€income€of€the€husband€is€adequate€to€enable€him€to€pay€the€$1,900€per€monthÏalimony€needed€by€the€wife.ÌÌà àT.C.A.€ðð€36„5„101(d)€provides€in€part:ÌÓÓà àà à(d)(1)€€It€€is€€€the€intent€of€the€general€assembly€that€a€spouseÌà àà àwho€€is€€€economically€€disadvantaged,€€relative€€to€€the€other€Ìà àà àspouse,€be€rehabilitated€whenever€possible€by€the€granting€ofÌà àà àan€€order€for€€payment€of€€€rehabilitative,€€temporary€€support€€Ìà àà àand€maintenance.€€€Where€€€there€€is€€such€€relative€€economic€Ìà àà àdisadvantage€and€rehabilitation€is€not€feasible€in€consideration€Ìà àà àof€€€all€€€relevant€€€factors,€€including€€€those€€set€€out€€€in€€€thisÌà àà àsubsection,€€then€the€court€may€grant€an€order€for€payment€ofÌà àà àsupport€€and€€maintenance€€on€€a€€long„term€€basis€or€until€the€Ìà àà àdeath€€or€€remarriage€€of€€€the€€recipient€€except€€as€€otherwise€Ìà àà àprovided€€in€€subdivision€€(a)(3).€€€Rehabilitative€€support€€and€Ìà àà àmaintenance€€is€€€a€€€separate€€€class€€of€€€spousal€€€support€€€as€Ìà àà àdistinguished€from€alimony€in€solido€and€€periodic€alimony.€In€Ìà àà àdetermining€€whether€€the€€granting€€of€€an€€order€€for€payment€Ìà àà àof€support€and€€maintenance€to€a€party€€is€€appropriate,€and€€in€Ìà àà àdetermining€the€nature,€amount,€length€of€term,€and€manner€of€Ìà àà àpayment,€the€court€shall€consider€all€relevant€factors,€including:Ìà àà à€€€€(A)€€The€€relative€€earning€€capacity,€€obligations,€needs,€and€Ìà àà àfinancial€€€resources€€of€€each€€€party,€€including€€€income€€from€Ìà àà àpension,€profit€sharing€or€retirement€plans€and€all€œother€sources;›Ìà àà àtangible€and€intangible;Ìà àà à€€€€(H)€The€provisions€made€with€regard€€to€the€marital€propertyÌà àà àas€defined€in€ðð€36„4„121;Ìà àà à€€€€œ(I)›€œ€The›€standard€of€living€of€the€parties€established€during€theÌà àà àmarriage;Ìà àà à€€€€(J)€œ€The›€œextent›€€to€€which€€each€œ€party›€has€made€such€tangible€Ìà àà àand€€intangible€€contributions€€to€€the€marriage€œ€as›€monetary€and€Ìà àà àhomemaker€€€€contributions,€€€and€€€€€tangible€€€€and€€€€intangible€Ìà àà àcontributions€by€a€party€€to€the€education€,€training€or€increased€Ìà àà àearning€power€of€the€other€party.Ìà àà à€€€œ(K)€›€The€relative€fault€of€the€parties€in€cases€where€the€€court,€€Ìà àà àin€€€its€€€discretion,€€€deems€€€it€€€€appropriate€€€to€€€do€€€so;€€€andÌà àà à€€€(L)€€Such€€other€€factors,€€including€€the€€tax€consequences€to€€Ìà àà àeach€party,€as€are€necessary€to€€consider€€the€€equities€€between€Ìà àà àthe€parties.ÌÌà àà àœ(2)€€An›€€€award€€€of€€€€rehabilitative,€€€temporary€€€support€€€and€Ìà àà àmaintenance€shall€remain€in€the€courtððs€control€for€the€duration€Ìà àà àof€€such€€award,€€and€€may€be€increased,€decreased,€terminated,€Ìà àà àextended,€or€otherwise€modified,€upon€a€showing€of€substantial€Ìà àà àand€€material€€change€€in€circumstances.€€Rehabilitative€support€Ìà àà àand€maintenance€shall€terminate€upon€the€death€of€the€recipient.€€Ìà àà àSuch€€support€€and€€maintenance€shall€€also€€terminate€upon€the€Ìà àà àdeath€of€€the€€payor€€unless€€otherwise€€specifically€stated.€€The€Ìà àà àrecipient€of€€the€support€and€maintenance€shall€have€the€burden€Ìà àà àof€proving€that€all€reasonable€efforts€at€rehabilitative€have€been€Ìà àà àmade€and€have€been€unsuccessful.€à àÌÓÓà àÌà àThe€circumstances€of€this€case€require€that€support€be€allowed€to€the€wife€on€the€termsÏset€out€in€the€statute.ÌÌà àThe€judgment€of€the€Trial€Court€is€modified€to€require€that€the€husband€pay€to€the€wifeÏ$1,900€per€month€rehabiltative€alimony€for€a€period€of€two€years,€subject€to€increase,€decrease,Ïtermination€or€extension€by€the€Court€at€any€time€upon€satisfactory€showing€that€the€wife€hasÏbeen€partially€or€fully€rehabilitated.€€The€court€may€also€modify€its€judgment€if€the€wife€hasÏfailed€to€make€a€bona€fide€effort€to€rehabilitate€her€earning€capacity,€or€if€rehabilitation€involvesÏadditional€expenses,€or€if€the€wife€has€made€a€bona€fide€effort€to€rehabilitate€her€earningÏcapacity€and€has€been€unable€to€do€so.€€These€modifications€are€to€be€effective€on€the€date€ofÏthe€final€decree,€July€28,€1995.€€ÌÌà àIn€view€of€the€resources€of€the€wife€the€allowance€of€attorneys€fees€at€the€trial€orÏappellate€level€is€not€deemed€appropriate.ÌÌà
