àPlaintiff€Renaissance€Financial€Services,€œInc.,›€brought€thisÏœaction›€against€Ronald€and€Diana€Billbury€to€recover€a€contractualÏfee€œfor›€œservices€allegedly€rendered›€in€procuring€a€bank€loanÍcommitment,€œintended›€to€finance€the€Billburys'€purchase€of€aÏmarina.€€The€Billburys€argued€that€they€were€not€responsible€forÏthe€fee€because€the€president€of€Renaissance,€Clifford€C.€Renfro,ÏJr.,€breached€his€fiduciary€duty€to€them€by€not€diligently€seekingÏthe€financing€package€outlined€in€the€parties'€contract.€€TheÏtrial€court€found€that€under€the€clear€and€unambiguous€terms€ofÏthe€contract,€payment€of€the€"mortgage€banking€fee"€was€due€toÏRenaissance,€and€held€the€Billburys€responsible€for€the€fee.€€TheÏBillburys€have€appealed€from€this€judgment.€€We€affirm€the€judg…ment€of€the€trial€œcourt.›ÌÌà àIn€1995,€the€Billburys€became€interested€in€purchasing€aÏmarina€in€East€Tennessee.€€On€July€13,€1995,€they€signed€a€commer…cial€purchase€agreement€with€Jacques€Vincent€whereby€they€agreedÏto€purchase€from€Vincent€a€property€called€"P.J.'s€œMarina"›€forÏ$2,130,000.€€At€that€time,€Vincent€had€agreed€to€provide€sellerÏfinancing€for€all€but€$600,000€of€the€purchase€price.€€TheÏBillburys€had€$300,000€in€personal€funds€available,€and€in€AugustÏof€1995,€they€approached€Renaissance€in€an€attempt€to€obtainÏadditional€financing€in€the€amount€of€$300,000.€ÌÌà àThe€Billburys€dealt€exclusively€with€Renfro€over€the€courseÏof€their€involvement€with€Renaissance.€€Renfro€told€them€that€heÏdid€not€consider€a€commercial€bank€loan€of€$300,000€feasible,Ïbecause€in€his€opinion€no€bank€would€consider€making€a€loan€forÏsuch€an€amount€behind€a€large,€seller„financed€first€mortgage.€ÏRenfro€testified€that€the€parties€then€discussed€possible€alterna…tives,€and€he€suggested€that€the€parties€seek€a€more€conventionalÏfinancing€package.€€Renfro€suggested€that€he,€on€the€Billburys'Ïbehalf,€try€to€obtain€financing€for€the€purchase€in€the€followingÏpackage:€a€first€mortgage€from€a€commercial€lender€in€the€amountÏof€€$750,000;€a€second€mortgage€from€the€Small€Business€Adminis…tration€(SBA)€in€the€amount€of€$750,000;€and€seller€financing€forÏthe€remaining€$350,000.× ƒ+ ××  ×€€Based€on€his€review€of€financial€state…ments€which€had€been€provided€by€Vincent€at€that€time,€RenfroÏconcluded€that€the€marina's€cash€flow€would€make€such€a€financingÏpackage€feasible.€€ÌÌà àThe€parties€signed€a€"Financial€Services€Agreement"€on€Sep…tember€3,€1995,€which€incorporated€the€terms€of€the€proposedÍfinancial€package€described€above,€and€further€stated€in€relevantÏpart:ÌÓÓÌœà8 àà òœà8 àà àRFS›€Mortgage€Banking€Fee:ó ó€Upon€acceptance€ofÏany€bank€loan€commitment(s)€for€financing€procuredÏhereby€(and€final€approval€of€any€conditional€SBA€loanÏapprovals,€if€any),€Applicant€agrees€to€pay€to€RFS€aÏloan€origination€fee€for€arranging€said€financing.€ÏFurther,€should€RFS€obtain€and€present€to€you€€(a)Ïcommitment€letter(s)€with€terms€and€conditions€otherÏthan€those€outlined€herein€which€is€acceptable€to€andÏaccepted€by€you,€it€is€hereby€mutually€agreed€that€RFSÍshall€have€earned€said€fee€for€negotiating€acceptableÏloans€on€your€behalf.€€Said€fee€is€deemed€earned€uponÏissuance€and€acceptance€of€said€commitment(s).€€Appli…cant€hereby€agrees€to€pay€said€fee€in€the€amount€ofÏ$13,500.€€ÌÌÌÓÓà àDuring€their€initial€discussion,€Renfro€advised€the€BillburysÏthat€he€would€need€tax€returns€or€accountant„prepared€financialÏstatements€from€the€P.J.'s€marina€business€in€order€to€prepare€aÏloan€request€package.€€After€the€Billburys€received€these€finan…cial€documents€and€promptly€forwarded€them€to€Renfro,€it€becameÏapparent€that€the€initial€financial€statements€provided€by€VincentÏwere€not€accurate.€€Renfro€testified€that€the€actual€accountant„prepared€financial€statements€reflected€a€cash€flow€of€about€one„half€what€was€shown€on€Vincent's€initially€provided€statements.€€ÌÌà àRenfro€testified€that€after€he€reviewed€the€accurate€finan…cial€statements,€"I€knew€immediately€[they]€would€not€support€theÏloan€contemplated€in€the€Financial€Services€Agreement€of€$1.5Ïmillion€by€an€institutional€lender."€€The€parties€then€met€inÏNovember€1995€to€discuss€further€options.€€œRenfro›€told€theÏBillburys€€the€actual€cash€flow€of€the€business€would€not€supportÏthe€transaction€as€proposed,€and€that€they€would€need€to€restruc…ture€the€loan€proposal€to€try€to€obtain€institutional€financing€inÍthe€amount€of€one€million€dollars.€€He€also€testified€that€heÏadvised€the€Billburys€that€they€might€want€to€reconsider€or€rene…gotiate€the€sales€price,€but€after€they€conferred€with€Vincent€andÏthe€real€estate€agent,€they€stated€that€they€remained€satisfiedÏwith€the€price.€€Mr.€Billbury€testified€that€Renfro€never€suggest…ed€they€renegotiate€the€sales€price€with€Vincent.ÌÌà àAs€a€result€of€the€November€meeting,€the€Billburys€and€Vin…cent€executed€an€"addendum€to€real€estate€sales€contract"€whichÏstated€in€relevant€part€as€follows:ÌÓÓÌœà8 àFinancing›€terms€referred€to€in€Item€1,€Page€1,€of€theÏabove€contract€shall€be€set€forth€as€follows:ÌÌœà8 àFirst›€Loan:ÌÌœà8 à1)›€Proceeds€from€new€first€loan€of€$1,000,000€for€a€termÏof€fifteen€to€twenty€years€shall€be€secured€from€aÏcommercial€lending€institution€at€a€fixed€rate€of€inter…est.€€Part€of€this€loan€may€come€from€the€Small€BusinessÏAdministration.ÌÌœà8 àSeller›€Financing:ÌÌœà8 à2)›€Proceeds€from€a€new€second€loan€shall€be€secured€fromÏseller€in€the€amount€of€$875,00€for€fifteen€years€at€aÏfixed€interest€rate€of€œ7.5%€...€.›ÌÌœÌÓÓ›à àSubsequently,€Renfro€submitted€a€loan€request€package€onÏbehalf€of€the€Billburys€to€several€financial€institutions,€re…questing€a€loan€in€the€amount€of€$500,000.€€Two€of€the€banksÏresponded€with€loan€approvals€for€$500,000€first€mortgages,€sub…ject€to€an€SBA€second€mortgage€loan€of€$500,000.€€ÌÌà àIn€January€1996,€Renfro€submitted€a€$500,000€loan€requestÏpackage€to€the€SBA,€which€was€subsequently€rejected.€Renfro€thenÏobtained€approval€from€one€of€the€banks€to€increase€its€loan€andÏfirst€mortgage€to€$750,000.€€Vincent€agreed€to€finance€the€remain…der€of€the€purchase€price,€less€the€$300,000€provided€by€theÏBillburys.€€The€bank€sent€the€Billburys€a€loan€commitment€letterÏagreeing€to€loan€them€$750,000,€which€the€Billburys€signed.€œ€TheÏBillburys€testified€that€they€tried€on€numerous€occasions€to€reachÏand€consult€Renfro€regarding€the€loan€commitment€letter,€but€couldÏnot€reach€him,€so€they€signed€the€letter€without€his€consultation.€Ï›Ìà àSubsequently,€negotiations€between€the€parties€broke€downÏwhen€it€was€discovered€for€the€first€time€that€Vincent,€for€taxÏreasons,€would€only€agree€to€a€stock€sale€of€the€marina.€€TheÏBillburys€insisted€on€an€asset€sale.€€The€parties€could€not€agreeÏon€this€point,€and€the€œsale›€was€never€consummated.€€Vincent'sÏattorney€testified€that€the€reason€the€deal€failed€was€not€becauseÍof€a€lack€of€financing,€but€because€the€parties€could€not€agree€onÏthe€other€terms€of€the€sale.€ÌÌà àSome€time€after€the€deal€fell€apart,€Renfro€sent€theÏBillburys€an€invoice€for€Renaissance's€$13,500€loan€originationÏfee.€€The€Billburys€refused€to€pay€the€fee,€and€this€litigationÏensued.€€As€noted€above,€the€trial€court€found€that€the€BillburysÏwere€contractually€liable€for€the€fee.€€The€sole€issue€on€thisÏappeal€is€whether€the€court€was€correct€in€making€that€determina…tion.ÌÌà àWe€first€note€that€the€clear€and€unambiguous€terms€of€theÏagreement€between€Renaissance€and€the€Billburys€support€Renais…sance's€assertion€that€the€fee€is€due€and€payable€in€full.€€TheÏagreement€provides:ÌÓÓÌœà8 àUpon›€acceptance€of€òòanyóó€bank€loan€commitment(s)€forÏfinancing€procured€hereby€(and€final€approval€of€anyÏconditional€SBA€loan€approvals,€if€any),€ApplicantÏagrees€to€pay€to€RFS€a€loan€origination€fee€for€arrang…ing€said€financing.€€Further,€òòshould€[Renaissance]Ïobtain€and€present€to€you€€(a)€commitment€letter(s)€withÏterms€and€conditions€other€than€those€outlined€hereinÏwhich€is€acceptable€to€and€accepted€by€you,€it€is€herebyÏmutually€agreed€that€[Renaissance]€shall€have€earnedÏsaid€fee€for€negotiating€acceptable€loans€on€your€be…half.€€Said€fee€is€deemed€earned€upon€issuance€andÍacceptance€of€said€commitment(s)óó.€€Applicant€herebyÏagrees€to€pay€said€fee€in€the€amount€of€$13,500.€[empha…sis€added].ÌÌÌœà à›ÓÓIt€is€uncontroverted€that€Renaissance,€through€Renfro,€pro…cured€a€loan€commitment€letter€from€a€bank€in€the€amount€ofÏ$750,000.€€The€Billburys€both€signed€and€accepted€the€commitmentÏletter.€€ÌÌà àMrs.€Billbury€testified€that€she€did€not€read€the€financialÏservices€agreement€with€Renaissance€before€she€signed€it,€butÏinstead€relied€on€Renfro's€explanation€of€the€agreement.€€Mr.ÏBillbury€testified€that€Renfro€did€not€read€the€back€side€of€theÏagreement€to€them,€where€the€"mortgage€banking€fee"€terms€wereÏlocated€and€where€the€parties€signed€at€the€bottom.€€Mr.€BillburyÏstated€that€he€certainly€would€not€have€signed€the€loan€commitmentÏletter€if€he€had€thought€that€act€would€trigger€liability€forÏRenaissance's€fee.€€That€result,€however,€is€mandated€by€theÏclear,€unambiguous€terms€of€the€contract.ÌÌà àThe€following€long„established€and€fundamental€principles€ofÏcontract€law,€recently€enunciated€by€this€court€in€òòGates,€Duncan€&ÍVancamp€Co.€v.€Levatinoóó,€962€S.W.2d€21€œ(Tenn.€App.›€1997),€areÏequally€applicable€to€the€present€case:ÌÓÓÌœà8 à›à àIt€has€long€been€established€in€this€state€that€aÏcontract€must€be€interpreted€and€enforced€according€toÏits€clear,€plain€and€unambiguous€terms.€€òòBob€PearsallÏMotors,€Inc.€v.€Regal€Chrysler„Plymouth,€Inc.óó,€521ÏS.W.2d€578,€580€(Tenn.€1975).€€When€the€language€of€theÏcontract€is€unambiguous€and€there€is€no€claim€of€fraudÏor€mistake,€the€court€must€give€effect€to€the€intentionÏof€the€parties€as€expressed€in€the€language€used€in€theÏcontract.€òòJennings€v.€Hayesóó,€787€S.W.2d€1,€2€(Tenn.App.Ï1990).Ìà àMoreover,€the€parties€to€a€contract€cannot€createÏan€ambiguity€where€none€exists.€€òòEdwards€v.€TravelersÏIndemnity€Co.óó,€201€Tenn.€435,€300€S.W.2d€615,€617„18Ï(1957).€€Parole€evidence€is€inadmissible€to€contradictÏor€vary€the€terms€of€a€written€contract,€when€the€par…ties'€intentions€are€readily€ascertained€from€the€con…tract€as€reduced€in€writing.€€òòMcQuiddy€Printing€Co.€v.ÏHirsigóó,€23€Tenn.App.€434,€134€S.W.2d€197,€204€(1939).€ÏThe€law€conclusively€presumes€that€the€parties€to€aÏcontract€understood€its€obligations,€and€evidence€is€notÏadmissible€to€show€that€their€understanding€was€œin€factÏotherwise.›€€òòIdóó.€134€S.W.2d€at€204.ÌÌÌÓÓòòIdóó.€at€25.Ìà
