à5.€€Arthur€Smith,€Jr.€defaulted€on€the€Note€and€DeedÏof€Trust€described€above€and€sometime€thereafterÏCommercial€Credit€Plan,€Inc.€commenced€foreclosureÏproceedings€on€the€above€described€property.€€TheÏforeclosure€was€scheduled€for€Monday,€February€20,Ï1995€at€12€oððclock€noon.ÌÌà8 àà8 à6.€€Sometime€between€December,€1993€and€August,Ï1996,€Arthur€Smith€died.ÌÌà8 àà8 à7.€€Prior€to€the€foreclosure€sale€described€above,Ïdocumentation€was€produced€to€Commercial€CreditÏPlan,€Inc.€indicating€that€the€estate€of€Arthur€Smith,ÏJr.€does€not€have€clear€title€to€the€subject€property,Ïbut€only€a€partial€interest.€€The€property€secured€byÏthe€Deed€of€Trust€is€owned€jointly€by€the€Estate€ofÏArthur€Smith,€Jr.€and€Earline€Brawley,€each€owning€anÏundivided€one„half€(ðð)€interest€in€the€subjectÏproperty€as€devised€by€the€Last€Will€or€Arthur€SmithÏ(Sr.)€dated€July€29,€1972.€€A€copy€Ñ7€|–XXdðXXdð7Ñof€the€Will€isÏattached€hereto€as€Exhibit€ð à8.€€The€appraised€value€of€the€subject€property€as€aÏwhole€is€Twenty„Three€thousand€Five€Hundred€andÏNo/100€dollars€($23,500.00).€€A€œcopy›€of€the€appraisalÏis€attached€hereto€as€Exhibit€ð ðEðð.ÌÌà8 àà8 à9.€€The€lien€of€Commercial€Credit€Plan,€Inc.€againstÏthe€subject€property€as€described€above,€is€valid€andÏenforceable€as€to€an€undivided€one„half€interest€in€theÏsubject€property.ÌÌÓÓà àThe€following€testimony€was€introduced€at€trial:€€After€receiving€proof€ofÏMs.€Brawleyððs€interest,€CCP€canceled€the€foreclosure€sale€which€had€beenÏscheduled€for€February€20,€1995.€€Approximately€five€months€later,€in€July€ofÏ1995,€Robert€Castile€of€CCP€contacted€Dave€Davis€of€Strategic€MortgageÏServices,€Inc.,€the€policy€issuing€agent€for€TRW,€to€discuss€a€possible€claimÏunder€the€policy€of€title€insurance.€€Castile€testified€that€during€a€subsequentÏconference€call€between€Davis,€Castile,€and€W.€Ray€Jamieson,€CCPððs€attorney,ÏDavis€denied€the€claim€on€behalf€of€TRW.€€TRWððs€officer,€Mark€Pfeiffer,Ïtestified,€however,€that€Strategic€Mortgage€Services€and€Mr.€Davis€are€notÏagents€for€claims€on€the€policies€issued€by€TRW.€€Ìà àAfter€the€conversation€with€Mr.€Davis,€CCP€filed€suit€in€Shelby€CountyÏChancery€Court€against€TRW€to€recover€under€the€policy€of€title€insurance.× ƒ0 ××  ×€ÍTRW€asserts€that€it€did€not€become€aware€of€CCPððs€claim€until€it€was€servedÏwith€a€copy€of€the€œlawsuit.›€€TRW€contends€that€it€was€prejudiced€by€CCPððsÏfailure€to€timely€notify€it€of€a€potential€claim€under€the€policy€and€that€the€suitÏshould€be€dismissed€because€CCP€failed€to€comply€with€the€policy€provisionsÏregarding€notice€and€proof€of€loss.€€€Ìà àThe€trial€court€found€that€CCP€provided€notice€of€the€claim€to€StrategicÏMortgage€Services€and€that€TRW€had€imputed€notice€of€the€claim€through€itsÏagent.€€The€court€also€found€that€CCP€had€not€failed€to€fulfill€a€conditionÏprecedent€under€the€terms€of€the€title€insurance€policy.€€Furthermore,€the€courtÏfound€that€CCP€had€a€valid€and€enforceable€lien€against€an€undivided€one„halfÏinterest€in€the€property.€€The€court€also€found€that€this€interest€had€value,€butÏthat€the€amount€was€not€established€at€trial.€€The€trial€court€granted€judgmentÏto€CCP€in€the€amount€of€$23,500.00,€the€stipulated€value€of€the€property.Ìà àTRW€appeals€the€judgment€of€the€trial€court€and€has€raised€three€issuesÏfor€review:ÌÓÓà8 àà8 à1.€€Whether€the€trial€court€erred€in€failing€to€dismissÏplaintiffððs€case€for€failure€to€fulfill€a€conditionÏprecedent.ÌÌà8 àà8 à2.€€Whether€the€trial€court€erred€in€finding€that€theÏplaintiff€CCP€met€its€burden€of€proving€damages€inÏthe€amount€of€$23,500.00.ÌÌà8 àà8 à3.€€Whether€the€trial€court€erred€in€finding€that€theÏdefendant€TRW€was€not€prejudiced€due€to€plaintiffððsÏfailure€to€provide€notice€of€the€claim€and€proof€of€lossÏas€specified€in€the€policy€of€title€insurance.ÌÌÓÓà àSince€this€case€was€tried€by€the€court€sitting€without€a€jury,€we€reviewÏthe€case€òòde€novoóó€upon€the€record€with€a€presumption€of€correctness€of€theÏfindings€of€fact€by€the€trial€court.€€Unless€the€evidence€preponderates€againstÏthe€findings,€we€must€affirm,€absent€error€of€law.€€T.R.A.P.€13(d).Ìà àIssues€number€one€and€three€relating€to€conditions€precedent€to€coverageÏand€prejudice€will€be€addressed€together.€€TRW€asserts€on€appeal€that€CCPÏð ðfailed€to€make€proper€demand€to€TRW€for€coverage€under€the€subject€policyÏas€required€under€its€conditions€and€stipulations.ðð€€Specifically,€TRW€arguesÏthat€because€CCP€failed€to€give€notice€of€the€claim€and€proof€of€loss€in€writingÏto€the€address€specified€in€the€policy,€ð ðTRW€was€not€given€the€opportunity€toÏeither€indemnify,€defend€or€refuse€to€do€so.ðð€€As€a€result,€TRW€was€denied€ð ðtheÏopportunity€to€take€actions€prior€to€litigation€which€could€have€mitigatedÏdamages€to€the€parties€and/or€avoided€the€cost€of€litigation.ðð€Ìà àThe€relevant€policy€provisions€on€notice€are€as€follows:ÌÓÓà8 àà8 à3.€€NOTICE€OF€CLAIM€TO€BE€GIVEN€BY€INSURED€€€€€€ÏCLAIMANTÌà8 àà àÌà8 àà8 à€€€€€The€insured€shall€notify€the€Company€promptly€inÏwriting€.€.€.€(ii)€in€case€knowledge€shall€come€to€anÍinsured€hereunder€of€any€claim€of€title€or€interestÏwhich€is€adverse€to€the€title€to€the€estate€or€interestÏor€the€lien€of€the€insured€mortgage,€as€insured,€andÏwhich€might€cause€loss€or€damage€for€which€theÏCompany€may€be€liable€by€virtue€of€this€policy€.€.€.€IfÏprompt€notice€shall€not€be€given€to€the€Company,Ïthen€as€to€the€insured€all€liability€of€the€CompanyÏshall€terminate€with€regard€to€the€matter€or€mattersÏfor€which€prompt€notice€is€required;€providedÏhowever,€failure€to€notify€the€Company€shall€in€noÏcase€prejudice€the€rights€of€any€insured€under€thisÏpolicy€unless€the€Company€shall€be€prejudiced€by€theÏfailure€and€then€only€to€the€extent€of€the€prejudice.ÌÌà àà àà à*à àà à*à àà à*à àà à*Ìà8 àà8 àÌà àà à5.€€PROOF€OF€LOSS€OR€DAMAGEÌà8 àà àÌà8 àà8 à€€€€€In€addition€to€and€after€the€notices€required€underÏSection€3€of€these€Conditions€and€Stipulations€haveÏbeen€provided€the€Company,€a€proof€of€loss€or€damageÏsigned€and€sworn€by€the€claimant€shall€be€furnished€toÏthe€company€within€90€days€after€the€insuredÏclaimant€shall€ascertain€the€facts€giving€rise€to€the€lossÏor€damage.€€The€proof€of€loss€or€damage€shall€describeÏthe€defect€in€or€lien€or€encumbrance€on€the€title,€orÏother€matter€insured€against€by€this€policy€whichÏconstitutes€the€basis€of€loss€or€damage€and€shall€state,Ïto€the€extent€possible,€the€basis€of€calculating€theÏamount€of€the€loss€or€damage.€€If€the€Company€isÏprejudiced€by€the€failure€of€the€insured€claimant€toÏprovide€the€required€proof€of€loss€or€damage,€theÏCompanyððs€obligations€to€the€insured€under€the€policyÏshall€terminate,€including€any€liability€or€obligation€toÏdefend,€prosecute,€or€continue€any€litigation€withÏregard€to€the€matter€or€matters€requiring€such€proofÏof€loss€or€damage.ÌÌà àà àà à*à àà à*à àà à*à àà à*Ìà8 àà8 àÌà àà à16.€€NOTICES,€WHERE€SENTÌà8 àà àÌà8 àà8 à€€€€€All€notices€required€to€be€given€the€Company€andÏany€statement€in€writing€required€to€be€furnished€theÏCompany€shall€include€the€number€of€this€policy€andÏshall€be€addressed€to€the€Company€at€its€KansasÏCorporate€Headquarters,€8800€College€Blvd.,€SuiteÏ700,€Overland€Park,€Kansas€68211.€€ÌÌÓÓà àTRW€asserts€that€the€case€should€have€been€dismissed€because€CCPÏfailed€to€fulfill€the€conditions€precedent€of€providing€adequate€notice€and€proofÏof€loss€as€required€under€the€conditions€and€stipulations€of€the€policy.€€Ìà àUpon€review€of€the€pertinent€policy€provisions,€we€conclude€that€theÏnotice€and€proof€of€loss€requirements€in€this€particular€policy€do€not€createÏconditions€precedent€to€coverage.€€It€is€true€that€provisions€requiring€ð ðpromptððÏor€ð ðimmediateðð€notice€to€an€insurer€have€been€held€to€create€conditionsÏprecedent€whose€failure€to€fulfill€will€justify€the€denial€of€coverage€even€in€theÏabsence€of€prejudice€to€the€insurer.€€òòSeeóó€òòò òHartford€Accident€&€Indem.€Co.€v.ÏCreasy,€óóó ó530€S.W.2d€778€(Tenn.€1975);ò òòò€Allstate€Ins.€Co.€v.€Wilsonó óóó,€856€S.W.2dÏ706,€709€(Tenn.€App.€1992).€€However,€the€language€of€Section€3€of€the€instantÏpolicy€is€at€odds€with€such€a€strict€construction€because€this€section€€providesÏthat€ð ðfailure€to€notify€the€Company€shall€in€no€case€prejudice€the€rights€of€anyÏinsured€under€this€policy€òòunless€the€Company€shall€be€prejudiced€by€the€failureóó€andÍthen€only€to€the€extent€of€the€prejudice.ðð€€(emphasis€added).€€In€other€words,Ïfailure€to€provide€prompt€notice€does€not,€in€and€of€itself,€negate€coverage.ÏTherefore,€strictly€speaking,€it€is€not€a€condition€precedent.€€Section€5€requiringÏproof€of€loss€or€damage€contains€similar€language€and€must€be€interpretedÏaccordingly.€€Ìà àNevertheless,€if€TRW€can€show€that€it€has€been€prejudiced€by€the€delayÏin€notice,€it€may€escape€liability,€at€least€to€the€extent€of€the€prejudice.€€TRWÏasserts€that€it€did€not€receive€notice€of€CCPððs€claim€until€it€was€served€withÏthis€lawsuit€in€€August€of€1995,€more€than€five€months€after€CCP€learned€of€theÏdefect€in€title.€€However,€the€trial€court€found€that€TRW€had€imputed€notice€ofÏCCPððs€claim€through€its€agent,€Strategic€Mortgage€Services,€and€that€TRW€hadÏð ðnot€been€prejudiced€by€its€liability€to€its€own€attorneys€for€fees€and€court€costsÏin€this€cause€by€any€failure€of€[CCP]€to€follow€the€terms€of€the€policy.ðð€€Ìà àWe€note€that€CCP€had€knowledge€of€the€title€problem€in€February€1995,Ïbut€first€contacted€the€agent€in€July€1995,€some€five€months€later.€€Even€if€weÏconstrue€the€verbal€notice€to€the€agent€as€compliance€with€the€policyÏprovisions,€we€cannot€accept€a€finding€that€a€five€month€delay€is€ð ðgiving€noticeÏpromptly.ðð€€Ìà àThe€issue€then€becomes€whether€the€five€month€delay€in€giving€notice,€orÍCCPððs€failure€to€provide€written€notice€and€proof€of€loss€in€accordance€with€theÏterms€of€the€policy,€prejudiced€the€rights€of€TRW.€€TRW€asserts€that€it€hasÏincurred€attorney€fees€in€the€instant€litigation€that€it€would€not€have€otherwiseÏincurred€if€it€had€received€proper€notice.€€It€is€undisputed€that€CCP€did€notÏcomply€with€the€policy€provisions€requiring€written€notice€of€the€claim€andÏwritten€sworn€proof€of€loss.€€It€appears€that€such€policy€provisions€are€designed,Ïat€least€in€part,€to€provide€the€insurer€an€opportunity€to€assess€its€optionsÏwithout€incurring€litigation€expenses.€€In€this€case,€TRW€did€not€have€thatÏopportunity€and€was€prejudiced€to€the€extent€of€the€extra€expense€incurred.€ÏWe€respectfully€disagree€with€the€chancellorððs€finding€on€this€issue.€€Ìà àIn€its€remaining€issue,€TRW€asserts€that€CCP€did€not€prove€its€damagesÏas€required€by€the€policy.€€The€policy€provides:ÌÓÓà8 àà8 à7.€€Determination€and€Extent€of€Liability.Ìà8 àà8 à€€€€€This€policy€is€a€contract€of€indemnity€againstÏactual€monetary€loss€or€damage€sustained€or€incurredÏby€the€insured€claimant€who€has€suffered€loss€orÏdamage€by€reason€of€matters€insured€against€by€thisÏpolicy€and€only€to€the€extent€herein€described.ÌÌà8 àà8 à(a)€The€liability€of€the€Company€under€this€policyÏshall€not€exceed€the€least€of:ÌÌà8 àà8 àà8 à(i)€the€Amount€of€Insurance€stated€inÏSchedule€A,€or,€if€applicable,€the€amountÏof€insurance€as€defined€in€Section€2(c)€ofÏthese€Conditions€and€stipulations;ÌÌà8 àà8 àà8 à(ii)€the€amount€of€the€unpaid€principalÏindebtedness€secured€by€the€insuredÏmortgage€as€limited€or€provided€inÏSection€8€of€these€Conditions€andÏStipulations€or€as€reduced€under€SectionÏ9€of€these€Conditions€and€Stipulations,€atÏthe€time€the€loss€or€damage€insuredÏagainst€by€this€policy€occurs,€togetherÏwith€interest€thereon;€orÌÌà8 àCCP€introduced€the€testimony€of€Ray€Hoover,€real€estate€appraiser,€as€anÏexpert€witness.€€He€testified€that€the€property€involved€was€worthless,€that€itÏhad€no€value€whatsoever.€€However,€we€note€from€his€testimony€that€he€wasÏunder€the€impression€that€there€could€be€no€foreclosure€of€an€undivided€one„half€interest.€€Moreover,€it€is€apparent€from€his€testimony€that€he€had€noÏunderstanding€that€once€the€property€was€foreclosed€the€successful€bidderÏwould€be€a€tenant€in€common€with€Mrs.€Brawley.€€€As€such€a€tenant€in€commonÏthe€bidder€is€entitled€to€a€partition€or€sale€for€partition.€€T.C.A.€ðð€29„27„101Ï(1980)€and€T.C.A.€ðð€29„27„201€(1980);€ò òòòYates€v.€Yatesó óóó,€571€S.W.2d€293€(Tenn.Ï1978).Ìà àThe€trial€court€did€not€accept€Mr.€Hooverððs€testimony€and€found€that€theÏproperty€had€some€value€but€that€the€value€was€not€established€by€the€proof.€ÏWe€agree€with€the€trial€court€in€that€regard.€€The€proof€simply€did€not€prove€aÏmeasure€of€damages€as€required€by€the€policy€provisions.Ìà
