 àIn€support€of€his€derivative€action€for€breach€of€fiduciary€duty,€Lee€Fite€argues€that€theÏDefendant€Fite€Brothers,€as€majority€shareholders€and€officers€and€directors,€Becker,€as€an€officerÏand€director,€and€the€corporation€as€a€mere€veil€of€the€majority€shareholders,€harmed€the€corporationÐ ðspecific€facts,€not€legal€conclusions,€by€using€affidavits€or€the€discovery€materials€listed€in€RuleÏ56.03,€establishing€that€there€are€indeed€disputed,€material€facts€creating€a€genuine€issue.ðð€€òòò óóócourt€reasoned€that€if€a€single€minority€shareholder€were€not€allowed€to€bring€a€derivativeÐ à Ðsuit,€then€ð Ðminority€shareholder€as€well€as€a€duty€to€the€corporation.€€A€genuine€issue€of€material€fact€exists€asÏto€whether€they€fraudulently€concealed€their€actions€from€Lee€Fite.€€Therefore,€the€Defendants€areÏnot€entitled€to€summary€judgment€based€on€the€statute€of€œlimitationsñ;ñ€at€this€timeñ;ñ.›€€€Ìà  àThe€Defendants€also€raise€the€affirmative€defense€of€waiver,€claiming€that€Lee€Fite€acceptedÏthe€benefits€of€the€Option€Agreement€after€he€knew€of€the€alleged€wrongful€acts€of€the€Defendants.€Ïòòò Ðagain,€Lee€Fite€asserts€that€he€did€not€know€of€any€of€the€fraudulent€acts€until€July€1995,€while€theÏDefendants€assert€his€knowledge€began€in€1983.€€As€with€the€statute€of€limitations€issue€discussedÏabove,€a€genuine€issue€of€material€fact€exists€as€to€when€Lee€Fite€knew€or€should€have€known€of€theÏalleged€wrongful€acts.€Therefore,€the€Defendants€are€not€at€this€time€entitled€to€summary€judgmentÏbased€on€the€affirmative€defense€of€waiver.Ìà
