ÐÓ½ ÓÌò òOPINIONó óÔ#†X»ºXXX»ºÉ #ÔÔ‡X»ºXXX»ºÔÐ v%Æ # ÐÌòòóóÔ#†X»ºXXX»º’#ÔÔ‡X»ºXXX»ºÔÓ  Óà  àThis€appeal€arises€from€an€executory€contract€for€the€sale€of€real€property.€€€€Henry€Clay€Hart,€Ð V'¦"% ÐJr.,€the€Appellant,€appeals€the€judgment€from€the€Knox€County€Circuit€Court€in€favor€of€William€P.Ð F(–#& ÐHenderson€and€Lillian€R.€Henderson,€the€Appellees.€€Ð 6)†$' Ðà  àà ` àà ¸ àà  àà h àÌÌà  àà ` àMr.€Hart€presents€the€following€issues,€which€we€restate,€for€our€review:Ð ,V'* ÐÌà  àà ` à1.€Whether€the€Trial€Court€lacked€subject€matter€jurisdiction.Ð æ-6),ý Їà  àà ` à2.€€Whether€the€Trial€Court€erred€in€its€determination€that€theÐ ° Ðà  àà ` àoriginal€executory€real€estate€sales€contract€was€no€longer€inÐ  ð Ðà  àà ` àeffect.Ð à Ðà  àà ` àà ¸ àà  àÌÌà  àà ` àWe€affirm€the€judgment€of€the€Trial€Court€and€remand€for€such€further€proceedingsÐ ` ° Ðas€may€be€necessary€consistent€with€this€opinion.Ð P   ÐÌÔ#†X»ºXXX»ºð#ÔÌà  àà ` àIn€the€months€preceding€December€1996,€Mr.€Hart€and€the€Ô_ÔHendersonsÔ_Ô€had€engagedÐ  p  Ðin€discussions€for€the€sale€of€real€property€located€at€4401€Washington€Pike€in€Knox€County.€€The€Ð `  ÐÔ_ÔHendersonsÔ_Ô€owned€the€home,€which€included€a€garage€and€an€apartment€on€the€property€that€couldÐ P  Ðbe€used€for€rental€property.€€€On€December€19,€1996€the€parties€signed€a€contract€entitled€"ExecutoryÐ ð@  ÐReal€Estate€Sales€Contract."€€Most€of€what€transpired€during€the€next€couple€of€years€is€disputed€byÐ à0  Ðthe€parties.Ð Ð  Ðà  àà ` àà ¸ àà  àà h àÌÌà  àà ` àThe€down€payment€was€to€be€for€$4000,€but€Mr.€Hart€could€not€obtain€the€money€forÐ  ð Ðthe€down€payment.€€€Instead,€he€paid€only€$650€with€a€credit€card.€€When€the€second€paymentÐ à Ðbecame€due,€Mr.€Hart€could€not€make€that€payment€as€well.€€According€to€the€Ô_ÔHendersonsÔ_Ô,€they€paidÐ €Ð Ðthe€entire€December€1996€utility€bill€for€the€property,€although€one„half€the€bill€was€Mr.€Hart'sÐ pÀ Ðresponsibility.€Ð `° Ðà  àà ` àà ¸ àà  àÌÌà  àà ` à€Between€December€19,€1996€and€late€March€1998,€the€Ô_ÔHendersonsÔ_Ô€and€Mr.€HartÐ 0€ Ðengaged€in€discussions€regarding€Mr.€Hart's€inability€to€make€payments.€€During€these€discussionsÐ  p Ðthe€down€payment€amount€was€reduced€from€$4,000€to€$2,000.€€€No€written€agreement€stating€theseÐ ` Ðchanges€from€the€original€agreement€was€signed€by€the€parties.€€According€to€the€Ô_ÔHendersonsÔ_Ô,€theyÐ P Ðunderstood€that€they€would€maintain€possession€of€the€double€garage€and€the€apartment€over€theÐ ð@ Ðgarage€and€would€continue€to€rent€the€apartment€and€own€the€rent.€€€Mr.€Hart€disputes€this€assertionÐ à0 Ðby€the€Ô_ÔHendersonsÔ_Ô€and€insists€that€he€should€have€received€the€rent€from€the€apartment€on€theÐ Ð  Ðproperty.€€Ð À! Ðà  àà ` àà ¸ àà  àà h àà À àà  àÌÌà  àà ` àThe€Ô_ÔHendersonsÔ_Ô€state€that€they€informed€Mr.€Hart€that€they€needed€some€paymentÐ $à" Ðtoward€€the€property,€and€the€Ô_ÔHendersonsÔ_Ô€maintain€that€€Mr.€Hart€agreed€to€pay€$450€each€month€forÐ €%Ð # Ðrent€until€he€could€obtain€his€own€financing€and€a€loan.€€€The€Ô_ÔHendersonsÔ_Ô€state€that€the€executoryÐ p&À!$ Ðreal€estate€sales€contract€was€cancelled€by€agreement€of€the€parties€because€Mr.€Hart€broke€theÐ `'°"% Ðagreement€by€not€presenting€them€with€the€down€payment€and€by€not€making€payments.€€€The€partiesÐ P( #& Ðhad€a€verbal€agreement€deadline€of€July€1997€to€complete€the€sale.€€Because€the€month€of€July€hadÐ @)$' Ðalmost€passed€and€Mr.€Hart€could€not€obtain€a€loan,€the€Ô_ÔHendersonsÔ_Ô€prepared€a€residential€rentalÐ 0*€%( Ðcontract.€€They€signed€the€agreement€and€then€sent€it€to€Mr.€Hart€at€the€end€of€July€1997.€€Mr.€HartÐ  +p&) Ðdid€not€sign€the€agreement.€€However,€Mr.€Hart€paid€his€rent€by€check€in€the€amount€of€$450€andÐ ,`'* Ðon€the€memo€portion€of€the€check€€made€the€notation€"rent."€€In€his€letter€dated€February€23,€1998Ð ° Ðand€his€letter€dated€June€30,€1998,€Mr.€Hart€indicates€that€his€payments€are€rent.€€Furthermore,€in€hisÐ  ð Ðamended€complaint€Mr.€Hart€labels€his€payments€as€"rent€for€the€premises."Ð à Ðà@ìì*ìàˆÌà  àà ` àà ¸ àà  àà h àà À àà  àà p àÌÌà  àà ` àIn€March€1998€the€parties€entered€into€a€new€sales€agreement€for€the€real€property.€Ð P   ÐHowever,€that€agreement€was€not€completed€because€Mr.€Hart€was€unable€to€obtain€a€loan.€€ThatÐ @  Ðcontract€provided€that€"time€was€of€the€essence"€and€a€closing€was€required€by€May€8,€1998.€€Ð 0 € Ðà  àà ` àà ¸ àà  àà h àÌà  àà ` àà ¸ àà  àà h àà À àÌÌà  àà ` àMr.€Hart€maintains€that€he€never€defaulted€on€the€original€executory€contract.€€HeÐ ð@  Ðbelieves€that€the€Ô_ÔHendersonsÔ_Ô€constructively€evicted€him€by€moving€someone€into€the€rentalÐ à0  Ðapartment€on€the€property€and€by€keeping€the€rental€proceeds€for€themselves.€€€He€admits€that€heÐ Ð  Ðfiled€seven€different€loan€applications€and€was€unsuccessful€in€obtaining€a€loan.€€€However,€he€insistsÐ À Ðthat€€there€was€never€a€mutual€recision€of€the€contract.Ð ° ÐÌà  àà ` àà ¸ àà  àà h àÌÌà  àà ` àThe€Trial€Court€found€that€the€original€contract€entered€into€by€the€parties€onÐ pÀ ÐDecember€19,€1996€became€nonexistent€by€the€parties'€variances,€changes,€and€alterations€of€theÐ `° Ðterms€of€the€agreement.€€The€Court€noted€that€"[Ô_Ôt]heÔ_Ô€parties€entered€and€signed€a€second€agreementÐ P  Ðon€March€31,€1998,€which€was€not€completed€by€the€Defendant.€€The€Defendant€was€a€leaseholdÐ @ Ðtenant€and€agreed€to€pay€$450.00€each€month€as€rent€to€the€Plaintiffs."€€The€Court€further€found€thatÐ 0€ ÐMr.€Hart€owes€unpaid€rent€in€the€amount€of€$5,900€and€found€that€the€Ô_ÔHendersonsÔ_Ô€were€entitled€toÐ  p Ðthe€immediate€possession€of€the€property.€€€Finally,€the€Trial€Court€"found€that€under€the€facts€andÐ ` Ðcircumstances€of€this€case,€the€equitable€relief€requested€by€the€Defendant€was€not€appropriate."Ð P Ðà  àà ` àà ¸ àà  àà h àà À àÌÌÌà  àà ` àIn€his€first€issue,€Mr.€Hart€argues€that€the€Circuit€Court€did€not€have€subject€matterÐ À! Ðjurisdiction€over€the€proceedings.€€He€contends€that€this€case€involves€an€equity€question€withÐ °"  Ðrespect€to€the€original€executory€sales€contract€and€that€his€counterclaim€for€specific€performanceÐ  #ð! Ðof€the€original€sales€contract€also€involves€an€equity€question.€€He€maintains€that€the€Chancery€CourtÐ $à" Ðshould€have€heard€this€case€because€of€the€equitable€issues.Ð €%Ð # Ðà@ìì*ìàˆÌÌÌà  àà ` àThe€Ô_ÔHendersonsÔ_Ô,€however,€argue€that€the€Circuit€Court€did€have€subject€matterÐ @)$' Ðjurisdiction.€€They€assert€that€a€counterclaim€"was€indeed€filed€by€the€Appellant's€trial€counsel€withÐ 0*€%( Ðthe€Circuit€Court€alleging€equitable€issues€for€the€specific€stated€purpose€to€give€the€Circuit€CourtÐ  +p&) Ðjurisdiction€to€hear€the€whole€matter€at€one€time€and€render€a€full€and€complete€verdict€as€opposedÐ ,`'* Ðto€a€partial€verdict."€€Furthermore,€the€Ô_ÔHendersonsÔ_Ô€note€that€this€pleading€was€filed€on€June€3,€1999,Ð ° Ðwhich€was€one€day€after€the€trial€began.€€They€insist€that€Mr.€Hart€should€not€be€allowed€to€complain€Ð  ð Ðthat€the€Circuit€Court€"lacks€subject€matter€jurisdiction€over€these€proceedings€when€the€Appellant'sÐ à Ðown€trial€counsel€made€a€strategic€decision€to€late€file€his€pleading€alleging€equitable€issues€so€theÐ €Ð ÐCircuit€Judge€could€conduct€a€full€hearing€and€render€a€complete€judgment."€€€In€addition,€theÐ pÀ ÐÔ_ÔHendersonsÔ_Ô€maintain€that€the€Circuit€Court€determined€after€hearing€the€evidence€that€this€case€doesÐ ` ° Ðnot€present€any€equitable€question€because€the€original€executory€sales€contract€was€not€in€effect.€Ð P   Ðà  àà ` àà ¸ àà  àà h àà À àÌÌà  àà ` àCircuit€court€has€jurisdiction€to€determine€whether€the€suit€is€of€an€equitable€nature.€Ð  p  ÐòòÔ_ÔHewgleyÔ_Ô€v.€Triceóó,€340€S.W.2d€918,€921€(Tenn.€€1960).Ð `  ÐÌÌà  àà ` àThe€Trial€Court€heard€this€case€and€determined€that€the€suit€did€not€present€issues€ofÐ à0  Ðan€equitable€nature€because€the€original€executory€sales€contract€was€not€in€effect.€€€We€are€of€theÐ Ð  Ðopinion€that€the€Trial€Court€properly€exercised€subject€matter€jurisdiction€over€the€instant€case€andÐ À Ðproperly€found€that€no€equitable€issues€are€involved€in€this€case.€€Therefore,€this€issue€is€withoutÐ ° Ðmerit.€€Ð  ð ÐÌÌÒ°°Òà  àà ` àIn€his€second€issue,€Mr.€Hart€argues€that€the€Trial€Court€erred€in€finding€that€theÐ pÀ Ðexecutory€real€estate€sales€contract€was€no€longer€in€effect.€€€He€contends€that€there€was€never€aÐ `° Ðmutual€recision€of€the€December€19,€1996€contract€and€that€the€original€contract€was€still€in€effect.€Ð P  ÐHe€also€states€that€he€"did€not€perform€any€acts€which€evidenced€an€intention€not€to€be€bound€by€theÐ @ ÐExecutory€Real€Estate€Sale€Contract€of€December€19,€1996."€€€Mr.€Hart€argues€that€the€Trial€CourtÐ 0€ Ðerred€in€finding€that€he€owes€the€Ô_ÔHendersonsÔ_Ô€€$5,900€as€of€June€3,€1999€and€that€they€are€entitled€toÐ  p Ðimmediate€possession€of€the€premises.€€He€claims€that€the€Court€should€have€given€him€a€credit€ofÐ ` Ð$500€per€month€from€June€1998€instead€of€a€judgment€against€him.€€Ð P ÐÌÌà  àà ` àÌà  àà ` àThe€Ô_ÔHendersonsÔ_Ô€argue€that€the€original€agreement€was€not€in€effect€because€of€all€theÐ À!
