àAlthough€the€judgment€of€the€Trial€Court€requires€an€accounting,€the€record€contains€noÏevidence€that€the€accounting€was€ever€accomplished€or€that€final,€enforceable€judgment€wasÏever€rendered€thereon.€€For€this€reason,€the€judgment€from€which€this€appeal€is€prosecuted€isÏnot€a€final€judgment€appealable€as€of€right€and€is€subject€to€dismissal€pursuant€to€TRAP€RuleÏ3(a)€and€TRCP€Rule€54.02.€€However,€due€to€the€advanced€stage€of€this€appeal,€the€infirmityÏis€waived,€and€the€issues€presented€by€the€parties€will€be€discussed.ÌÓ àmobile€home€lots;ÌÌ2.à àThat€the€court€declare€the€mobile€homes€located€onÏthe€à àdevelopment€to€be€in€violation€of€the€Declaration;ÌÌ3.à àShould€the€court€not€do€as€above€prayed,€then,€toÏà àassess€damages€against€the€defendants€for€theirÏà àmisrepresentation€of€the€mobile€home€restrictions;ÌÌ4.à àThat€the€court€order€the€Corporation€to€immediatelyÏà àprovide€for€a€water€facility€and€to€establish€a€timeÏà àtable€for€such€under€the€supervision€of€the€Court;ÌÌ5.à àShould€the€Court€not€do€as€above€prayed,€then,€toÏà àassess€damages€against€the€defendant€Beechview€forÏà àits€failure€to€so€do;ÌÌ6.à àThat€the€Court€order€the€Corporation€to€show€theÏà àplaintiffs€their€books€to€show€revenues€andÏà àà àThis€matter€came€on€to€be€heard€on€the€30th€day€ofÏJanuary€1997€upon€the€appearance€of€all€parties,€togetherÏwith€their€attorneys,€to€wit:€for€the€plaintiffs,€DouglasÏThompson€Bates,€III,€for€the€defendants,€Billy€W.ÏTownsend€and€James€Ross;€upon€the€entire€record€of€theÏcause€and€upon€sworn€testimony€presented€in€open€court,Ïtogether€with€exhibits€thereto.ÌÌà àThe€plaintiffs€non„suited€all€relief€requested€againstÏall€defendants,€except€for€the€request€to€require€theÏcorporation€to€account€for€its€fees€and€to€declare€which€lotsÏrestricted€against€mobile€homes.€€The€Court€hereby€enters€anÏorder€allowing€said€non„suit.ÌÌà àThe€Court€further€dismisses€all€counter„claims€filedÏby€the€defendants€against€the€plaintiffs.ÌÌà àThe€Court€further€ordered€the€defendant,€Beechview,Ïto€pay€all€court€costs.ÌÌà àThe€Court€did€make€findings€of€facts,€which€are€asÏfollows,€to€wit:ÌÌ1.à àThere€was€a€general€plan€for€BeechviewÏdevelopment,€but€only€on€lots€designated€in€the€attachmentÏas€the€pink€area.€€The€Court€does€further€find€œthat€that›€was€aÏgeneral€plan€on€restrictions€12€through€19,€but€theÏdefendantsðð€oral€statement€that€mobile€homes€are€allowed€onÏthe€ridge€would€be€effective€to€allow€mobile€homes.ÌÌ2.à àThe€restrictions€may€not€be€changed€by€declarant€orÏanyone€else€irrespective€of€the€language€in€any€filings€of€theÏdeclarant€or€anyone€in€regard€to€the€lots€shown€on€theÏattachment.ÌÌ3.à àThere€was€no€general€plan€as€to€any€other€property€inÏthe€development.ÌÌ4.à àAll€other€lots€are€unrestricted,€except€those€lotsÏhaving€the€restrictions€in€their€deeds€even€though€outside€ofÏthe€area€held€restricted€by€these€covenants.ÌÌ5.à àFees€collected€from€lot€owners€under€the€authority€ofÏrestrictions€or€improvements€for€maintenance€of€theÏdevelopment€are€not€unrestricted€funds€of€the€corporation.€ÏPersons€against€whom€assessments€are€made€are€entitled€toÏperiodic€accounting€of€the€total€receipts,€a€breakdown€ofÏclassification€of€those€receipts,€if€there€are€differentÏclassifications,€and€an€itemized€list€of€how€funds€areÏexpended,€the€payees€of€those€distributions€and€the€purposesÏfor€which€the€funds€are€distributed€to€payees.€€This€shall€notÏextend€to€money€derived€from€the€sell€of€lots.ÌÌà àIt€is,€therefore,€ORDERED,€as€follows,€to€wit:ÌÌÓ  Óò òI.ó óÌÓ  ÓÌà àBeechview€Corporation€is€ordered€to€comply€to€theÏrequests€of€the€plaintiffs€for€an€accounting€of€their€fees€as€setÏout€in€the€findings€above.€ÌÓÓÒ  ÒÒ „ ÒÌ€à àAttached€to€the€judgment€is€a€photostatic€copy€of€a€drawing€which€is€made€Exhibit€A€toÏthis€opinion.€€It€contains€no€pink€shading.€€ÌÌà àAs€we€have€noted€the€appellant€lot€owners€in€the€Beechview€subdivision€contend€thatÏall€the€property€in€the€subdivision€contains€a€restriction€(either€by€a€recorded€instrument€or€by€aÏreciprocal€negative€easement)€against€mobile€homes.ÌÌà àThe€record€shows€that€in€June€of€1988,€Beechview€Corporation€purchased€300€acres€ofÏland€in€the€area€of€Wayne€County€where€Beech€Creek€flows€into€the€Tennessee€River.€€TheÏfirst€development€took€place€in€June€of€1989€when€the€corporation€recorded€two€plats€in€theÏWayne€County€Registerððs€Office€along€with€a€ð ðDeclaration€of€Conditions,€Covenants€andÏRestrictionsðð€(the€Declaration)€pertaining€to€the€property.€€The€Declaration€recited€that€theÏð ðdevelopmentðð€was€to€be€known€as€Beechview€Recreation€Development;€that€it€was€a€part€ofÏthe€property€bought€in€1988;€and€that€the€development€was€more€particularly€described€inÏExhibit€A€attached€to€the€Declaration.ÌÌà àExhibit€A€described€the€property€shown€on€the€two€plats.€€The€first,€designated€asÏð ðBeechview€Recreation€Development„Section€One,ðð€was€described€in€Exhibit€A€as€ð ðlots€one€(1)Ïthrough€forty„three€(43)€on€the€plat€and€that€these€lots€were€ð ðrecreational€only.ðð€€The€secondÏplat,€designated€as€ð ðBeechview€Recreation€Development„Section€Two,ðð€shows€twelve€lotsÏdesignated€as€ð ðresidential€only.ððÌÌà àThe€significance€of€the€residential€versus€recreational€designations€œlies›€in€the€fact€that,Ïaccording€to€the€Declaration,€no€permanent€structures€could€be€built€on€the€recreational€lots.€ÍThey€were€the€lots€along€the€river€apparently€below€the€flood€line,€subject€to€a€TVA€flowageÏeasement,€and€could€be€used€only€for€camping€or€picnic€purposes.€€The€lots€on€Part€TwoÏdesignated€as€residential€only€were€restricted€as€to€the€size€and€structure€of€the€residences€to€beÏerected€thereon€and€mobile€homes€as€residences€were€prohibited€except€where€the€plats€soÏdesignated.€€The€plat€did€not€include€any€such€designation.ÌÌà àAt€this€point€we€would€have€to€say€that€the€Declaration€applied€only€to€the€two€plats€thatÏwere€recorded€and€referenced€in€the€Declaration.€€There€is€no€credible€evidence€that€theÏcorporation€had€a€general€plan€or€scheme€to€develop€the€entire€300€acres€with€restrictionsÏagainst€the€use€of€mobile€homes.€òòSeeóó€òòLand€Developers,€Inc.€v.€Maxwellóó,€537€S.W.2d€904Ï(Tenn.€1976).€€An€inference€might€be€drawn€that€the€developer€intended€to€restrict€the€use€of€allÏthe€property€to€either€recreational€or€residential€uses,€but€the€Declaration€itself€alluded€to€theÏpossible€use€of€mobile€homes€on€residential€lots€where€such€use€was€designated.ÌÌà àSome€other€provisions€of€the€Declaration€are€relevant.€€In€Section€VII€the€corporationÏreserved€the€right€to€amend€the€Declaration€at€any€time€prior€to€January€1,€1995,€without€theÏapproval€of€any€lot€owners.€€Any€amendment€would€be€effective€upon€filing€in€the€WayneÏCounty€Registersðð€Office.€€In€the€definitions€section€the€Declaration€again€described€theÏð ðdevelopmentðð€as€the€property€described€in€Exhibit€A€(the€two€plats)€and€ð ðall€other€realÏproperty€which€may€be€annexed€hereto€as€provided€herein.ðð€€Property€could€be€annexed€by€aÏð ðCertificate€of€Expansion,ðð€defined€as€a€recorded€document€or€plat€which€commits€anÏadditional€portion€of€the€real€estate€to€the€Development.€€In€case€other€property€is€added€it€is€toÏbe€subject€to€the€Declaration.ÌÌà àThe€first€expansion€occurred€later€in€the€summer€of€1989.€€On€August€31,€1989,€theÏcorporation€recorded€another€plat€which€is€called€Beechview€Recreational€Development€„ÏSection€Three.€€It€showed€nineteen€lots€on€the€west€side€of€the€main€road,€generally€across€theÏroad€from€the€residential€lots€on€the€plat€of€Section€Two.€The€plat€does€not€contain€anyÏdesignation€concerning€mobile€homes,€nor€does€it€designate€the€lots€as€residential€or€Ïrecreational.€€Nor€does€the€record€contain€any€certificate€of€expansion€filed€in€connection€withÏthis€œplat.ÌÌà àOn€October€25,€1990,€the€corporation€filed€a€Certificate€of€Expansion€bringing€SectionÏ1„A€and€1„B€into€the€development€and€subjecting€them€to€the€Declaration.€€The€plat(s)€for€thisÏadditional€do€not€appear€in€the€record.€€The€corporation€filed€another€plat€on€May€31,€1991Ïdesignated€as€Section€2„A.€€The€plat€does€not€designate€any€lots€residential€or€recreational.ÌÌà àOn€July€10,€1993,€the€corporation€filed€another€Certificate€of€Expansion€covering€theÏremainder€of€the€300€acres€and€subjecting€it€to€the€Declaration€ð ðunless€a€parcel€is€specificallyÏexcluded€from€the€Declaration€of€Conditions,€Covenants€and€Restrictions€and€the€amendmentÏthereto€when€said€parcel€is€conveyed.ðð€€On€the€same€date€the€corporation€filed€an€amendment€toÏthe€Declaration€which€altered€slightly€the€Declarationððs€prohibition€against€subdividing€the€lots.ÌÌà àAlthough€the€record€is€not€clear€as€to€when€other€parts€of€the€original€300€acres€wereÏactually€subdivided,€there€are€references€in€the€record€to€Sections€3C,€3D,€and€3E.€€But€itÏappears€that€large€portions€of€the€original€300€acres€have€not€been€subdivided,€although€all€ofÏthe€property€was€brought€into€the€development€in€the€certificate€of€expansion€filed€in€1993.€ÍThus,€the€restrictions€(whatever€they€are)€apply€to€the€entire€tract.€€And€it€appears€that€all€theÏplaintiffs€purchased€property€that€came€out€of€the€original€300€acres.ÌÌà àIn€1995,€the€corporation€acquired€an€additional€tract€of€122€acres€adjoining€the€originalÏtract€at€the€northwest€corner.€€It€does€not€appear,€however,€that€that€property€has€beenÏdeveloped€or€restricted€in€any€way.ÌÌà àAs€we€read€the€various€documents€the€following€appears:ÌÒ ¸ ÒÒ ` ÒÓÓà à(1)à àThe€original€property€brought€into€theÏDevelopment€included€Section€Two€which€was€designated€asÏresidential€only.€€Under€the€terms€of€the€Declaration,Ïresidential€property€could€not€contain€mobile€homes€unlessÏthe€plat€so€designated.€€The€trial€judge€correctly€found€thatÏthese€lots€were€so€restricted.ÌÌà à(2)à àThe€record€does€not€show€that€any€of€the€lotsÏcarved€out€after€that€time€were€specifically€designatedÏresidential.€€The€plats,€however,€have€a€legend€that€restrictsÏhow€houses€are€to€be€located€on€the€various€lots.€€From€thatÏevidence€and€from€other€evidence€in€the€record€we€find€thatÏall€the€land€above€a€certain€elevation€(which€we€take€to€be€theÏflood€line)€was€to€be€sold€for€residental€purposes.€ÏTherefore,€the€conclusion€is€inescapable€that€the€lots€thatÏhave€been€platted€and€are€above€the€flood€line€come€underÏthe€residential€restrictions€in€the€Declaration.€€After€July€10,Ï1993€the€Development€included€the€entire€300€acres.ÌÌà
