ðthat€it€clearly€reveals€the€land€was€not€part€of€plaintiffsðð€purchase.ððÐ Ð  ÐÌà  àIn€his€amended€answer,€Henegar€alleged€that€the€plaintiffs€filed€an€action€for€damages€againstÐ ¨ø Ðthe€closing€attorney,€David€Flitcroft,€alleging€that€he€was€negligent€in€failing€to€disclose€that€the€platÐ ”ä Ðof€the€property€was€not€recorded,€and€was€unrecordable€because€it€did€not€comport€with€subdivisionÐ €Ð Ðregulations.€€They€alleged€that€had€they€known€of€the€regulations€they€would€not€have€purchased€theÐ l¼ Ðproperty.€€Henegar€further€alleged€that€to€the€extent€established€by€the€proof€and€consistent€withÐ X ¨ Ðcomparative€fault€principles€the€conduct€of€the€plaintiffs,€and€of€Mr.€Flitcroft,€must€be€consideredÐ D!” Ðand€compared€to€any€negligence€of€the€defendants.€€He€further€alleged€that€the€plaintiffs€haveÐ 0"€  Ðattempted€to€prevent€the€finding€of€comparative€fault€on€their€part€by€failing€to€join€him€andÐ Ðposition€in€the€case€at€Bar.Ð ä%4!$ ÐÌà  àIn€the€suit€against€Flitcroft€they€allege€that€but€for€his€negligence€in€failing€to€advise€theÐ ¼' #& Ðplaintiff€of€the€Anderson€County€Subdivision€Regulation€requiring€a€minimum€lot€size€of€3€acresÐ ¨(ø#' Ðwhere€no€utility€water€was€available€the€plaintiffs€would€not€have€purchased€the€property.€€ThisÐ ° Ðassertion€is€alleged€to€be€at€odds€with€the€claims€in€the€case€at€Bar€that€ð ðbut€for€Hagamanððs€andÐ œì ÐHenegarððs€misrepresentation,€the€plaintiffs€would€not€have€purchased€the€property.ððÐ ˆØ ÐÌà  àThe€doctrine€of€judicial€estoppel€provides€that€a€litigant€who€has€deliberately€taken€a€positionÐ `° Ðin€one€judicial€proceeding€will€not,€as€a€matter€of€law,€be€allowed€to€advantage€himself€by€taking€anÐ L œ Ðinconsistent€position€in€another€suit.€€òòò òShell€v.€Lawóóó ó,€€935€S.W.2d€402€Ô#†XKX X X"K^e#ÔÔ‡ X"K XXXKÔ(Tenn.€Ct.€App.1996).€€WhileÐ 8 ˆ Ðit€is€worth€noting€that€appropriate€motions€in€either€court€would€have€lessened€the€litigation€burden,Ð $ t Ðwe€cannot€find€that€the€plaintiffs€are€judicially€estopped€to€maintain€the€Chancery€action€by€filingÐ  ` Ðthe€Circuit€Court€action.Ð ü L  ÐÌò òÓ  ÓXI.ó óÐ Ô$  ÐÓ7}ÓÌà  àMcRae€understood€„€was€firmly€on€notice€of€the€fact€„€that€a€portion€of€the€property€wouldÐ ¬ü  Ðnot€be€sold.€€He€therefore€had€a€duty€in€consideration€of€all€the€circumstances,€to€determine€theÐ ˜è  Ðprecise€location€of€the€exempted€portion.€€The€August€5,€1996€plat׃×Ý ƒ#ÃÝòòÚ  Ú4Ú  ÚóóÝ  Ý×  ×€was€delivered€by€McRae€withÐ „Ô  Ðcertain€tracts€identified€by€a€circle.€€Both€Hagaman€and€Henegar€testified€that€only€ð ðcircled€tractsððÐ pÀ Ðwere€being€sold.€€McRae€disputes€that€he€was€told€about€the€circled€lots,€but€at€the€least€he€had€a€dutyÐ \¬ Ðto€enquire€about€the€significance€of€the€circles.€€The€addenda€to€the€Sales€Contract€„€insisted€uponÐ H˜ Ðby€McRae€„€required€him€to€employ€an€attorney€to€ð ðreview€the€documents.ðð€€He€employed€anÐ 4„ Ðattorney€who€(1)€never€opened€a€file;€(2)€ð ðnever€reviewed€anythingðð;€(3)€never€prepared€a€deed€andÐ  p Ðð ðnever€intend[ed]€toðð;€(4)€never€practiced€real€estate€law€and€ð ðnever€intend[ed]€to.ðð€€McRae€neverÐ  \ Ðcompared€the€plat€to€the€deed.€€Had€he€done€so,€the€non„inclusion€of€the€disputed€tract€would€haveÐ øH Ðbeen€evident.€€The€Sales€Contract€provided€that€McRae€could€not€rely€on€the€representations€ofÐ ä4 ÐHenegar€and€thus€he€was,€at€the€least,€on€enquiry€notice.€€These€non„exclusive€instances€ofÐ Ð  Ðnegligence€as€a€legal€cause€of€the€omission€of€Tract€5€on€the€part€of€McRae,€should€be€compared€toÐ ¼  Ðthe€negligence€of€Henegar.Ð ¨ø ÐÌò òÓ  ÓXII.ó óÐ €Ð ÐÓ„ÓÌà  àAs€we€have€shown,€Henegar€pleaded€that€to€the€extent€established€by€the€proof€and€consistentÐ X ¨ Ðwith€comparative€fault€principles,€the€conduct€of€McRae,€and€Flitcroft,€must€be€considered€andÐ D!” Ðcompared€to€any€negligence€of€the€defendant.€€We€agree.€€The€record€is€replete€with€preponderantÐ 0"€  Ðevidence€of€the€negligence€of€McRae,€but€we€find€no€evidence€of€negligence€on€the€part€of€FlitcroftÐ #l!
