Thisnonjurycaseinvolvestheinterpretationofacommercialinsurancepolicy( thepolicy)issuedbyTheHartfordSteamBoilerInspectionandInsuranceCompany(Hartford)toPruettEnterprises,Inc.(Pruett).Pruett,theownerandoperatorofachainofgrocerystoresinHamiltonCounty,suedHartfordunderthepolicyfor spoilagelossestovariousperishableitemsϜ[caused]whenelectricalpowerto[twoofPruetts]grocerystoreswasinterruptedasaresultofaheavysnowblizzard[onoraboutMarch13,1993].𛀀Eachofthepartiesfiledamotionforsummaryjudgment.Baseduponthepartiesstipulationoffacts,thetrialcourtgrantedHartfordpartialsummaryjudgment,findingthatthelossat6925MiddleValleyRoad,Hixson( MiddleValleyStore)wasnotcoveredbythepolicy.AstothelossatPruettsstoreat3936RinggoldRoad,EastRidge( RinggoldRoadStore),thetrialcourtfoundagenuineissueoffactanddeniedHartfordsϜmotion.  Afterreceivingtheoraltestimonyoftheplaintiffsexpert,thetrialcourtdismissedtheremainingclaimastothelossattheRinggoldRoadStore.Pruettappealed,raisingoneissue: 8 Werethespoilagelosses,whichwereincurredbytheplaintiffasaresultofpoweroutagesattwoofitsgrocerystores, accidentswithinthemeaningofdefendants AllSystemsGoBusinessEquipmentProtectioninsurancepolicywhichinsuredplaintiffforspoilagelossesatthetimeoftheloss?Hartfordadvancesthreeissuesinitsbrief;however,allofitsissuesaresubsumedinthebasicquestionbeforeusonthisappeal:DoesthecoverageofthepolicyextendtoPruettslossesatthesetwostores?@ I.PostureofThisAppeal  Thiscasehasanunusualproceduralhistory.Asnoted,thetrialcourtinitiallyactedonthepartiesstipulationandgrantedHartfordpartialsummaryjudgment.ItthenheardtheoraltestimonyofBartonK.Craver,afterwhichitheldthatPruettsclaimastoitsRinggoldRoadStorewasnotcoveredbytheHartfordpolicy,anddismissedtheplaintiffscomplaint.  PruettofferedMr.CraverstestimonyonthelossatitsϜRinggoldRoadStoreaswellaswithrespecttothelossattheϜMiddleValleyStore,eventhoughthelossatthelatterstorehadearlierbeendisposedofbythesummaryjudgment.Onthisappeal,thepartiestreatthisentirecaseasonedecidedonundisputedfacts,includingfactsandopinionstestifiedtobyMr.Craver.Webelievethisisanappropriatewaytoviewthiscase.Sincethefactsarenotindispute,thetrialcourtsdeterminationsareϜonesoflaw.Therefore,wearenotboundbythem. Adamsv.DeanRoofingCo.,Inc. ,715S.W.2d341,343(Tenn.App.1986).Wemustdecideanewwhoisentitledtojudgmentbasedupontheseundisputedfacts.@ II.Facts  Thepartiesfiledthefollowingstipulationoffacts: 8 PruettEnterprises,Inc.( Pruetts)wasthenamedinsuredunderapolicyofinsurance(the Policy)issuedbyTheHartfordSteamBoilerInspectionandInsuranceCompany( Hartford)withapolicyperiodofMay1,1992toMay1,1993.AcopyofthePolicyandendorsementsisattachedasExhibitA. (   כ 8 Pruettswastheownerandoperatoroftwogrocerystoresmaterialtotheissuesherein,andcoveredunderthePolicy,theaddressofsaidstoresbeing:  (1)8 3936RinggoldRoad,EastRidge,Tennessee(the RinggoldStore).  (2)8 6925MiddleValleyRoad,HixsonTennessee(the MiddleValleyStore).  8 ThePolicymayalsohavecoveredotherstoresnotmaterialtotheissuesinthislawsuit. 8 OnoraboutMarch13,1993awinterstormoccurredintheHamiltonCountyarea. 8 ElectricalpowertotheRinggoldStorewasinterruptedonoraboutMarch13,1993. 8 TheinterruptionofelectricalpowertotheRinggoldstoreresultedinspoilageofperishablegoodsatthatlocation. 8 ElectricalpowertotheMiddleValleyStorewasinterruptedonoraboutMarch13,1993. 8 TheinterruptionofelectricalpowertotheMiddleValleystoreresultedinspoilageofperishablegoodsatthatlocation. 8 FusesonautilitypoleneartheRinggoldRoadStorewereopenedandelectricalpowercouldnotproceedpasttheopenedfusestotheRinggoldRoadStore.ItwasnecessarytoreplacethefusestorestorepowertotheRinggoldRoadStore.Itcannotbedeterminedwithcertaintywhatcausedthefusestoopen,althoughlighteningisapossiblecause. 8 Onefunctionofthefusesistointerruptasurgeofpower. 8 Anelectricalcircuitbreakeropenedat[thePowerBoards]MiddleValleySubstationandelectricalpowercouldnotproceedpasttheopenedcircuitbreakertotheMiddleValleyStore.Powerwasrestoredwhenthecircuitbreakerwasreset.Thecircuitbreakerwasnotdamagedanddidnotrequirerepairorreplacement. 8 Onefunctionofthecircuitbreakerwastointerruptasurgeofpower. 8 Thecircuitbreakerswerelocatedwithin500feetoftheMiddleValleyStore. 8 AsaresultofthelackofpowertotheMiddleValleyStore,certainfrozenandrefrigeratedfoodsspoiledorwerecondemnedbyhealthauthoritiesresultinginalossof$7,763.00toPruetts(the Loss).Therewasa$2,500.00deductibleapplicabletothisloss. 8 AsaresultofthelackofpowertotheRinggoldStore,certainfrozenandrefrigeratedfoodsspoiledorwerecondemnedbyhealthauthoritiesresultinginalossof$32,191.94toPruetts(the Loss).Therewasa$2,500.00deductibleapplicabletothisloss. 8 PruettsmadeclaimsunderthePolicyforthelossesattheRinggoldandMiddleValleyStores,andHartforddeniedtheclaimsonthebasisthatthelosseswerenotcoveredbythepolicy,and/orwereexcludedbythePolicy. 8 PruettshasreceivedpaymentfortheLossfromHuffakerInsuranceAgency,theagencywhichsoldthePolicytoPruetts.PruettshasagreedtoreimbursesuchagencyifPruettsissuccessfulinthisaction. 8 TheLossdidnotresultfromanyphysicaldamagetoequipmentownedbyPruetts,andnorepairorreplacementofequipmentorpartsofequipmentownedbyPruettswasnecessary.  Mr.Craver,whowastheonly livewitness,isanelectricalengineer.HewasworkingfortheChattanoogaElectricPowerBoard(PowerBoard)inMarch,1993,atthetimeofthewinterstorminquestion.Hisdutiesincludedtheinvestigationofthecausesofpoweroutages.  Whiledisavowingcertaintyregardingthecausesofthetwopoweroutagesatissueinthiscase,Mr.CraverexpressedhisϜexpertopinionthattheprobablecauseofthepoweroutageattheRinggoldRoadStorewaslightning )   כwhiletheprobablecauseoftheoutageattheMiddleValleyStorewastreesfallingonthePowerBoardslines.Inbothcases,theprecipitatingeventcausedapowersurge.ThatsurgewasinterruptedwithrespecttotheRinggoldRoadStorebyafuseonthePowerBoardsutilitypole;andbyanelectricalcircuitbreakeratthePowerBoardsϜsubstationneartheMiddleValleyStore.Mr.Cravertestifiedthattherewouldhavebeenacompletelossofpoweratbothstoresevenifthefuseandcircuitbreakerhadnotbeenpresent.Histestimonyindicatesthat,ineitherevent,thestoreswouldhavebeenwithoutpowerforasufficientperiodoftimetospoilPruettsperishablegoods.@ III.ThePolicy  Thepolicyprovides,inpertinentpart,asfollows:@ ALLSYSTEMSGO ''X@ BusinessEquipmentProtection  8 VariousprovisionsinthisPolicyrestrictcoverage.ReadtheentirePolicycarefullytodeterminerights,dutiesandwhatisandisnotcovered. 8 ThroughoutthisPolicy,thewords youand yourrefertotheNamedInsuredshownintheDeclarations.Thewords we, usand ourrefertotheCompanyidentifiedontheDeclarationswhichisprovidingthisinsurance. 8 Otherwordsandphrasesthatappearinquotationmarkshavespecialmeaning.RefertoSectionFDEFINITIONS.̜Ǜ  ќ 8 A. Wemustdecideifthispolicycoverseitherorbothoftheselosses.@ IV.Law  Theinterpretationofaninsurancecontractisaquestionforthecourt. TennesseeFarmersMut.v.AmericanMut. ,840S.W.2d933,936(Tenn.App.1992).  Insurancecontractsaresubjecttothesamerulesofconstructionandenforcementasapplytocontractsgenerally. TravelersIns.Co.v.AetnaCasualtyandSuretyCompany ,491S.W.2d363,367(Tenn.1973).  Ifacontractofinsuranceisambiguousandsusceptibletotworeasonablemeanings, ...theonefavorabletotheinsuredmustbeadopted. Boydv.PeoplesProtectiveLifeInsuranceCompany ,345S.W.2d869,872(Tenn.1961); KentuckyHomeMut.LifeIns.Co.v.Rogers ,270S.W.2d188,193(Tenn.Ϝ1954).̛@ V.Analysis̛̜@ A.InGeneral̛  Hartfordcontendsthat,withrespecttobothstores,Pruettslosswascausedbythe functioningof[a]safetyorprotectivedevice;thatthepolicyexpresslyprovidesthatthe functioningofsuchadeviceisnotan accidentasdefinedinthepolicy;thatthepolicyonlycoverslossescausedbyan accident;and,therefore,sincetherewasno accident,thereisnocoverageapplicabletoPruettslosses.  Aspertinenttothefactsofthiscase,portionsofthepolicycanbe puttogethertodescribethefollowingcoverage: 8 [Hartford]willpayforlossofperishablegoodsduetospoilageresultingfromlackofpower...causedsolelyby...asuddenandaccidentalbreakdownof...[a]ny...electricalapparatususedforthe...transmission...of...electricalpower. 8 Atthetimethebreakdownoccurs,itmustbecomeapparentbyphysicaldamagethatrequiresrepairorreplacementofthecoveredequipmentorpartthereof.Thisisnotaforcedinterpretationofthepolicylanguage;onthecontrary,itisexactlywhatthepolicysays.  WeagreewithHartfordthatthe functioningof[a]safetyorprotectivedeviceisnotan accidentunderthepolicy.WealsoagreewithHartfordthatthefuseandcircuitbreakerbothfunctionedassafetydevicesinthiscase;butallofthisbegsthequestion.Thecriticalquestioninthiscaseiswhatcausedtheselosses.WebelieveitisclearthatthelosseswerecausedbylightningwithrespecttothelossattheRinggoldRoadStoreandtreesfallingonthePowerBoardslineswithrespecttothepowerlossattheMiddleValleyStore.Inbothcases,theaccidentaleventlightningandtreesfallingdamagedan electricalapparatususedforthe...transmission...of...electricalpower.InonecasetheRinggoldRoadStorelightningcauseddamagethatrequiredrepair,i.e.,afusehadtobereplaced.IntheothercasetheMiddleValleyStorethePowerBoardslineswereknockeddownbyfallingtrees.InordertorestorepowertotheMiddleValleyStore,thelineshadtoberepaired.Ineachcase,oncetheunintendedeventlightninginonecaseandtreesfallingintheotheroccurred,thelossofpowerwasinevitable.Thesafetydevicesdidnot causetheloss;theunintendedaccidentaleventsdid.Thesafetydevicesmerelypreventedadditionalandperhapsmoreseriousdamage.  Itistruethatthe accidentidentifiedbyuswithrespecttoeachofthestoresmaynothaveoccurred within500feetofthestore;butthisisnotdeterminativebecausethepolicydoesnotlimittheconceptofan accidenttothoseoccurring within500feetofthestore.Underthepreviouslyquoted Spoilagecoverage,thepolicyprovidesasfollows: 8 Wewillpayforlossofperishablegoodsduetospoilageresultingfromlackofpower,light,heat,steamorrefrigerationcausedsolelybyan accident,includingan accidenttoanytransformer,electricalapparatus,oranycoveredequipmentthatis:  a.8 Locatedonorwithin500feetofyour location;  b.8 Ownedbythebuildingowneratyour location,orownedbyapublicutilitycompany;and  c.8 Usedtosupplytelephone,electricity,airconditioning,heating,gas,waterorsteamtoyour location.Ӝ(EmphasisAdded).Thekeytounderstandingthisprovisioncanbefoundinthedefinitionoftheword include.Generallyspeaking,theword includeorthederivativeversion, including,isintendedtointroducesome,butnotall,oftheϜcomponentsoftheconceptprecedingtheword including. *   ׀ TheAmericanHeritageDictionary 665(NewCollegeed.1978)statesthefollowinginitsdefinitionoftheword include: 8 Tohaveasapartormember;bemadeupof,atleastinpart;contain.@ *** 8 Synonyms:include,comprise,comprehend,embrace,involve.Theseverbsmeantotakeinorcontainoneormorethingsaspartofsomethinglarger.Includeandcomprisebothtakeastheirobjectsthingsorpersonsthatareconstituentparts.Compriseusuallyimpliesthatallofthecomponentsarestated:Thetrackmeetcomprises15events(thatis,consistsoforiscomposedof).Includecanbesoused,but,liketheremainingterms,moreoftenimpliesanincompletelisting:Themeetincludesamongitshighpointsareturnmatchbetweenleadingsprinters.Ӝ(Italicsinoriginal;underliningadded).Aswereadthispolicy,anaccidentwithin500feetofthestoreisjustoneillustrationofthemeaningoftheword accident.Thedescriptivematerialfollowingtheword includingisan incompletelistingofthoseeventsencompassedintheword accident.  Wefindnothinginthepolicyexcludingaccidentsthatoccuratsomedistancefromthestore,iftheaccidentinfactcausesdamagetothestoresgoodsasdescribedinthepolicy.Thatisexactlywhathappenedwithrespecttothelossesatbothofthestores.Again,wewouldemphasizethataswereadtheϜpolicyitcoversalosscausedbyan accidentwithoutlimitingwherethat accidentcanoccur;but,evenassuming,forthepurposeofargument,thatHartfordiscorrectwhenitarguesthatthepolicylimitscoveragetoan accidentthatoccurswithin500feetofthecoveredlocation,thepartiesstipulationshowsthatthe accidentineachofthesecaseswasnotcompleteuntilaneffectoftheprecipitatingeventhadbeen feltwithin500feetofPruettslocation.0 @ B.RinggoldRoadStore  WithrespecttotheRinggoldRoadStore,theblownoutfusehadtobereplacedinordertorestorepowertothatstore.Aswehaveearlierconceded,thefunctioningofthefuseasasafetydevicecannotbeconstruedasan accident;butthisdoesnotmeanthatthefuseanditsreplacementcannotbeviewedas physicaldamagethatrequiresrepairorreplacementofthecoveredequipmentorpartthereof.Whenthesewordsofthepolicyaregiventheir commonandordinarymeaning,theyclearlycontemplatedamagetothefuseanditssubsequentreplacement.  WefindandholdthatPruettisentitledtosummaryjudgmentastothatportionofitscomplaintseekingtorecoverforthelosssustainedbyitattheRinggoldRoadStore.ThetrialcourterredwhenitgrantedHartfordsummaryjudgmentastothisloss.@ C.MiddleValleyStore̛  WithrespecttothelossattheMiddleValleyStore,itwascausedwhentreesfellonthePowerBoardslines.ThereisnothinginthepolicythatexcludesdamagetothePowerBoardslinesastheoffending accident.Damagetothelinesfallswithinthedefinitionof accidentbecausean accidentisdefinedtoinclude asuddenandaccidentalbreakdownof[a]ny...electricalapparatususedforthe...transmission...of...electricalpower.Apowerlinecertainlyfallswithinthe commonandordinarymeaningofthispolicylanguage.ϜFurthermore,thelinesarenotexpresslyexcludedbythepolicylanguagefoundundertheheading [n]oneofthefollowingarecoveredequipment.̛  ThemoreseriousquestioninthiscaseiswhetherthedowningofthePowerBoardslinessatisfiestherequirementthat [a]tthetimethebreakdownoccurs,itmustbecomeapparentbyphysicaldamagethatrequiresrepairorreplacementofthecoveredequipmentorpartthereof.Thequotedlanguagesetsforthacoveragerequirementwhichisobviouslydifferentfrom,andinadditionto,therequirementthatthelossbecausedbyan accident.Theremustbe physicaldamageanditmustbesuchastorequire repairorreplacementofthecoveredequipmentorpartthereof.Thisisaprerequisitetocoverage.  Unlike coveredproperty, accident,andotherwordsinthepolicy, coveredequipmentisnotdefined.However,thepolicydoestelluswhatisnot coveredequipment.Thiscanbefoundundertheheading, [n]oneofthefollowingarecoveredequipment,asquotedearlierinthisopinion;butthisexclusionaryprovisionisofnohelptousinthiscase,becausenoneoftheexcludedequipmentisinvolvedinthefactualscenariobeforeus.  Coveredequipment,whilenotspecificallydefinedinthepolicy,isalludedtointhe Spoilagesectionofthepolicy.Itrefersto 8 ...anycoveredequipmentthatis:    a.8 Locatedonorwithin500feetofyour location;    b.8 Ownedbythebuildingowneratyour location,orownedbyapublicutilitycompany;and    c.8 Usedtosupplytelephone,electricity,airconditioning,heating,gas,waterorsteamtoyour location.However,aswehavepointedoutearlierinthisopinion,thislanguagefollowstheword includingandisthereforenotintendedtobeexclusiveinnature.Bethatasitmay,thelanguagejustquotedisofnohelptotheplaintiffinthiscasebecausethepartiesstipulatedthattheequipmentthatiswithin500feetoftheMiddleValleyStorethecircuitbreakerwasnotdamagedanddidnotrequirerepairorreplacement.Furthermore,thepartiesenteredintoanotherstipulationthatisalsorelevanttothematterunderdiscussion: 8 TheLoss[attheMiddleValleyStore]didnotresultfromanyphysicaldamagetoequipmentownedbyPruetts,andnorepairorreplacementofequipmentorpartsofequipmentownedbyPruettswasnecessary.    TheonlyequipmentthathadtoberepairedtoresumepowertotheMiddleValleyStorewasthePowerBoardslines;butwecanfindnoreasonableinterpretationofthepolicywhichwouldsanctionaholdingthattheselines,morethan500feetfromtheMiddleValleyStore,are coveredequipment.WeconcludefromthisthatthelossattheMiddleValleyStorewasnotcoveredbythepolicysince [a]tthetimethebreakdownoccur[red],itdidnot becomeapparentbyphysicaldamagethatrequire[d]repairorreplacementofthecoveredequipmentorpartthereof.  WehaveconsideredPruettsargumentthatitslossattheMiddleValleyStoreiscoveredbyanendorsementtothepolicythatdoesnotincludethe repairorreplacementlanguageuponwhichwehavereliedtojustifyourfindingoflackofcoverage.Thecoveragelanguageofthatendorsementisidenticaltothecoveragelanguageofthemainpolicy.Inbothinstancestheword accidentissetoffbyquotationmarks.Whilewedonotknowwhytheendorsementwasissuedsincethecoverageisidenticaltothatfoundinthemainpolicy,wedonotbelievethatitwasintendedtofurnishnewcoveragewithoutthedefinitionsfoundinthemainpolicy,especiallythedefinitionofan accident.  TheChancellorwascorrectingrantingHartfordsummaryjudgmentastothelossattheMiddleValleyStore.
