Ðof€losing€their€gasoline€franchise€due€to€the€lesseeððs€actions.€€We€affirm€the€action€of€the€Trial€CourtÐ $X" Ðin€holding€that€the€landlords€could€maintain€the€action€for€the€breach€of€the€lease€agreement.€€Ð ô$D # ÐÌà  àà ` àDefendant€also€argues€that€the€specific€provision€allowing€the€landlords€to€terminateÐ Ì&"% Ðthe€lease€on€ten€daysðð€notice€for€the€nonpayment€of€rent€should€not€be€enforced,€because€it€is€againstÐ ¸'#& Ðpublic€policy.€€The€record€reveals€that€the€landlordsðð€actions€in€regaining€possession€of€the€propertyÐ ¤(ô#' Ðwere€lawful,€and€the€lease€provides€that€the€landlords€may€recover€possession€ð ðby€all€lawful€meansðð.Ð )à$( ÐMoreover,€defendant€never€raised€this€issue€in€the€Trial€Court,€and€took€the€position€that€the€clauseÐ |*Ì%) Ðwas€applicable,€but€that€proper€notice€was€not€given.€€We€do€not€consider€issues€raised€for€the€firstÐ h+¸&* Ðtime€on€appeal.òò€€Culp€v.€Culpóó,€917€S.W.2d€233€(Tenn.€Ct.€App.€1995).Ð ° Ðà  àÌà  àà ` àLessee€Ô#†XXXXC#ÔÔ‡XXXXÔargues€that€plaintiffs€waived€their€right€to€enforce€the€provisions€of€the€leaseÐ ˆØ Ðby€accepting€two€partial€payments€of€rent€in€the€month€that€the€lease€was€terminated.€€Such€waiverÐ tÄ Ðrequires€that€the€landlords€expressly€or€impliedly€recognize€the€continuance€of€the€tenancy€afterÐ `° Ðknowledge€of€a€breach€by€the€tenant.€€òòWoods€v.€Forest€Hill€Cemetaryóó,€192€S.W.2d€987€(Tenn.€1946).ò ò€Ð L œ Ðó óIn€this€case,€landlords€did€accept€two€partial€payments€from€defendant,€as€they€had€for€the€prior€twoÐ < Œ Ðmonths.€€After€the€full€rent€remained€unpaidò ò€ó óby€August€25,€however,€the€plaintiffs€providedÐ ( x Ðdefendant€with€the€ten€day€notice€to€vacate€as€provided€in€the€lease,€and€gave€him€until€the€end€ofÐ  h Ðthe€rental€period€to€vacate.€€Thus,€the€landlords€were€within€their€rights€to€file€the€detainer€action€onÐ  T  ÐSeptember€12,€when€the€new€rental€period€began€and€the€rent€for€the€previous€period€was€yet€unpaid.€Ð ð @  ÐThis€issue€is€without€merit.Ð Ü,  Ðà  àÌà  àà ` àFinally,€lessee€argues€the€landlords€could€not€terminate€the€lease€unless€the€breachÐ ´  Ðwas€material,€citing€òòAdams€TV€of€Memphis,€Inc.€v.€ComCorp€of€Tennessee,€Inc.,€óó969€S.W.2d€917Ð  ð  Ð(Tenn.€Ct.€App.€1997).ò ò€€ó óDefendant€claims€that€there€was€no€material€breach€in€this€case,€becauseÐ ŒÜ  Ðplaintiffs€were€holding€$4,400.00€which€lessee€had€paid€to€the€landlords.€€While€the€Trial€CourtÐ |Ì Ðfound€these€monies€to€be€prepaid€rent,€there€was€no€such€agreement€between€the€parties.€€TheÐ h¸ Ðlandlords,€as€noted€earlier,€in€effect€treated€this€as€a€rental€payment€for€the€month€of€October€whenÐ T¤ Ðthe€property€was€first€leased,€and€maintained€that€position€throughout€the€trial.€€Ð @ ÐÌà  àà ` àWe€conclude€the€provisions€of€the€lease€are€binding€and€it€unambiguously€states€theÐ h Ðlandlords€may€terminate€the€lease€upon€ten€days€notice€if€the€rent€is€not€timely€paid.€€There€was€noÐ T Ðsuch€provision€in€the€òòAdams€óócase,€and€it€is€not€factually€analogous€to€this€case.€€Assuming€òòarguendoóóÐ ð@ Ðthe€rule€in€òòAdams€óóapplied,€the€landlords€had€unquestionably€been€deprived€of€timely€rental€paymentsÐ Ü, Ðover€a€period€of€time€and€were€in€danger€of€losing€their€gasoline€franchise.€€There€was€no€proof€thatÐ È Ðtheir€rental€problem€would€likely€be€cured€by€defendant.€€Defendant€also€argues€that€he€wasÐ ´ Ðconstructively€evicted€by€the€plaintiffs€when€the€detainer€action€was€improperly€filed.€€Having€heldÐ  ð Ðthe€detainer€action€was€proper,€this€issue€is€moot.Ð ŒÜ ÐÌà  àà ` àDefendant€further€argues€that€plaintiffs€were€unjustly€enriched€by€being€awarded€aÐ d ´ Ðfull€monthððs€rent€for€the€rental€period€of€September€12€to€October€12,€when€defendant€hadÐ P!  Ðvoluntarily€surrendered€possession€on€September€22.€€€The€Trial€Court€awarded€plaintiffs€rent€forÐ <"Œ  Ðthe€full€month,€and€we€find€no€error€in€this€award.Ð (#x!
