àOn€April€4,€1995,€the€Board€of€Parks€and€Recreation€of€NashvilleÏand€Davidson€County€(the€Board)€held€its€regular€monthly€meeting.€€The€mattersÏon€the€agenda€included€consideration€of€the€acquisition€of€a€195€acre€tract€of€realÏestate€known€as€Grassmere€Wildlife€Park.€€It€is€undisputed€that€prior€to€thisÏmeeting,€the€Board€met€the€public€notice€requirements€of€Tenn.€Code€Ann.€ðð€8„44„103€of€the€Open€Meetings€Act.€€The€only€reference€to€Grassmere€in€theÏsubsequently€published€minutes€of€the€meeting€of€April€4€are€found€as€followsÏunder€the€heading€of€Old€Business:€ÌÒ 0 ÒÒ ° ÒÓÓ€€€€€€€€€€€€€ò òGRASSMERE€WILDLIFE€PARK€UPDATEó óÌÌÒ 0 ÒÒ  ÒMr.€Bob€Sullivan,€President€and€CEO€of€CumberlandÏMuseums,€was€present€to€answer€questions€from€theÏBoard€regarding€the€acquisition.€€Ms.€Erika€Geetter,Ïattorney€for€the€Metropolitan€Government€was€alsoÏpresent€to€introduce€the€proposed€managementÏagreement€for€Grassmere€Wildlife€Park.€€All€proposedÏagreements€are€subject€to€Metropolitan€Council€approval.€€€ÌÌÒ € ÒÒ „ ÒÓÓÌà àà àOn€May€16,€1995,€the€Metro€Council€(the€Council)€adopted€aÏresolution€approving€the€purchase€of€Grassmere.€€The€resolution€recited€that€theÏpurchase€had€been€approved€by€the€Board€of€Parks€and€Recreation€and€theÏMetropolitan€Planning€Commission.ÌÌà àà àOn€January€2,€1996,€Donald€Zseltvay€filed€a€complaint€in€the€CircuitÏCourt€for€Davidson€County.€€He€claimed€that€the€Board€had€never€taken€a€vote€onÏthe€acquisition€of€Grassmere,€and€that€since€the€Metro€Charter€required€that€theÏMetro€Council€obtain€the€approval€of€the€Board€prior€to€the€acquisition€of€any€landÏfor€recreational€purposes,€the€€Councilððs€action€was€null€and€void.€€He€alsoÏclaimed€that€the€Board€had€violated€the€Open€Meetings€Act.€ÌÌà àà àOn€that€same€day,€the€Board€of€Parks€and€Recreation€held€anotherÏregularly€scheduled€meeting,€at€which€Mr.€Zseltvay€was€present.€€Prompted€in€partÏby€a€letter€from€Erika€Geetter€which€pointed€out€the€deficiency€in€the€minutes€ofÏthe€earlier€meeting,€the€Board€took€the€action€which€is€described€in€the€minutes€ofÏthe€January€2€meeting€as€follows:ÌÒ 0 ÒÒ ° ÒÓÓ€€€€€€€€€€€€ò òGRASSMERE€WILDLIFE€PARK€UPDATEó óÌÌÒ 0 ÒÒ  ÒIt€was€also€noted€that€during€the€April€1995€Park€BoardÏmeeting€the€sale€of€the€Grassmere€property€to€Metro€asÏwell€as€the€proposed€management€agreement€for€theÏrunning€of€the€park€were€discussed€by€the€Board.€ÏHowever€the€April€minutes€do€not€reflect€the€action€takenÏby€the€Board€to€accept€the€Grassmere€Property€andÏproceed€with€the€acquisition.€Upon€motion€of€Ms.€Jones,Ïseconded€by€Mr.€Fossick,€the€Board€unanimouslyÏaccepted€and€approved€the€acquisition€of€Grassmere.€ÏThe€Board€further€resolved€that€the€minutes€of€the€AprilÏ1995€meeting€should€be€amended€to€reflect€the€ParkÏBoardððs€approval.ÌÒ € ÒÒ „ ÒÌÓÓÌà àà àAfter€a€hearing€on€Mr.€Zseltvayððs€complaint,€the€trial€court€found€thatÏthe€Board€had€corrected€any€technical€mistakes€relating€to€its€meeting€of€April€4,Ï1995,€and€dismissed€the€complaint€for€failure€to€state€a€claim€upon€which€reliefÏmay€be€granted.€€The€plaintiff€subsequently€appealed.ÌÌà àà àOn€January€6,€1997,€this€Court€filed€an€opinion€which€affirmed€theÏtrial€court€in€part€and€reversed€it€in€part.€€We€found€that€Mr.€Zseltvay€lackedÏstanding€to€challenge€the€Metro€Councilððs€purchase€of€the€Grassmere€property,Ïbecause€he€did€not€allege€any€personal€interest€in€the€property,€or€that€he€wouldÏsuffer€any€damages€or€injuries€from€the€completion€of€the€transaction€ð ðdifferent€inÏcharacter€or€kind€from€those€sustained€by€the€public€at€œlarge.ðð€€Quoting€fromòò›ÏBadgett€v.€Rogersóó,€436€S.W.2d€292,€294,€222€Tenn.€œ374,€379›€(1968).ÌÌà àà àWe€also€held€that€the€provision€of€the€Metro€Charter€which€€requiresÏa€recommendation€by€the€Board€prior€to€the€acquisition€of€property€did€not€applyÏto€the€transaction€in€question,€because€it€specifies€only€acquisition€byÏcondemnation€and€acceptance€of€gifts€of€land,€but€does€not€mention€purchaseÏwithout€condemnation,€which€was€the€transaction€authorized€by€the€CouncilÏresolution.€€See€Metro€Charter€Sec.€11.1002(5).€€We€€accordingly€affirmed€the€trialÏcourtððs€dismissal€of€Mr.€Zseltvayððs€claim€against€the€Metro€Council.€€€ÌÌà àà àHowever€we€noted€that€Tenn.€Code€Ann.€ðð€8„44„106€of€the€OpenÏMeeting€Act€gives€the€courts€jurisdiction€to€enforce€the€Act€ð ðupon€application€ofÏany€citizen€of€this€state.ðð€€Thus€there€was€no€question€of€standing€to€prevent€Mr.ÏZseltvay€from€pursuing€his€action€against€the€Board€of€Parks€and€Recreation,€andÏwe€reversed€that€portion€of€the€trial€courtððs€order€that€dismissed€his€claim€againstÏthe€Board€for€violating€the€Act.ÌÌà àà àOn€remand,€the€trial€court€heard€evidence€from€four€witnessesÏincluding€Mr.€Zseltvay,€after€which€it€again€dismissed€his€claim.€€In€its€findings€ofÏfact€and€conclusions€of€law,€the€court€found€that€the€Board€fully€discussed€theÏsubject€of€the€acquisition€of€the€Grassmere€Wildlife€Park€property€at€its€meeting€ofÏApril€4,€1995;€that€the€minutes€of€that€meeting€do€not€clearly€reflect€the€BoardððsÏvote€of€approval€of€the€acquisition€of€the€Grassmere€property;€and€that€theÏmeeting€of€January€2,€1996€was€an€open€meeting€pursuant€to€the€Act,€at€whichÏthe€Board€cured€any€technical€violation€relating€to€the€earlier€meeting.€€TheÏpresent€appeal€followed.ÌÌà@ àò òII.ó ó€ÌÌà àà àThe€policy€behind€the€Public€Meetings€Act€is€stated€clearly€andÏsimply€in€Tenn.€Code€Ann.€ðð€8„44„101:€ð ðThe€general€assembly€hereby€declares€itÏto€be€the€policy€of€this€state€that€the€formation€of€public€policy€and€decisions€isÍpublic€business€and€shall€not€be€conducted€in€secret.ðð€€To€this€end,€otherÏprovisions€of€the€Act€require€that€meetings€of€any€governing€body€be€open€to€theÏpublic,€Tenn.€Code€Ann.€ðð€8„44„102,€that€adequate€public€notice€be€given€of€theÏregular€and€special€meetings€of€governmental€bodies,€Tenn.€Code€Ann.€ðð€8„44„103,€that€the€minutes€of€any€such€meeting€be€promptly€and€fully€recorded,€and€beÏopen€to€public€inspection,€Tenn.€Code€Ann.€ðð€€8„44„104(a),€and€that€all€votes€ofÏgovernmental€bodies€be€public,€Tenn.€Code€Ann.€ðð€€8„44„104(b).€Ì€€Ìà àà àThe€chief€violation€of€the€Act€alleged€by€the€appellant€involves€Tenn.ÏCode€Ann.€ðð€8„44„104(a)€which€reads€in€its€entirety€as€follows:ÌÒ 0 ÒÒ  ÒÓÓ€(a)à àThe€minutes€of€a€meeting€of€any€such€governmentalÏbody€shall€be€promptly€and€fully€recorded,€shall€be€openÏto€public€inspection,€and€shall€include,€but€not€be€limitedÏto,€a€record€of€persons€present,€all€motions,€proposals€andÏresolutions€offered,€the€results€of€any€votes€taken,€and€aÏrecord€of€individual€votes€in€event€of€roll€call.ÌÒ € ÒÒ „ ÒÌÓÓÌà à€à àThe€appellee€admits€that€it€failed€to€fully€record€the€minutes€of€itsÏmeeting€of€April€4,€1995,€but€insists€that€an€open€vote€was€taken€in€accordanceÏwith€the€Act,€that€the€failure€to€record€it€was€inadvertent,€and€that€the€error€wasÏcorrected€by€its€subsequent€modification€of€the€minutes€on€January€2,€1996.€€AsÏwe€stated€above,€the€trial€court€issued€findings€of€fact€and€conclusions€of€law€thatÏwere€consistent€with€the€appelleeððs€theory.€€The€trial€court€stated€that€any€violationÍof€the€Open€Meetings€Act€on€the€part€of€the€Board€was€a€ð ðtechnical€violationðð,€andÏa€ð ðviolation€.€.€.€of€form€rather€than€substance.ð ð€ÌÌà@ àò òIII.ó óÌÌà àà àOur€review€of€the€findings€of€fact€of€the€trial€court€is€€governed€byÏRule€13(d)€of€the€Rules€of€Appellate€Procedure,€which€states€that€such€findingsÏshall€be€accompanied€by€a€presumption€of€correctness,€unless€theÏpreponderance€of€the€evidence€is€otherwise.€€Thus,€we€must€affirm€the€courtððsÏfinding€that€the€Board€fully€discussed€and€voted€upon€the€recommendation€as€toÏthe€acquisition€of€Grassmere,€unless€the€evidence€preponderates€otherwise.ÌÌà àà àThree€witnesses€who€were€present€at€that€meeting€testified€at€trial€onÏSeptember€2,€1997.€€Jim€Fyke,€the€Director€of€the€Board€of€Parks€and€Recreation,Ïtestified€that€there€had€been€an€open€and€full€discussion€of€the€acquisition€at€theÏApril€1995€meeting,€but€he€could€not€swear€that€there€was€a€vote€taken,€becauseÏhe€did€not€remember.€€Edwin€Bryan,€a€Board€member,€stated€that€he€could€not€atÏall€remember€what€happened€at€that€meeting.€€Edward€Fossick,€another€BoardÏmember,€testified€that€a€vote€was€taken€to€forward€the€Boardððs€recommendation€toÏthe€Metro€Council€for€their€approval€of€the€acquisition.ÌÌà àà àWhile€the€issue€is€not€free€from€doubt,€we€cannot€say€that€theÏevidence€preponderates€against€the€factual€findings€of€the€trial€court,€in€view€ofÏthe€testimony€presented,€and€considering€the€long€interval€between€the€meetingÏin€question€and€the€time€of€trial.Ì€€Ìà àà àThe€trial€courtððs€conclusions€of€law,€as€opposed€to€its€findings€of€fact,Ïare€reviewed€on€appeal€with€no€presumption€of€correctness.€òòUnion€Carbide€Corp.Ïv.€Huddlestonóó,€854€S.W.2d€87€(Tenn.€1993);€òòJahn€v.€Jahnóó,€932€S.W.2d€939€(Tenn.ÏApp.€1996).€€The€appellant€argues,€correctly€we€believe,€that€the€Act€does€notÏmake€a€distinction€between€technical€and€substantive€violations€of€its€provisions.€ÏHe€then€urges€us€to€impose€all€the€sanctions€required€by€the€Act€for€a€violationÏwhich€the€trial€court€acknowledged€to€have€occurred.ÌÌà àà àThe€appellant€cites€us€to€the€case€ofòò€Neese€v.€Paris€Special€SchoolÏDistrictóó,€813€S.W.2d€432€(1990)€for€the€proposition€that€the€action€taken€by€theÏBoard€at€its€meeting€of€January€2,€1996€was€not€adequate€to€correct€its€earlierÏviolation€of€the€Act.€€In€the€òòNeeseóó€case,€a€quorum€of€the€members€of€the€Board€ofÏEducation€of€the€Paris,€Tennessee€Special€School€District€gathered€for€a€retreatÏat€a€Kentucky€resort€with€the€Superintendent€of€the€District.€€At€the€gathering,€theyÏdiscussed€at€length€the€issue€of€ð ðclusteringðð€which€involved€the€BoardððsÏorganization€of€the€schools,€and€œwhich€was›€of€great€public€interest.€€Though€aÍlocal€newspaper€and€a€radio€station€had€reported€on€plans€for€the€upcomingÏKentucky€retreat,€the€public€was€never€notified€that€clustering€would€be€discussed.ÌÌà àà àAt€the€next€regularly€scheduled€meeting€of€the€Board,€theÏSuperintendent€was€instructed€to€prepare€a€clustering€plan€for€the€upcomingÏschool€year,€and€at€the€following€regular€meeting€the€Superintendentððs€plan€wasÏadopted€by€the€Board.€€The€plaintiffs€claimed€that€the€Kentucky€gathering€was€inÏviolation€of€the€Open€Meetings€Act,€and€that€the€Boardððs€subsequent€decision€onÏclustering€should€be€voided,€because€it€was€based€upon€deliberations€in€whichÏthe€public€played€no€part.ÌÌà àà àThe€trial€court€found€that€the€Board€did€not€violate€the€Act.€€OnÏappeal,€this€court€reversed,€finding€that€the€Kentucky€gathering€had€to€beÏconsidered€a€meeting€under€the€Open€Meetings€Act,€and€that€the€public€was€notÏgiven€adequate€notice€pursuant€to€the€Act.€€We€held,€however,€that€the€clusteringÏplan€did€not€have€to€be€voided,€because€prior€to€its€adoption€it€was€subjected€toÏnew€and€substantial€consideration€in€a€public€forum.€€The€court€stated€that,ÌÒ 0 ÒÒ  ÒÓÓà àð ðWe€do€not€believe€that€the€legislative€intent€of€thisÏstatute€was€forever€to€bar€a€governing€body€from€properlyÏratifying€its€decision€made€in€a€prior€violative€manner.ÏHowever,€neither€was€it€the€legislative€intent€to€allow€suchÏa€body€to€ratify€a€decision€in€a€subsequent€meeting€by€aÏperfunctory€œrecrystallization›€of€its€earlier€action.ðð€€€ÌÌÒ € ÒÒ „ Ò813€S.W.2d€at€œ436.›ÌÌÓÓÌà àà àThe€appellant€argues€that€the€actions€taken€in€the€instant€caseÏduring€the€Boardððs€January€2,€1996€meeting€involved€just€such€a€ð ðperfunctoryÏœrecrystallization›ðð€of€its€earlier€action,€and€that€the€Board,€therefore€did€not€properlyÏratify€its€earlier€decision€in€accordance€with€the€dictates€of€òòNeese,óó€supra.ÌÌà àà àIf,€however,€we€accept€the€trial€courtððs€finding€(which€we€do)€that€theÏquestion€of€the€acquisition€of€Grassmere€received€a€full,€fair€and€open€hearingÏpursuant€to€the€Act€at€the€meeting€of€April€4,€1995,€then€the€Boardððs€previousÏdecision€was€not€made€in€a€violative€manner.€€The€Board€performed€a€valid€andÏnecessary€remedial€action€by€subsequently€amending€its€minutes,€and€it€was€notÏobligated€to€debate€the€question€afresh€before€doing€so.€€Nonetheless,€we€agreeÏwith€the€appellant€that€strict€compliance€with€the€Act€is€a€necessity€if€it€is€to€beÏeffective,€and€we€must€continue€our€inquiry€by€examining€the€remedies€availableÏfor€its€violation.€€€€€ÌÌà@ àò òIV.Ìó óÌà àà àRemedies€for€violation€of€the€Open€Meetings€Act€are€found€in€the€ActÏitself.€€Tenn.€Code€Ann.€ðð€8„44„105€states€in€relevant€part€that€ð ð[œa]ny›€action€takenÍat€a€meeting€in€violation€of€this€part€shall€be€void€and€of€no€effect€.€.€.€.ðð€€€AnotherÏsection,€Tenn.€Code€Ann.€ðð€8„44„106€reads:ÌÒ 0 ÒÒ  ÒÓÓ(c)à àThe€court€shall€permanently€enjoin€any€personÏadjudged€by€it€in€violation€of€this€part€from€further€violationÏof€this€part.€Each€separate€occurrence€of€such€meetingsÏnot€held€in€accordance€with€this€part€constitutes€aÏseparate€part.€ÌœÌ(d)›à àThe€sanction€of€Tenn.€Code€Ann.€ðð€8„44„105€applies€to€ð ð[œa]ny›€actionÏtaken€at€a€meeting€in€violation€of€this€part,ðð€and€it€is€at€least€arguable€that€theÏfailure€to€include€an€account€of€the€vote€in€the€subsequently„published€minutes€ofÏthe€April€4€meeting€was€not€an€action€taken€at€that€meeting.€€The€appellantÏacknowledges€that€there€had€been€adequate€notice€of€the€meeting,€and€that€itÏwas€open€to€the€public.€€We€thus€see€no€reason€in€law€or€in€equity€to€declare€theÏaction€void.ÌÌà àà àOn€the€other€hand,€Tenn.€Code€Ann.€ðð€8„44„106€appears€to€supply€aÏremedy€appropriate€to€the€circumstances€of€this€case.€€Though€the€appelleeÏargues€that€imposition€of€sanctions€would€have€no€purpose€other€than€toÏembarrass€the€Board,€we€do€not€agree.€€The€Legislature€obviously€felt€that€the€useÏof€injunction€and€the€application€of€judicial€oversight€to€the€activities€of€aÏgovernmental€body€in€violation€of€the€Act€was€the€best€guarantee€of€subsequentÏcompliance.€€We€therefore€direct€the€trial€court€to€impose€the€above„mentionedÏsanctions€upon€the€Board€in€accordance€with€ðððð€8„44„106(c)€and€(d).Ì€€€Ìà àFinally,€we€must€note€that€although€the€appellantððs€brief€focused€onÏhis€claim€against€the€Board€of€Parks€and€Recreation,€his€attorney€expressed€atÏoral€argument€his€clientððs€hope€that€a€favorable€ruling€on€those€questions€couldÏsomehow€be€bootstrapped€into€a€reversal€of€this€courtððs€rejection€of€his€claimÏagainst€the€Metro€Council.€€We€must€therefore€reiterate€our€earlier€ruling:€theÏappellant€failed€to€€demonstrate€that€he€has€standing€to€challenge€MetroððsÏcontract€to€purchase€Grassmere.€€œThat€ruling›€has€become€the€law€of€the€case€byÏvirtue€of€the€appellantððs€failure€to€appeal€it€to€the€Supreme€Court,€and€it€cannot€beÏreversed.ÌÌà@
