FACTS    Thefollowingfactsappearnottobeindispute.PatrickHartmetMarkChmelaratayachtshowinMiami.ChmelarownedSuperiorMotors,Inc.,anautomobiledealershiplocatedinNashville,Tennessee.ChmelarsuggestedthatHartacquireaninterestintheNashvilledealership.Hartsubsequentlyinvested$500,000.00andacquiredafiftypercentinterestinSuperiorMotors,Inc.ThepartiesagreedthatChmelarwouldmanagethedaytodayoperationsofthedealership.Inaddition,Hartandhiswifepersonallyguaranteeda$4,000,000capitalizationloananda$6,000,000floorplanloanandprovidedFirstTennesseewitha$1,000,000letterofcredit. LessthanayearandonehalfafterenteringthebusinessarrangementwithChmelar,HartwasnotifiedbyFirstTennesseeBankthatSuperiorMotorswas$1,000,000outoftrustonitsfloorplan.ChmelarassuredHartthattherewerenoproblems.Approximatelythreemonthslater,however,Hartwas 706 informedthatSuperiorMotorswasnowbb$1,600,000bbbboutbboftrust.Onceagain,ChmelarassuredHartthateverythingwasallright. Duringthenextseveralmonths,Hartlearnedthat:bb(1)ChmelarbbhadusedSuperiorMotors'credittopurchaseanairplane;bb(2)ChmelarbbhadusedSuperiorMotors'assetstopurchaseayacht;bb(3)Chmelarbbwaspayinghimselfasalaryof$351,357ratherthantheagreeduponsalaryofbb$144,000;bbandbb(4)SuperiorbbMotorshadsustainedanoperatinglossof$714,000.FirstTennesseecontactedHartandinformedhimthatthebankintendedtocallhisletterofcreditandwasgoingtorequirehimtohonorhispersonalguarantyunlessSuperiorMotors'financialproblemswerequicklyresolved.Hart,nowfacingseriouspotentialpersonalliability,retainedanattorneytoinvestigatetheproblemsatSuperiorMotors.bb AlGossettbbbbllandDwayneHawkinshadbeenpartnersintheautomotivebusinesssincethelate1980s.GossettcontactedbbHartinSeattleandinformedhimthatheandHawkinswereinterestedinacquiringtheNashvilledealership.HartmetwithGossettandHawkinsinMemphis.GossettandHawkinsagreedtomakeanofferforSuperiorMotors,Inc.Thefollowingday,thepartiesexecutedtwodocuments,an"AgreementforthePurchaseandSaleofAssets"andan"AgreementforInterimManagementAgreement." HartandGossettmetlaterinthedaywithHart'slawyer.Hartinformedhislawyerthat"Igotthisthingsolved.Herearethetwoagreements.They'reallsigned,puttobed,andIcangohome."Later,Hartwasapparentlyadvisedbyhisattorneythatthecontractswerenotfinanciallyadvantageoustohimandthathecouldprobablyhavemademoremoneyfromthesale. 816 Ї Thenextday,Hart'sattorneysoughtGossett'sassistanceinconvincingChmelartorelinquishhisstockintheNashvilledealership.SinceHartandChmelareachownedfiftypercentofSuperiorbbMotors,bbHartcouldnotoutvoteChmelar.FollowingameetingbetweenGossettandChmelar,Chmelarrelinquishedhisstockandwassubsequentlyterminatedaspresident.bn nnnbb$b  #  1      כ h` Gossett'stestimonyindicatesthathelearnedofHart'sintentionnottoperformundertheagreementthedayafterChmelarwasterminatedaspresident.HartlatercontractedtoselltheNashvilledealershipformoremoneytoNelsonBowers. GossettandHawkinsfiledsuitagainstHartandSuperiorMotors,Inc.,seekingtoenforcethecontractforthesaleofSuperiorMotors,Inc.Bowerswasprovidednoticeofthisaction.BowerslaterpurchasedSuperiorMotorsandassignedhisinteresttoEuropeanMotors,Inc.GossettandHawkinsamendedtheircomplainttoincludeBowersandBowersTransportationGroupasdefendants. SuperiorMotors,Inc.andPatrickA.Hartmovedforsummaryjudgment.Theyallegedthatthe"AgreementforthePurchaseandSaleofAssets"wastoouncertaintobeenforced.Hartalsoarguedthathecouldnotbeheldbbpersonallyliablebbonthecontract.bbBowersandBowersTransportationGroupbbalsomovedforsummaryjudgmentontheconstructivetrustclaim.ThetrialcourtfoundthattheagreementforsalewastooindefinitetobeenforcedandthatimpressingaconstructivetrustontheassetsofSuperiorMotorswasnotanappropriateequitableremedy.ThetrialcourtgrantedsummaryjudgmenttoSuperiorMotorsandHart.TheCourtofAppealsheldthatportionsoftheagreementwere  5.2 enforceable,thatHartcouldbeheldindividuallyliable,bbb'b  #  2      ׀andthatHartshould  provideanindexcontainingadescriptionofthematerialsbeingwithheldpursuanttoanassertionofprivilegeorworkproductprotection.Wegrantedreviewonlyontheissuesofindividualliabilityandprivilegelogs. Apartyseekingsummaryjudgmentmustdemonstratetheabsenceofbbanygenuinebbandmaterialfactualissues.Byrdv.bbHall,847S.W.2d208,214bb(Tenn.  1993).Mere"conclusoryassertion[s]thatthenonmovingpartyhasnoevidencebb[are]bbclearlyinsufficient."Id.at215.Themovantmusteitheraffirmatively " negateanessentialelementofthenonmovant'sclaimorconclusivelyestablishanaffirmativedefense.Id.215n.pp5.Ifthemovantdoesnotnegateaclaimed p&h" basisforthesuit,thenonmovant'sburdentoproduceeithersupportingaffidavitsordiscoverymaterialsisnottriggeredandthemotionforsummaryjudgmentfails.Id.Summaryjudgmentshallbedeniedifthereis"anydoubt +$( whetherornotagenuineissueexists."Id.at211. -&*  Hartsignedtheagreementbothas"PatHart"andas"Guarantor."Hartallegesthathispersonalliabilityasaguarantorextendedonlytotheprovision X3P,0 thatprovidedpersonalliabilityforSuperiorMotors'failuretopayspecifiedemployeebenefitsandtaxes.Theplaintiffscounterbycitingseveralcontractualprovisionsthatprovidethat"thepartiesshalltakeallnecessaryactionstoeffectuate..."andthepartiesagreeto"bringaboutandconsummate"thedeal.Bothpartiescitetovariousexcerptsindepositionssupportingtheirrelativepositions.Gossettapparentlybeganactingasinterimmanagerpursuanttotheparties'agreements whenheterminatedChmelar.Weholdthat,onthebasisof   therecordbeforeus,thereexistgenuineandmaterialissuesoffactastowhetherHartmaybeheldindividuallyliableinthiscasetotheextentofSuperiorMotors,bbInc.'sliability.bb    PRIVILEGELOGS  `X R1 TheplaintiffssubpoenaedfilesfromHart'spriorandcurrentlawyersthatrelatetoSuperiorMotors.bVVbbmmm0mbb)b  #  3      bbFromthe25,000pagesofdocumentsrequested,the   defendantsestimatedthattheyproducedallbutthecontentsoftwoandonehalfbankers'boxesofdocuments.Thedefendantsarguethatthesefilesareprotectedfromdiscoverybasedupontheattorneyclientprivilegeandtheworkproductdoctrine. TheFederalRulesofCivilProcedureprovidethatapartymustprovidenoticetootherpartiesifitiswithholdingmaterialsduetoanassertionofprivilegeorworkproductprotection.SeegenerallyFedR.Civ.P.26.The  federalrulefurthermandatesthatapartyassertingprivilegeorworkproductmustprovidebbsufficientbbinformationtoenableotherpartiestoevaluatetheapplicabilityoftheclaimedprivilegeorprotection.Specifically,thefederalruleprovides:8 Whenapartywithholdsinformationotherwisediscoverableundertherulesbyclaimingthatitisprivilegedorsubjecttoprotectionastrialpreparationmaterial,thepartyshallmaketheclaimexpresslyandshalldescribethenatureofthedocuments,communications,orthingsnotproducedordisclosedinamannerthat,withoutrevealinginformationitselfprivilegedorprotected,willenableotherpartiestoassesstheapplicabilityoftheprivilegeprotection.09  ! !
